Cox, City Clerk of the City of Shakopee, that a special session of the City Council will be held on Monday, April 28, 1997 at 4:00 P.M. for the purpose of: 1) determining whether to call for a public hearing for May 28 or 29 to consider modifications to the City's TIF Plan, 2) recessing for an executive session to discuss matters permitted under attorney-client privilege, and 3) any other business which may come before the City Council. City Administrator SUBJECT: Background Information- Special.Meeting -April 28th DATE: April 24, 1997 You earlier received an agenda for a special meeting to be held Monday, April 28th. The main reason for convening at that time is to have the EDA make a decision on whether to backfill Blocks 3 &4 site. As long as we are meeting,there are a couple of other issues which 1 had originally scheduled for your consideration. 1. Modification of TIF Plan - (DELETED) - at the time that the agenda was put out, there was a concern by staff that a new law change which may take effect June 1 would impact the City's ability to use tax increment for park and recreation purposes. Late Wednesday, April 23rd, Gregg Voxland and I met with Steve Bubol to review the existing tax increment plan. After reviewing the plan, it does not appear that any action will need to be taken at this time, as existing plan covers all the contingencies. There is a chance, however, that if a version of the House Bill on tax increment is adopted by the full Legislature, an action would need to be taken by the Council at the May 20th meeting. The Council may need to pass a motion approving"as final"the existing TIF plan. We will not know whether this action will be needed until late in the legislative session. 2. Attorney Client Privilege- (DELETED)-New information recently received from the contracted City Attorney,make it evident that there is no need to discuss settlement on the current suit with Ryan Contracting;we will go to trial April 30th. 3. Follow up on EDA action - (NEW) -If a decision of the EDA is to do anything other than backfill, Council should concur on that action. 4. Discussion of library facilities - Councilor Dubois has asked me to investigate the possibility of acquiring the former Park Nicollet Medical Clinic building, located at the northwest quadrant of 10th and Marschall Road. We have some general ideas as to what might be needed as far as purchase price on that. Part of the funding source for that could be proceeds from the excess fire station site land sale. I've asked County Library Director Janet Williams to give us information regarding any change in location of the facility. It is unlikely that that information, and information on finding possibilities, will be available much earlier than the meeting on Monday. 5. Tennis Court Discussion - (NEW) - Councilor Link has been meeting with representatives of the School District to discuss tennis court expansion for the City. He has asked for an opportunity to discuss this in a workshop setting. 4Ak- Mark McNeill City Administrator MM:tw (h:\marklspecial.doc] CITY OF SHAKOPEE 3 Memorandum TO: EDA FROM: Mark McNeill,Executive Director SUBJECT: Update -Blocks 3 & 4 DATE: April 24, 1997 As you consider the Blocks 3 & 4 backfill question,I know one of the concerns will be how long the property would stand empty. We had hoped to have a development agreement for you to consider at the May 6th EDA meeting. An initial draft has been negotiated, but a final version should wait to be considered until a master tenant is committed. According to the Scott County LIRA,they have narrowed ten prospects down to one, and they are negotiating with that company seriously. however,the numbers have not been finalized, and it is unlikely that this will be completed in time to have a development agreement for EDA to consider on May 6th. The sequence of events should be to establish the master tenant first, finalize construction numbers, and incorporate those into a development agreement. Construction numbers are being worked on by Dunbar Development. Frank Dunbar has requested that the EDA not backfill, as that will add excavation costs to his numbers, which are already very tight. At this point, it is safe to say that the desired mid-May transfer will not take place,but Dunbar does feel that a June construction start(probably late June) is still possible. I remind you that we will have to call for a public hearing on the transfer of land not more than 20 days prior to the transfer actually taking place. For your information. 14i2& ° Mark McNeill City Administrator MM:tw CC: Paul Snook CITY OF SHAKOPEE Memorandum TO: Economic Development Authority/Mayor and City Council FROM: Paul Snook,Economic Development Coordinator SUBJECT: Backfill of Blocks 3 &4 site DATE: April 24, 1997 Introduction: Dunbar Development, the developer for the Blocks 3 & 4 project, is requesting the demolition site be left open without backfill. Dulas Excavating is scheduled to backfill the week of April 28-May 2. A filled site would add excavation cost to the new development. The EDA and City Council are asked to consider whether to delete the backfill alternate of the demolition contract for Blocks 3 & 4. Background: At the March 12 EDA and City Council meetings, both bodies passed Resolutions 97-5 and 4635, respectively, directing the EDA and the City of Shakopee to enter into contract with Dulas Excavating, Inc. in the amount of$139,958 for the demolition of Blocks 3 & 4 according to approved plans and specifications. The plans, specs, and contract include a provision for backfilling the site. The itemized cost of the backfilling is $12,400. TKDA, the contractor coordinating the demolition, recommended the backfill as a cost savings, in case there was a delay in the new mixed-use development. Please refer to the attached memo, dated March 12, 1997. Discussion: This issue revolves around when construction for the new mixed-use development is to begin. Dunbar Development estimates a late June start. The progress of the new project depends upon the following items occurring in sequence: 1.) The securing of a master tenant. Dunbar is currently in serious negotiations with a prospective master tenant. 2.)Arriving at final construction numbers. Dunbar is currently working on. 34filmmo.doc 3.)A development agreement for consideration by the EDA and City Council. An initial draft has been produced,with a final version dependent upon securing a master tenant. 4.)Transfer of land from the EDA to Scott County HRA. Budget Impact: Dulas Excavating has indicated the city would receive a $10,000.00 credit on the backfill if it were to be deleted from the demolition contract. (See attached letter). Alternatives: 1. In addition, the EDA and City Council are asked to approve a contingency of 10% over and above the contract amount for unforeseen additional cost items. Background: At the February 12, 1997 Regular Meeting,the Economic Development Authority passed Resolution 97-1, approving plans and specifications and ordering advertisement for bids for the demolition of Blocks 3 & 4. Eleven bids were received on March 4, 1997. TKDA, the firm retained to draw plans and specifications for the demolition, has recommended the retention of Dulas Excavating, Inc. as the demolition contractor. Dulas' bid was for $127,558.00. TKDA also recommends that the alternate bid of$12,400.00 for backfill be accepted in case there is a delay in the project. Backfilling the site is most cost effective during debris removal in that trucks returning to the site can be used to back-haul fill material. Backfill at a later time would be an added cost. Furthermore, if the alternate bid for backfill is deleted later, there is the possibility of the contractor crediting/refunding to the city only part(estimate: 50%) of this cost. Budget Impact: The eleven bid figures were very favorable for the city since the original demolition estimate from TKDA was $550,000, which included costs for asbestos abatement and removal. Should environmental problems (abandoned underground fuel storage tanks, uncapped wells, etc.) be discovered during excavation, remediation costs would need to be covered either as change orders with the demolition contractor, or as quotes to be taken for a separate contractor to handle. 34bidmmo.doc Recommendation: The Economic Development Authority and City Council adopt Resolution 97-5; and Resolution 4635, respectively, directing the EDA and the City of Shakopee to enter into contract with Dulas Excavating, Inc. in the amount of$139,958.00 for the demolition of Blocks 3 & 4 according to approved plans and specifications. This is in reference to an item on the agenda this afternoon. I was also advised by Gregg Voxland that the City Attorney got back to him regarding for what purpose proceeds from the fire station excess property could be used. You will recall that we are using a bond sale to reimburse the proceeds of the CIF,which have funded the original purchase. There are two options that we have: 1. Reduce the size of the bond sale from $3.4 million. (This decision would have to be made tonight, and would lock us in to getting that anticipated amount from the proceeds). 2. Apply it towards items for which we would otherwise sell bonds. This year,we are anticipating a bond sale to fund the construction of Maras Street, and Vierling Drive. Other possible alternatives would be to buy a new fire truck, or other fire equipment, or apply it towards the construction or remodeling of the library. First, let me provide some history. In 1969 when the Scott County Library System was established, the city of Shakopee chose to operate a city library under the county's auspices. Per the contract between the two entities, the city provides the building, maintains the building and pays the utilities. The county provides the staff, library materials and furnishes the building. in 1969 the city rented space in the current library at 235 S. Lewis Street to the county for their administrative office. The office remained there until 1978, when it moved to the Goodspeed House by the courthouse. Later the office moved to the courthouse square, where it is currently housed. While the administrative office was located at the library, the Shakopee Library was considered a Headquarters branch. With that designation it served as a back-up for the other six branch libraries in the county. When the administrative office moved, Shakopee was designated as a branch library but remained the main reference center. In 1978, the building was tripled in size with substantial dollars being expended by the county to furnish the building. The city raised funds for the expansion without tax payer dollars. In 1994 the city and the county expended dollars to update the library. The city painted, wallpapered, installed new carpeting and improved the parking lot. The county replaced furnishings, added computers and library materials. The library is currently open 57 hours per week, seven days per week and averages 200 people through the doors daily. From the county's perspective, the size and location of the library meets current needs and is ADA compliant. Upgrades or changes would not be anticipated until sometime around 2005. The operation of city and county libraries Is defined in Minnesota Statutes Chapter 134. To operate an independent city library the city of Shakopee would have to appoint a city library board who would then be responsible for developing the policies of the city library. Staff would be city employees and would need to be hired by the city. (Annual salaries for the staff at the Shakopee Library are $63,844 plus benefits.) The city would issue their own library cards, purchase their own library materials and process �the circulation system.em, and 're. or Ag�eements would ntract for a computer to operate a catalog have to be worked out for participation with other libraries for reciprocal borrowing (the ability to use other libraries) and interlibrary loan. An independent city library is not eligible for State of Federal funds and must be a member of a region to receive such dollars. Because the Women's Correctional Facility is located within the city limits, those residents are considered residents of the city so service would need to be provided to them by the city. Currently this service is provided by the county library system. The 1996 per capita expenditure for library service on the county level was 511.35 or 2% of the total county budget. Any area that is not part of county library participation would not be taxed by the county for that service. Total taxing for the operation of a city library would rest with the city levy. It is not unprecedented to have independent city libraries within the metropolitan area. The counties of Anoka, Dakota and Washington each have at least one. However, in each of those instances, the per capita expenditure by those cities to operate is larger than the per capita expenditures for the counties to operate them. Certainly an advantage would be that the city would have local control over the operation of their library. If more information is desired, please contact me. This property has been sitting vacant for some time. The current list price is $600,000 and has been for some time. I feel the market has been sufficiently tested and in view of that, I feel the city could purchase at an attractive price. I have spoken with the marketing agent for Fraunshuh Properties, Joe Sullivan, about the possibility of the Seller taking a lower offer with the incentive of a capital gains tax credit and he indicated that was a strong possibility. Background The building bonds being sold will finance the new fire station project . Because the Council' s intent is to now sell off 10 .25 acres and keep only 4 . 27 for the fire station, bond counsel' s advice is to reduce the size of the bond sale by the proportionate share of the cost of the acres to be sold. The other option is to put the difference toward another bondable project but according to bond counsel, the option above is much cleaner. This resolution needs to be adopted at the April 28th Council meeting in order to get an addendum out the bidders on the bonds . The risk to the city of not resolving this issue is the loss of tax exemption on the bonds . Also, the cost of the whole parcel was $344 , 677 plus assessments . The assessments have not been paid out of the project fund but are being paid on a yearly basis by the General Fund (starting in 1997) . Based on the budget for the fire station, it appears that the intent was to pay the assessments out of the project fund. Therefore, the resoluton as drafted below includes the assessments . After researching my employment agreement for the National Conference, I discovered that I need to get prior approval for attendance at a State Conference as well. As the Council meeting is only the night before I will be leaving,that doesn't give you much time to respond. I apologize for that, but now know what the employment agreement calls for.
