Subject: Church Addition Park Easement
INTRODUCTION
City Council is asked to accept and authorize a park easement agreement for .26 acres
of land that Shakopee Public Utilities will own in the Church Addition development.
BACKGROUND AND DISCUSSION
The Church Addition development contains a 2.05 acre public park, with an adjoining .26
acre submersible well parcel owned by Shako pee Public Utilities. During the
development approval process, the city and SPUC agreed that this parcel could be used
for general park land. However, SPUC would need to provide the easement to the city.
Attachment A is a preliminary plan for the park with the easement area shown. As you
can see, the easement area will be left primarily as turf area for open use, meeting the
conditions set forth in the easement.
Although no money is being exchanged, the easement does specify that the city would
maintain the easement area (mow) since it is adjacent to city park land.
REQUESTED ACTION
If Council concurs, move to accept and authorize the park easement agreement with
Shakopee Public Utilities for the Church Addition.

P ARK EASEMENT AGREEMENT
This easement and agreement (the "Agreement") is made as of this _ day of ,
2004, by and between Shakopee Public Utility Commission, a municipal utility commission
organized under Minnesota law ("SPUC"), Grantor, and City of Shakopee, a Minnesota
municipal corporation ("City"), Grantee.
WHEREAS, SPUC owns certain real property situated in the City of Shakopee, Scott
County, Minnesota, more particularly described in Exhibit A attached hereto and incorporated
herein by reference ("the Property"); and
WHEREAS, the Property is vacant land on which SPUC intends to construct and operate
a municipal well and related facilities; and
WHEREAS, the City desires an easement over the Property for park purposes and SPUC
is willing to grant the same to the City on the terms and conditions set forth below.
NOW, THEREFORE, in consideration of the conditions, covenants and mutual
agreements hereinafter set forth, and for other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged by the parties, the parties hereto agree as follows:
1. RECITALS INCORPORATED. The above recitals are incorporated into and made a
part of this Agreement.
2. PERPETUAL PARK EASEMENT. SPUC hereby grants and conveys to City, forever, a
perpetual, nonexclusive easement for public park purposes over and across that part of the
Property as depicted on the attached Exhibit B. The easement granted herein includes the right
of the City to operate and maintain a park, open to the public, within the easement area. Any
park so operated and maintained must be restricted to passive recreational uses, and no
improvements of any kind (other than vegetation) may be erected or installed within the park
easement without the prior written consent of SPUC. The easement includes the right of the City
to plant, cut, trim, or remove trees, shrubs or other vegetation as the City deems desirable for the
park use, subject, however to the rights reserved by SPUC and set forth in paragraph 3 of this
Agreement.

3. RESERV ArrON" OF RIGHTS. SPUCreserves the right to install, construct, use,

operate, maintain, repair, and replace a municipal well and related facilities at any location on the
Property that SPUC deems desirable. SPUC also,reserves the right to cut, trim, or remove from
the easement area trees, shrubs, or other vegetation that unreasonably interfere with SPUC's well
or facilities. SPUC agrees to notify the City prior to' cutting, trimming, or removing any
vegetation and to work cooperatively with the City. SPUC retains the right to cross and recross
the park easement granted herein with other utility lines, pipes, wires and easements.
4. MAINTENANCE. The City is responsible for maintaining the easement area and any
improvements (as approved in accordance with paragraph 2 above) that the City erects or installs
within the easement area.
5. COMPLIANCE WITH WELL REGULATIONS. Any use made by the City of the
easement area must be consistent with regulations of the state department of health and other
regulations applicable to municipal well and water systems. A material or repeated breach of
this condition is grounds for termination of the easement. SPUC agrees to give the City written
notice of any alleged breach of this condition and a reasonable opportunity to cure the breach,
not to exceed 30 days. If the City fails to correct a material breach within the time provided in
the notice or repeatedly fails to timely correct non-material breaches, SPUC may terminate the
easement by providing written notice to the City of the termination. The parties agree to execute
an appropriate instrument to evidence the termination of the easement.
6. NONDISTURBANCE. In City's use of the easement herein granted to City, City agrees
not to unreasonably disturb SPUC's use of the Property.
7. INDEMNITY. The parties agree to mutually indemnify each other as follows:
a. SPUC, its successors or assigns, shall defend, indemnify and save harmless City,
its officers, agents and employees, against all suits, demands, causes of action,
liabilities, or claims thereof for injury or damages of whatever nature, including
death, or damage to property (i) arising out of or related to any activity of SPUC,
its agents, employees, licensees or contractors, their agents or employees on the
Property, or (ii) arising out of any default hereunder.
b. City, its successors or assigns, shall defend, indemnify and save harmless SPUC,
its officers, agents, and employees, against all suits, demands, causes of action,
liabilities or claims thereof for injury or damages of whatever nature, including
death or damage to property (i) arising out of or related to any activity of City, its
agents, employees, licensees or contractors, their agents or employees, or park
users within the easement area; or (ii) arising out of any default hereunder.
8. NOTICES. Notices in demand required, or permitted to be given hereunder shall be given
by certified mail, return receipt requested, or by a national overnight express service such as
FedEx, in the case of City, addressed to it at 129 South Holmes Street, Shakopee, MN 55379 or
at such other address as specified in writing by City and the case of SPUC, addressed to it at

SPUC.
9. EXHIBITS. All exhibits referred to herein and attached hereto shall be deemed part of
the Agreement.
10. RECORDING. The Agreement shall be recorded in the records of Scott County,
Minnesota.
11. GOVERNING LAWS. The laws of the state of Minnesota shall apply to the Agreement.
12. SEVERABILITY. If any term, provision or condition contained in the Agreement shall,
to any extent, be invalid or unenforceable, the remainder of the Agreement (or the application of
such term, provision or condition to persons or circumstances other than those in respect of
which it is invalid or unenforceable) shall not be affected thereby, and each term, provision or
condition of the Agreement shall be valid and enforceable to the fullest extent permitted by law.
18. BINDING ON FUTURE PARTIES. The perpetual easement and all covenants herein
shall run with the land and shall inure to the benefit of and be binding upon the parties, their
successors and assigns.
