Memorandum TO: Mayor & City Council CONSENT Mark McNeill, City Administrator FROM: Bruce Loney, Public Works Director SUBJECT: Consider Approval of Surface and Signal Agreement at the Sarazin Street Crossing with the Union Pacific Railroad Company on the 2003 Street Reconstruction Project No. 2003-3 DATE: July 6, 2004 INTRODUCTION: Attached is an agreement, as prepared by the Union Pacific Railroad Company, in regard to improvements to existing public road and grade crossing for Sarazin Street in the City of Shakopee and included in the 2003 Street Reconstruction Project. Also, attached is a resolution in regard to this proposed agreement. BACKGROUND: With the 2003 Street Reconstruction Project, an improved surface railroad crossing with signals and gates is required by the Union Pacific Railroad for the Sarazin Street crossing with the Union Pacific tracks. Previously, a 24 foot wide gravel road existed with railroad cross bucks. This agreement calls out the responsibilities of the railroad and the City in regard to the installation of an improved railroad crossing for the 36 foot wide roadway and the 8 foot bituminous trail located on the east side of Sarazin Street and for the signal with gates for active warning devices at this crossing. The main conditions of this agreement are as follows: 1. The railroad shall furnish all labor, material and equipment to install a 48 foot pre-cast concrete crossing, field weld rail, relay track at crossing with rail, renew the crossties, surface the track with new ballast and install flashing lights, gates, cabin and constant warning time circuitry at this crossing at the Union Pacific tracks with Sarazin Street. 2. The City of Shako pee agrees to reimburse the railroad for 100% of the railroad's preliminary engineering, actual labor and material costs and these costs estimates included in the agreement as Exhibit B as indicated at $251,968.00. 3. The railroad will maintain the crossing between the track tie ends. 4. The City at its cost and expense provide traffic control, barricades and detour for the crossing work and provide warning signs and pavement markings in compliance and conformance with the Manual on Uniform Traffic Control Devices on Sarazin Street. 5. The City will have its Contractor execute the railroad's standard and current form of Contractor's Right-of- Entry Agreement. 6. The City agrees to protect any fiber optic cable systems that may be buried on the railroad's property. The City of Shakopee needs to complete this agreement in order to have the approved crossing with signals and gates installed for the completion of Sarazin Street associated with the 2003 Street Reconstruction Project. Staff had estimated $225,000.00 for this work, as included in the feasibility report. The City had indicated in the feasibility report, the City is responsible for this cost, as with previous railroad crossings in the City of Shakopee, and will be paid for by Municipal State Aid funds. ALTERNATIVES: 1. Offer Resolution No. 6082, a resolution authorizing the execution of a surface and signal agreement between the Union Pacific Railroad Company and the City of Shakopee for the 2003 Street Reconstruction Project No. 2003-3. 2. Do not execute this agreement. 3. Table for additional information. RECOMMENDATION: Staff recommends Alternative No. 1. That the Mayor, City Administrator and City Clerk of said City is 'hereby authorized, empowered and directed to execute said agreement on behalf of said Company and that the City Clerk of said City is hereby authorized and directed to attest said agreement and to attach to each duplicate original of said agreement a certified copy of the Resolution. Wilwerding /~:l.1W~J Manager Ind. and Public Projects :Public Road Improvement 12/04/00 Estimated Costs Form Approved-A VP Law Improvements to Existing Public Road At Grade Crossing For Sarazin Street, DOT 185 324N (Old Viking Steel Road) M.P. 26.71 Shakopee, Minnesota TIDS AGREEMENT, executed in duplicate this _ day of June, 2004, by and between UNION PACIFIC RAILROAD COMPANY, a Delaware corporation (hereinafter the "Railroad"), and CITY OF Shakopee, a municipal corporation of the State of Minnesota (hereinafter the "Political Body"), WITNESSETH: RECITALS: The Political Body has requested the Railroad to improve the existing Sarazin Street crossing, at grade, along, over and across the Railroad's track and right of way at Mile Post 26.71, Mankato Subdivision, DOT No. 185 324N, in City of Shakopee, Scott County, Minnesota to which the Railroad is agreeable, but solely upon terms and conditions hereinafter set forth. AGREEMENT: NOW THEREFORE, in consideration of the premises and of the promises and conditions hereinafter set forth, the parties hereto agree as follows: 1. The Railroad shall furnish all labor, material, equipment and supervision for, and shall (a) install a 48 ft. precast concrete crossing, (b) field weld rail, (c) relay track at crossing with 136# rail, (d) renew the crossties, (e) surface the track with new ballast, and (f) install flashing lights with 12" LED's, gates, cabin and constant warning time circuitry all at the intersection of the Railroad's Main Linewith Sarazin Street at Mile Post 26.71 in Shako pee, Scott County, Minnesota, as shown generally on Railroad's print dated January 13,2004, marked Exhibit A, hereto attached and hereby made a part hereof. 2. The Political Body agrees to reimburse the Railroad for one hundred percent (100%) of Railroad's preliminary engineering, actual labor and material costs associated with the work and materials described in Section 1 above. The Railroad estimates such cost to be Two Hundred Fifty One Thousand Nine Hundred and Sixty Eight Dollars ($251,968.00), as set forth in Estimates of Material and Force Account dated May 27 and June 1,2004 marked Exhibit B, hereto attached and hereby made a part hereof. During the performance of such work the Railroad will provide progressive billing to Political Body based on Railroad's actual costs. Actual costs to the Railroad shall include customary additives to materials, services and labor provided by the Railroad. Within 120 Days after Railroad has completed its work, the Railroad will submit a final billing to Political Body for any balance owed. Political Body shall pay the Railroad within thirty (30) days of its receipt of all bills submitted by the Railroad. 3. The Railroad, at its cost, shall maintain the crossing between the track tie ends. If, in the future, the Political Body elects to have the surfacing material between the track tie ends replaced with paving or some surfacing material other than timber planking, the Railroad, at the Political Body's expense, shall install such replacement surfacing. 4. If Political Body's contractor(s) is/are performing any work described in Section 4 above, then the Political Body shall require its contractor(s) to execute the Railroad's standard and current form of Contractor's Right of Entry Agreement. Political Body acknowledges receiptof a copy of the Contractor's Right of Entry Agreement and understanding of its terms, provisions, and requirements, and will inform its contractor(s) of the need to execute the Agreement. Under no circumstances will the Political Body's contractor(s) be allowed onto the Railroad's premises without first executing the Contractor's Right of Entry Agreement. 6. Fiber optic cable systems may be buried on the Railroad's property. Protection of the fiber optic cable systems is of extreme importance since any break could disrupt service to users resulting in business interruption and loss of revenue and profits. Political Body or its contractor(s) shall telephone the Railroad during normal business hours (7:00 a.m. to 9:00 p.m., Central Time, Monday through Friday, except holidays) at 1-800-336-9193 (also a 24-hour number, 7 day number for emergency calls) to determine if fiber optic cable is buried anywhere on the Railroad's premises to be used by the Political Body or its contractor(s). If it is, Political Body or its contactor(s) will telephone the telecommunications company(ies) involved, arrange for a cable locator, and make arrangements for relocation or other protection of the fiber optic cable prior to beginning any work on the Railroad's premises. 7. The Political Body, for itself and for its successors and assigns, hereby waives any right of assessment against the Railroad, as an adjacent property owner, for any and all improvements made under this agreement. 8. Covenants herein shall inure to or bind each party's successors and assigns; provided, no right of the Political Body shall be transferred or assigned, either voluntarily or involuntarily, except by express written agreement acceptable to the Railroad. 9. The Political Body shall, when returning this agreement to the Railroad (signed), cause same to be accompanied by such Order, Resolution, or Ordinance of the governing body of the Political Body, passed and approved as by law prescribed, and duly certified, evidencing the authority of the person executing this agreement on behalf of the Political Body with the power so to do, and which also will certify that funds have been appropriated and are available for the payment of any sums herein agreed to be paid by Political Body.
