Subject: Valley Creek Crossing Conservation Easement
Introduction:
Dale Dahlke, V.P., Associated Capital Corporation is requesting the approval by City
Council to allow the construction of a watermain through a conservation easement that
was granted to the cit.y in the AC.C. 2nd Addition and Valley Creek Crossing
developments. The conservation easement and a platted drainage and utility easement
occupy the same area.
Backaround and Discussion:
AC.C. granted a conservation easement to the City of Shakopee during the plat process
for ACC 2nd Addition. The conservation easement extends into both AC.C. 2nd Addition
and Valley Creek Crossing (Attachment A).
As part of the Valley Creek Crossing development, Shakopee Public Utilities required a
second water source to create a loop. However, the only practical alignment for the loop
was through the drainage and utility/conservation easement. Documents submitted to
the city for review during the preliminary plat process did not show the watermain
through the conservation easement area, but were added in further revisions of the
plans. Unfortunately, staff had not been reviewing utility plans for compliance with
conservation easement so we missed this design change during the review process.
The conservation easement was a recommendation from the Environmental Advisory
Committee to protect an environmentally sensitive ravine that extends down the bluff
line. The conditions of the conservation easement specifically prohibit anything made by
man. However, the conservation easement is also a drainage and utility easement. The
City Attorney has provided an opinion that the drainage and utility easement prevails
over the conservation easement.
We met with Mr. Dahlke at the site three times to explore other watermain routing
options, including re-routing the watermain outside the conservation easement area onto
an adjacent private property. However, Mr. Dahlke was apparently not able to acquire
the additional drainage and utility easement from the property owner.
Recommendation:
The portion of the conservation easement area designated for the watermain has
already been prepared for installation of the watermain by removal of debris and small
trees within the easement area (Attachment B). This is in violation of the conservation

easement as it is currently written. (City approval is required to conduct work in this
area.) In essence, the damage to the conservation easement area has already been
done. Therefore, it is our recommendation that the watermain be allowed in the
easement area.
As part of the approval, we would recommend that the developer be required to restore
the disturbed areas, and Council may want to consider asking the developer to do
additional enhancement throughout the remainder of the conservation easement area
based on a management plan for the conservation easement. The management plan
would outline the removal of invasive, dead, or diseased species and restoring with
native plants. At this point, we don't have a specific plan but would develop one with
existing staff expertise.
We should note that we have a much larger conservation easement area in the
Whispering Oaks development that grants the city the right (but not the obligation) to
manage this area as well. This easement area is heavily infested with invasive buckthorn
and other plants that will degrade the easement area over time. There should be future
discussion with the Environmental Advisory Committee and Council about what type of
commitment the city will make to manage conservation easement areas as they can be
labor intensive.
Reauested Action:
If City Council concurs, move to:
1. Permit the installation of the watermain through the conservation easement area in
the Valley Creek Crossing and AC.C 2nd Addition development.
2. Require the developer to restore the disturbed area based on a plan that will be
developed by the city.
Council may also want to consider requiring the developer to do additional
enhancements in the remainder of the conservation easement area based on the to-be-
developed management plan.

CONSERVATION EASEMENT
TIllS INSTRUMENT is made by Associated Capital COIporation, Grantor, in favor of the
City of Shakopee ("Cit1')~ a Minnesota municipal corporation.
Recitals
A. Grantor is the fee owner of property (''the Property'') located in Scott County, Minnesota
and legally described as follows:
The Northeast Quarter of the Southwest Quarter of Section 18, Township 115, Range
22, Scott County, Mhmesota
B. Grantor desires to grant to the City an easement, according to the tenns and conditions
contained herein.
Tenns of Easement
1. Grant of Easement. For good and ",alllable consideration, receipt of which is acknowledged
by Grantor, Grantor grants and conveys to the City the following easement:
A perpetual~ non-exclusive easement for conservation purposes over, under, across and
through that part of the Property described as follows:
An Easement for Conservation purposes over and across that part of the Northeast
Quarter of the Southwest Quarter of Section 18, Township liS, Range 22, Scott County,
Minnesota, described as follows:
Commencing at the Southeast comer ofsaidNE1I4 of the SWl/4; thence S 87003'12"
W, along said south line of said NEl/4 of the SWl/4 a distance of240.12 feet to the point

of beginning of the easement to be described; thence continuing S 87003 '12" W, along
said south line a distance of 84.42 feet; thence N 30 05'33" E, a distance of268.46 feet;
thence N 250 27' 02" E. a distance of 379.37 feet; thence N 000 42'01 to E, a distance of
149.06 feet; thence S 860 58'38" E, a distance of 79.07 feet; thence S 150 08'18" E, a
distance of 84,54 feet; thence S 204T 17" E, a distance of 138.32 feet; thence S 270 32'
05" W, a distanceof2S1.83 feet; thence S 15039'37" W, a distance of319,97 feet to the
point of beginning.
(the "Easement Area").
2. Scope of Easement. Grantor, for itself, its successors and assigns, declares and agrees
that the following prohibitions shall continue in perpetuity in the Easement Area:
a. Constructing, installing or maintaining anything made by man.
b. Cutting or removing trees or other vegetation. Notwithstanding the foregoing,
trimming trees and vegetation to maintain their health, removing dead or diseased
trees and vegetation and removing selected trees and vegetation to allow sunlight
to penetrate to limited parts of the Easement Area; or to remove invasive plants
such as buckthom may be pennitted~ but only when approved by the City.
c. Exoavating or filling within the Easement Area..
d. Applying chemicals for destruction or retardation of vegetation, unless first
approved by the City.
e. Depositing of waste or debris.
f. Applying herbioides. pesticides and insecticides.
g. Applying fertilizers.
h. Conducting activities detrimental . to the preservation of the scenic beauty,
vegetation and wildlife in the Easement Area..
i. Removing~ damaging, destroying or defacing any monuments or markers placed
to delineate the Easement Area.
J. Plastic, concrete, metal and painted materials may not be used to stabilize the
creek bed or bank. Only natural vegetation or rock may be used for such purposes.
3. Grantor, for itsel~ its successors and assigns, grants to the City the affirmative right, but
not the obligation, to do the following in the Easement Area:
a. Enhance the slope, trees, vegetation and natural habitat at no cost to the Grantor.

b. Enter upon the Easement Area at any time to enforce compliance with the tenns
of this Conservation Easement.
, Take such other action as the City deems necessary or advisable in its sole

discretion to enforce compliance with the tenns of this Conservation Easement.
d. Install and maintain monuments or markers delineating the Basement Area.
4. Warranty of Title. The Grantor warrants that it is the owner of the Property as described
above and has the right, title and capacity to convey to the City the Conservation Easement
herein.
5. Environmental Matters. The City shall not be responsible for any costs, expenses,
damages, demands~ obligations, including penalties and reasonable attorney's fees, or losses
resulting from any claims, actions~ suits or proceedings based upon a release. or threat of release
of any hazardous substances, pollutants, or contaminants which may have existed ODJ or which
relate to, the Easement Area or Property prior to the date of this instrument.
6. Binding Effect: Enforceability. The tenns and conditions of this instrument shall run
with the land and be binding on the Grantors, and Grantor's heirs, successors and assigns. This
Conservation Easement is enforceable by the City of Shakopee acting through its City Council.
