INTRODUCTION:
Attached is a Cooperative Agree�nent for the CSAH l7 & Vierling Drive and CSAH 17 & TH
169 North Ramp Intersection Improvements and an Extension Agreement with Bolton & Mcnk,
Inc. (BMI) for engineering design scrvices for Council revicw and approval.
BACKC:ROUND:
On December 6, 2011, the city council approved a Request for Proposal (RFP) and authorized
staff to solicit proposals for enginecring design scrvices for the above referenced project. The
City of Shakopee, with the assistance of Scott County, applied for and was selected for a Federal
Highway Safety Improveinent Project (HSIP) grant in the amount of $1,101,600.00 for
intersection improvements on the CSAH 17 comdor.
Staff did reccive four proposals in regards to engineering design scrvices from the following
firms:
• WSB & Associates, Inc.
• Bolton & Menk, Inc.
• Sliort, Elliott, Hendrickson, Inc.
• SRF Consulting Group
A review committee consisting of Lisa Freese and Tony Winiccki from Scott County, Jeff
Weyandt and Bruce Loney from the city of Shakopee reviewed the proposals and are
recommending the finn of Bolton & Menk, Inc. for the enginecring design services on this
project. The committee is recommending BM[ as their proposal did address the major issues in
an innovative way and thcir approaeh providcd for better coordination between the State,
County, City and the business community. Attached to this memo is the extension agreement
with BY[I which outlines the tasks assoeiated with the project with a cost not to exceed of
$176,649.00. If nght of way acquisition services or construction engineering services are
needed, a separate agrecmcnt will be entered into betwecn BMI and the city.
Funding for this project is to be from the Highway Safety lmprovement Project funds tioin the
state, and the remainder of costs to be split �0/50 between the county and the city. The city and
county costs are for the 10% local construction inatch, 100% of right of way acquisition, and
100% of the engineering costs. Attached is a cooperative �greement bchveen the city and the
county for cost participation for the project. The city of Shakopec will be the lead agency for the
project with Scott County obviously involved in the approval process due to CSAH 17 and the
State approving the plans due to TH 169 and nearly state right of way.
[n addition to the intersection iinprovements mentioned, this project will also address the
pavement rehabilitation of Vierling Drive from Heather Street to Miller Street. Thc paveinent
rehabilitation costs will be 100°/o city costs. Attached also is the CIP sheet for this project which
has an estimated tota] cost of $2,050,000.00.
ALTERNATIVES:
l. Authorizc the appropriate City officials to execute the Cooperative Agreement for Project
No. SP 166-020-OS and authorize funding for this project to come from the City's Capital
lmprovement Fund (CIF).
2. Do not authorize the Cooperative Agreement for Project No. SP 166-020-014.
3. Authorize the appropriate City offieials to execute the Extension Agreement with Bolton
& Menk, Inc. for Engineering Design services for Project No. SP 166-020-014.
4. Do not authorize the Extension Agreement with Bolton & Menk, Inc. for Project No. SP
166-020-014.

RECOMb1ENDATION:
Staff would recommend Altemative No. 1 and No. 3, in order for this project to move forward
with design aud with an agreement with the eounty on cost participation. The schedule for this
project is anticipatcd to be design in 2012/2013 with any right of way acquisition in 2013 and
final approval by March, 2014 and construction in 2014.

CONSTRUCTION COOPERATIVE AGREEMENT
THIS AGREEMENT, made and entered into this day of , 2012, by and
between the County of Scott, a body politic and corporate under the laws of the State of Minnesota, hereinafrer
referred to as the "County" and the City of 5hakopee, a body politic and corporate under the laws of the State
of Minnesota, hereinafter referred to as the "City".
RECITALS:
A. The City is considering bringing about the intersection safety improvements to County Highway (CH)
17 at Vierling Drive in the City of Shakopee through City ProjecY No. 2012-6, State Project No. 166-
020-014 and County Project No. CP 17-30. The proposed project includes geometric improvements
at CH 17 (Marschall Road) and Vierling Drive, and work on the southbound Trunk Highway (TH)
l69 exit ramp with CH17, hereina$er referred to as the Project.
B. The above described Project lies within the corporate limits of the City.
C. The City has applied for and received federal fixnds from the Highway Safety Improvement Program
in the 2009 Regional Solicitation of the Transportation Advisory Board. The Project is programmed
in State Fisca12013 in the 2012-2015 Statewide Transportation Program for $1,224,000 with
$1,101,600 in federal funds. The City must provide a local match of ten (10%) percent of the
construction costs of the Project and that is estimated to be $122,400.
D. The County has expressed its willingness to participate in the design, right of way acquisition and
non-federal construction costs for the Project.
E. The City has indicated that it inay also rehabilitate Vierling Drive beyond the limits of the inYersection
as a part of this Project. The portion of Vieriing Drive beyond this intersection is not a part of this
agreement or subject to the County's participation.
F. It is contemplated that all of the above improvement work shall be carried out by the parties under the
provisions of Minn .Stat. Sec. 162.17, subd. 1.

NOW, THEREFORE, IT IS HEREBY AGREED:
1. The City shall perform all the required design engineering and right-of way acquisitions services, if
necessary, for the Project and prepaze all the necessary plans, specifications, and proposals to obtain
project authorization in a titnely manner.
2. The City and County will share equally all costs associated with contracted design and right-of-way
acquisition services, right of way costs, contracted construction engineering services and construction
costs beyond the federal fimding. (County's sllare is estimated at 5375,�00.00)
3. The County agrees to assign a project development liaison to the Project to coordinate plan and right of
way reviews with the City during the development of the plans, specifications and proposals for the
Project.
4. The City or its agents shall advertise for bids for the work and construction of the aforesaid City Project,
receive and open bids pursuant to said advertisement and enter into a contract with the successful bidder
at the unit prices specitied in the bid of such bidder, according to law in such case provided for cities.
5. The City shall have overall authonty to administer the contract and inspect the construcYion of the
contract work contemplated herewith. The County agrees to provide a construction inspection liaison to
oversee the construction work on CH 17 included in the Project and act as a point of contact with the
City personnel when making decisions about County Highway related items. The City shall have
ultimate authority in initiating and determining change orders, supplemental agreements and final
quantities. The County Engineer shall cooperate with the City Engineer and his staff at their request to
the extent necessary, but shall have no other responsibility for the supervision of the work.
6. If eminent domain is necessary for the Project, the County will enter into a joint powers agreement with
the City to provide all necessary authority to the City to perform such responsibiliYies. All contract costs
related to eminent domain, if necessary, will be shared equally by the City and the County.
7. Neither the City nor the County will bill for, nor expect to 6e reimbursed for, in-house staff time and
expenses incuned on the project delivery or construction of the Project.
8. The City shall obtain [he County's concurrence prior to awarding the construction contract.

9. W`ithin thirty (30) days of the City's award of construction contract for the Project. The County shall
deposit with the City of Shakopee 100 percent of the County's share of contracted program delivery
costs, right of way acquisition costs and the estiinated County's share of the contract value. In the event
this payrnent exceeds the County's tinal sharc of these costs, as determined by the actual final contract
costs, such overpayment shall be returned to the Counry by the City upon closeout of the project.
10. In the event the Project fails to receive the federal funds committed to this Project, all conditions of this
agreement become null and void.
11. In the event that a dispute arises, the County and the City agree that all disputes between them arising
out of or relating to this agreement shall be submitted, upon ageement of both parties, to mediation,
with the cost being shared equally.
12. Since each party recognizes each other as a political subdivision of the State of Minnesota, each party
shall maintain general liability and automobile liability coverage protecting itself, its officers, agents,
employees and duly authorized volunteers against any usual and customary public liability claims ro the
limits prescribed under Minn. Stat. Sec. 466.04 and Workers' Compensation and shall be in accordance
with the Minnesota statuYory requirements. Said policies shall be kept in effect during the entire term of
this agreement.
l3. All records kept by the City and the County with respect to the Project shall be subject to examination by
the representatives of each party. All data collected, created, received, maintained ar disseminated for
any purpose by the activities of the County or City pursuant to this agreement shall be governed by
Minnesota Statutes Chapter 13, as amended, and the Minnesota Rules implementing such Act now in
force or hereafter adopted.
14. Neither the County, its officers, agents or employees, either in their individual or official capacity, shall
be responsible or liable in any manner to the City f'or any claim, demand, action or cause of action of any
kind or character arising out of, allegedly arising out of or by reason of the performance, negligent
performance or nonperformance of the described maintenance, restoration, repair or replacement work
by the City, or arising out of the negligence of any contractor under any contract let by the City for the
performance of said work; and the City agrees to defend, save and keep said County, its officers, agents
and employees harmless from all claims, demands, actions or causes of action arising out of negligent
performance by the City, its officers, agents or employees.

I5. It is further agreed that neither the City, its ofticers, agents or employees, either in their individual or
official capacity, shall be responsible or liable in any manner to the County for any claim, demand,
action or cause of action of any kind or character arising out of, allegedly arising out of or by reason of
the performance, negligent performance or nonperfonnance of the described maintenance, restoration,
repair or replacement work by the County, or arising out of the negligence of any contractor under any
contract let by the County for the performance of said work; and the County agrees to defend, save and
keep said City, its officers, agents and employees harmless from all claims, demands, actions or causes
of action arising out of negligent performance by the County, its officers, agents or employees.
16. It is further agreed that each party to this agreement shall not be responsible or liable to the other or to
any other person or entity for any claims, damages, actions, or causes of actions of any kind or character
arising out of, allegedly arising out of or by reason of the performance, negligent performance or
uonperformance of any wark or part hereof by the other as provided herein; and each party further agrees
to defend at its sole cost and expense any action or proceeding commenced far the purpose of asserting
any claim of whatsoever character arising in connection with or by virtue of performance of its own
work as provided herein.
l7. It is further a� that any and all employees of the City and all other persons engaged by the City in the
performance of any work or services required or provided herein to be performed by tbe City shall not be
considered employees, agents or independent contractars of the Counry, and that any and all claims that
may or might arise under the Worker's Compensation Act or the Unemplo}nnent Compensation Act of
the State of Minnesota on behalf of said City employees while so engaged and any and all claims made
by any third parties as a consequence of any act or omission on the part of said City employees while so
engaged shall be the sole responsibiliYy of the City and shall not be the obligation or responsibility of'the
County.
18. Any and all employees of the County and all other persons engaged by the County in the performance of
any work or services required or provided for herein to be performed by the County shall not be
considered employees, agents or independent contractors of the City, and that any and all claiins Yhat
may or tnight arise under the Worker's Compensation Act or the Unemployinent Compensation Act of
the State of Minnesota on behalf of said County employees while so engaged and any and all claims
made by a�iy third parties as a consequence of any act or omission on the part of said County employees

19. The �rovisions of Minn. 5tat. Sec. I 81.59 and of any applicable local ordinance relating to Civil Rights
and discrimination and the aftinnative action policy statement of Scott County shall be considered a part
of this agreement as though fully set forth herein. See Exhibit "A°.
20. Pursuant to Minn. Stat. Sec. 16C.05, subd. 5, the books, rewrds, documents, and accounting procedures
and practices of the County and City pursuant to this agreement shall be subject to examination by the
County, City and the State Auditor. Complete and accurate records of the work performed pursuant to
this agreement shall be kept by the County and City for a minimum of six (6) years following
termination of this ab eement for such auditing purposes. The retention period shall be automaticaily
extended during the course of any administrative or judicial action involving the County or the City
regarding matters to which the records are relevant. The retention period shall be automatically extended
until the administrative or judicial action is finally completed or until the authonzed agent of the County
or City notifies each party in writing that the records no longer need to be kept.
21. The laws of the State of Minnesota shall govern all questions and interpretations concerning the validity
and construction of this agreement and the legal relations between Yhe parties and performance under it.
The appropriate venue and jurisdiction f'or any litigation hereunder will be those courts located with the
County of Scott, State of Minnesota. Litigation, however, in the federal courts involving the parties
shall be in the appropriate federal court within the State of Minnesota.
22. In the event any provision of this ageement shall be held invalid and unenForceable, the remaining
provisions shall be valid and binding upon the parties unless such invalidity or non-enforceability would
cause the agreement to fail its purpose. One or more waivers by either party of any provision, term,
condition or covenant shall not be construed by the other party as a waiver of a subsequent breach of the
same by the other party.
23. The County's Authorized Agent for the purpose of the administration of this agreement is Maria A.
Heller, Supervisor Admin Services, or her successor. Her current address and phone number are Scott
County Highway Department, 600 Country Trail East, Jordan, MN 55352, (952) 496-8369.
24. The City's Authorized Agent for the purpose of the administration of this agreement is Bruce Loney,
City Public Works Director, or his successor. His current address and phone nu�nber is 129 S Holmes
Street, Shakopee, MN 55379, (952) 233-9300. Any change in name, address, or telephone shall be
notieed to the other party.

POLICY STATEMENT
It is the policy of Scott County Government to provide Equal Opportunity to aIl employees and

BACKGROUND INFORMATION
Cotmty Highway [CH) l7, otherwisc known xs Marschall Road, is u vital roadway to the City oC
Shxkopec �aod Scott Cowity_ 1he City and County l�ave been working together w preserve and czpand
this corridor [o accommodate [he growing demands tha[ are placed upon it.
The CH 17/'I'H 13 Corridor Smdy was completed io ZOp9, which rciterated the importance of [his corridor
as one to prescrve and inves[ in. As a result of this study, the funetiooal classification of the corridor was
ch2nged from an A-Minor Connecror to an A-Minor Expander, which opened up additional funding
sources to upgrttde the cnrridor. Ul�imately, the corridor may be elevated to a Principal Arterial and
Vln/DOT may be thejurisdictional aulhority over this importa�l regional ro�dway. North of TH 169, the
roadway is planned tu remai�� a County Highway.
The City and Cou�ty collaboration has yielded substantial sucecss siuce the Corridor Study was
completed in 2009. Federal funds were obtaioed for thrce differcot improvements along the corridor,
includine CH 42 intersection improvemc�ts, CH 78 and CH 17 improvemeots, and thls project, which
received HS[P funding. According to the current STIP, the HSIP funds obtained 90% ($1, I O1,600) for
safety and capacity improvements at the intersections of CH l7 and the TH ] 69 northbound rxmp and
Vierling Drive for cons[ruction in 2014. Projcct elements include:
• Constructing additiona] left Wrn lancs
• Bxtei�ding the northbound nght turn lane at Vierling Drive
• Rcbuilding [he signal systems
• Providing cuuntdown pedestrian indications
• Providing signa] comrnunication in[erconnect
• [nstalling a red light ronning system
• Replacin� trail seements
• Incorporatina ADA pedes[rian amenities
Thc City has also addcd in rehabilitation of the 0.4 ntiles of pavement on Vierling Drive be[wee� Heather
Street and Millcr Street. "I'his cornponent of the project is not a part of the HSIP funded project.
We �nderstand the Ciry, in conjunction with the Couoty, dcsire to have the improvcments designed in
2012, acquire right-of-way io 20] 3, and construct in 2014. The HSIP funding requires tinal pl�m approva]
before March 31, 2014.
PROJECT APPROACH
Bolton & Menk will lonk beyond completing the minimum to satisfy Mn/DOT's In[ersectio� Control
Evaluution ([CE). The RH'P ide�tifies [he �eed [o evaluate signal �pgrades and a roundabouL Our tcum
will take a broader look at the study area to fully undcrstand the traffic patterns. We will identiCy multiple
methods to accommodttte [he existing and forecasted movements and demands, as well as means to
incorpora[e the desired safety elements. We will work wi[h project partners [o nteet the City's, County's,
and M��/DOT's necds to reach a recommendation based on the objectives ]isted below, confined to the
available fu�ding.

There are three distinctive elements within this project that are discussed further below.
1) Safetv and C1o�citv Improvements •it CH 17 and Vierlin� Drive
V ierlin� Drive is a City Collec[or roadway providiog the primary access to a majur commcrcial node tha[
indudes Cub Foods, many nhops, services, and restsurxnts. This intersection of CH 17 and Vieding Drive
has historically been Ihe numbcr ooe location i� the City for crashes annually.
The ohjectives of this study will be to identify multiple concepts to accommodate [he traffic demands. We
will pay specia] attention to not only address the issues thut xre visible today, but examine fun�re
conditions us well. We wil] ideotify different and innovative coucepts und inform stakeholders of thc
expected capacity and life. We will not lose sight of the cost irnplications of-Uie recommendalions as wc
re2lize Cunding for improvemcnts is limited. We also recognize rieht-of-way impacGS cat� be
unpredictable, adds risk to project cost control, and delays project progress. We will identify concepts that
do no[ require any righ[-of-wxy ucquisition and weigh those benefi[s and costs againsl Ihose Iha[ do
impact right-of-way. If a concepl could achieve similar or intproved operatiuns while minimizing or
eliminatina the need for additinnal right-of-way, the risk of schedule implications signiCicundy decreases.
Che savings from [hose cos[ly right-of-way impacts co�ld be better spe�t o� a sus[ainable solution.
2) Caoacitv Gnnrovements �it CH U and the TH 169 Southbound Exit Ramp
The PM peak dem�mds on the southbnuod exit from TH 169 to southbouod CH 17 have been greater thun
the capacity of the intersectiun for a �urnber of years. The queuiog down the exit rump introduces a safety
concem for the high speed freeway [raffic. The HS�P award incloded f�ndiog to expund the cupaciry of
Ihis movemen[ by providin� wes[bound dual left turning lanes. This can be completed Cairly simply with
expansion of the existing infrastructure. There are signa] cabinets and other utilities that will likely need
to be relocated with this construction.
3) Vierlino llrive Im rovements
Vieding Drive is an impurt<mt City CoLlec[or roadway paralleling TH L69 that provides access further
into the commuoity, with the roadway stretching four miles from Canterbuiy Park to Taylor Street, with a
future exte��sion to CH 69. Segments of the pavement are in necd of rehabilita[ioa This project will
include rehabilitation of the OA miles of pavement un Vierling Drive bctween Hcather Strcet and Miller
Street. "I'his project presents an oppottu�ity lo recondition the pavemen[ on Vierling Drive in [he project
xrea in conjunc[ion with the intersection safety improvemeots. Depending on the recommendations, this
projec[ also allows V icr�i�g Drive lo accommodate some minor changes, or cha�ges in slripin� or laoe
usc.

• 3.l Soil Borings — Up ro nine (9) solid-stem powe� auger borings for roadway and trail
improvemeots, at least 5 feet deep; and up to three (3) bituminous cores. These will be evenly
dis[ribu[ed on Vierling Drive, CH l7, amd TH 169 exit. r:�mp.
• 32 Laboratory Testing — lip [o eight (8) moisture conte�t tests and two (2) mechanical analysis
throu�h #300 sieve; R-value and proctor tests ure not anticipated.
• 3.3 Engineering Analysis tmd Reporls will include repor[ine on exploration locations, boring
logs, tmd subsurface profile and aroundwater, recummendations for preparing subgrades, design

Task 9: Topoeraqhic Survey and Basemappine
To support [he design of necessxry intersection improvemenU nt this locxlion, u topogrxphic survey und
base mapping are needed. Thc approximate bnundary of the survey is described as follows:
• 1600 fee[ of CSAH 17 between the bridge over US l69 and trail underpass of CSAH 17
• 1000 fee[ of Vierling Drive be[weeo Tashti Blvd und Rumsey Slreet
• 900 feet of the US l69 westbound exit rttmp
TUis boundary was baced on the probable extent of roadway widening and grading, Scott Counry data will
supplement this survey data and be used for lratfic concept cvaluatinn, drainagc area cslculations, pavement
rehabiliTUtion plans, construclion sWgine, and uthcr visual nccds.
Survey will include all surCaces, utililies, and other fcatures within the ri�ht-of-way as well us on adjncent
pruperlies up to ��d including adjaccnt parking lot cdge, signing, a�d landscaping. Wc will rccord localion
of right-of-way monume�itation; stnrm sewer rim elevations, invert elevations, and pipe sizes; soil and
pavcrnent borings; all markcd utilities from a Gopher State O�e Call; and all Vees hy sizc and common
species. Veirical data will be collected to develop 1-foot cootour intervals.
Task 10: Constniction Services
No Construction Services are included in this scope of services at Ihis iime. When these services aze
necessary, a separa[e work agreement or amendmeot to this xgreement wilL be prepared.
