SUBJECT: Approval of Plans for River District Trunk Sewer Reconstruction,
Phase II and the Reconstruction ofCSAH 101, from
CSAH 17 East 1370 Feet to the Mill Pond Bridge, Project No. 2006-3

INTRODUCTION:
The City has prepared plans for the replacement of sanitary sewer and watermain in the
area ofCSAH 101, from CSAH 17 east 1370 feet to the Mill Pond Bridge. Scott County
has prepared plans for the reconstruction of CSAH 101, from CSAH 17 east 1370 feet to
the Mill Pond Bridge, and the City will be able to replace its utilities within this corridor
working with the County in the reconstruction of this highway. The purpose of this
agenda item is to approve plans for the CSAH 101 reconstruction and the replacement of
sanitary sewer, watermain and storm sewer in this area. Also as part of this agenda item,
is the approval of a Cooperative Agreement with Scott County for CSAH 101
improvements and the City improvements. A Draft Reimbursement Agreement with
Shakopee Public Utilities Commission (SPUC) for watermain reconstruction is attached
for Council review.
BACKGROUND:
Previously, the City authorized the preparation of plans for the reconstruction of the East
River District Trunk Sewer line, from east of the MCES lift station to the Union Pacific
Railroad right-of-way. The current trunk sanitary sewer line is located under a row of
mobile homes in the Valley Haven Mobile Park and is in poor condition and needs to be
replaced. The design proposed is to relocate the trunk line away from the mobile homes
to a location west of the trailer park and adjacent to the MCES forcemain. SPUC will
also be reconstructing the watermain in this area as part ofthe project.
As mentioned previously, in the April 4, 2006 memo and Council meeting, the County
has prepared plans for CSAH 101 reconstruction and has asked the City to enter into a
Cooperative Agreement for its share of storm sewer improvements in this area and for
reimbursement of sanitary sewer and watermain reconstruction costs. The City will then
need to enter into a Reimbursement Agreement with SPUC for its share of the watermain
costs, as the County desires to only enter into an agreement with the City for this project.
Attached to this memo is a Construction Cooperative Agreement with Scott County for
the reimbursement of costs to the County for storm sewer, sanitary sewer and watermain
reconstruction work. Also included is a Draft Reimbursement Agreement with SPUC for
their share ofwatermain work with this project.
As mentioned previously at the April 4, 2006 Council meeting, one of the main issues is
the accesses that are currently on CSAH 101 and proposed removal of these accesses and
combining them with other accesses for access management and better traffic safety.
Attached to this memo is an updated County plan of accesses for this corridor. County
and City staffhave met with the property owners to go over issues and concerns. A new
drawing showing the design and accesses along this corridor is attached.
Another issue for the businesses in this area is the impact due to construction of utilities
and roadway. Attached to this memo is a traffic control plan that the County has worked
on in order to provide safe movement of traffic for one lane in both directions. County
staff would be available to go over the traffic plan and accesses on their plan with the
Council at the meeting.
As mentioned previously, staff had budgeted $500,000.00 in the Sanitary Sewer Fund for
this project. The current estimates include the storm sewer replacement costs for CSAH
101 to be at $45,513.78 and would be paid out of the Storm Drainage fund to the county.
The sanitary sewer replacement cost is estimated to be $339,266.02 and SPUC's cost for
watermain replacement at $170,067.42 which will be paid to the county by the city. The
City will need to provide construction engineering for the sanitary sewer work, including
surveying and inspection and these indirect costs will be added to the proj ect and SPUC
and the city will share these costs prorated.
The Council should give staff input on street lighting on CSAH 17 as there are three
street lights which need to be relocated on this project. These lighting fixtures are fairly
old and the Council may want to establish a different lighting fixture for this corridor.
Staff will present options to the council on lighting standards in the Downtown area,
commercial poles south ofTH 169, the existing standards or something different.
AL TERNATIVES:
1. Adopt Resolution No. 6396, a resolution approving plans and specifications for
the reconstruction of CSAH 101, from CSAH 17 east 1370 feet to the Mill Pond
Bridge, Project No. 2006-3.
2. Deny Resolution No. 6396.
3. Approve a motion authorizing the appropriate City officials to execute a
Cooperative Agreement with Scott County for the County Project No. CP101-1
and City Project No. 2006-3.
4. Do not authorize the Cooperative Agreement with Scott County at this time.
5. Authorize the appropriate City officials to execute a Reimbursement Agreement
with SPUC, as approved by the City Attorney, for their share of costs associated
with County Project No. CP-101 and City Project No. 2006-3.
6. Do no authorize the execution of a Reimbursement Agreement with SPUc.
7. Table for additional information.
RECOMMENDATION:
Staff recommends Alternative No.'sl, 3 and 5, to have plans and specifications approved
in order to go out for bids to replace the existing utilities on CSAH 101, and also to
approve the Cooperative Agreement with Scott County and a Reimbursement Agreement
with SPUC as approved by the city attorney for costs associated with this project. Staff
would like to get direction on lighting standards for this corridor. Street lights are owned
by the city and the existing lights will need to be relocated or new lights installed in a
new location. SPUC will do this work for the city and the city reimburses SPUC for the
work.
ACTION REQUESTED:
1. Offer Resolution No. 6396, A Resolution Approving the Plans and Specifications
for the Reconstruction of CSAH 101, from CSAH 17 East 1370 Feet to the Mill
Pond Bridge, Project No. 2006-3 and move its adoption.
2. Approve a motion authorizing the appropriate City officials to execute a
Construction Cooperative Agreement with Scott County for the County Project
No. CP101-1 and City Project No. 2006-3.
3. Authorize the appropriate City officials to execute a Reimbursement Agreement
with SPUC, as approved by the City Attorney, for their share of costs associated
with County Project No. CP-101 and City Project No. 2006-3.

WHEREAS, plans and specifications for the Reconstruction ofCSAH 101, from CSAH 17
East 1370 Feet to the Mill Pond Bridge by the installation of sanitary sewer, watermain, storm
sewer, street reconstruction, aggregate base, bitwninous paving, curb & gutter, concrete sidewalk
and any appurtenant work, and has presented such plans and specifications to the Council for
approval.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF SHAKOPEE, MINNESOTA:
1. Such plans and specifications, a copy of which is on file and of record in the Office
of the City Engineer, are hereby approved.

CONSTRUCTION COOPERATIVE AGREEMENT
THIS AGREEMENT, made and entered into this _ day of , 20_, by and between
the County of Scott, a body politic and corporate under the . laws of the State of Minnesota, hereinafter referred
to as the "County" and the City of Shakopee, a body politic and corporate under the laws of the State of
Minnesota, hereinafter referred to as the "City".
RECITALS:
A. The County and the City seek to improve County State Aid Highway (CSAH) 101 from CSAH 17 to
Bridge 5944 (0.5 miles east of CSAH 17) as shown on the County Engineer's plans for County Project
No. CP 101-01 (SAP 70-701-002 CTB) which improvement contemplates and includes grading,
aggregate base, plant-mixed bituminous pavement, concrete curb and gutter, storm sewer, sidewalk,
landscaping and other related improvements (hereinafter referred to as the Project).
B. The above described Project lies within the corporate limits ofthe City.
C. The County Engineer has prepared an engineer's estimate of quantities and unit prices of material and
labor for the above described Project and an estimate of the total cost for contract work in the sum of
Four Hundred Thirty-Seven Thousand Nine-Hundred Seventy Dollars and Fifty-Three cents
($437,970.53).
A copy of said estimate (marked Exhibit "B") is attached hereto and made a part hereof.
D. The City proposes to include some utility improvements, City Project 2006-3, in conjunction with
County Project No. CP 101-01 (SAP 70-701-002 CTB), which improvements contemplate and
include watermain and sanitary sewer.
E. The City Engineer has heretofore prepared an engineer's estimate of quantities and unit prices of
material and labor for the above described City Project and an estimate of the total cost for contract
work in the sum of Four Hundred Ninety-Four Thousand Four Hundred Ninety-Eight Dollars and
Forty-Nine cents ($494,498.49). A copy of said estimate (marked Exhibit "C") is attached hereto and
made a part hereof.
F. It is contemplated that all of the above improvement work shall be carried out by the parties under the
provisions ofMinn .Stat. Sec. 162.17, subd. 1.

NOW, THEREFORE, IT IS HEREBY AGREED:
1. The County or its agents shall advertise for bids for the work and construction of the aforesaid Project
No. CP 101-01 (SAP 70-701-002 CTB), receive and open bids pursuant to said advertisement and enter into.a
contract with the successful bidder at the unit prices specified in the bid of such bidder, according to law in such
case provided for counties. The contract is in form and includes the plans and specifications prepared by the
County or its agents, which said plans and specifications are made a part hereof.
2. The County shall have overall authority to administer the contract and inspect the construction of the
contract work for the Project. The County shall have ultimate authority in initiating and determining change
orders, supplemental agreements and final quantities. The City Engineer shall cooperate with the County
Engineer and his staff at their request to the extent necessary, but shall have no other responsibility for the
supervision ofthe work, except for the construction engineering related to the City's Utility Project.
3. The City shall reimburse the County for its share in the construction cost of the contract work for said
Project and the total final contract construction cost shall be apportioned as set forth in the Division of Cost
Summary in said Exhibit "B" attached hereto. The City shall reimburse the County for the total construction
cost of the contract work for City Project 2006-3 as shown in Exhibit "C" attached hereto. It is further agreed
that the Engineer's Estimate referred to in this agreement is an estimate of the construction cost for the contract
work on said project and that the unit prices set forth in the contract with the successful bidder and the final
quantities as measured by the County Engineer shall govern in computing the total final contract construction
cost for apportioning the cost of said Project according to the provisions of this paragraph.
4. In addition to payment of the City's proportionate share of the contract construction cost, the County and
the City further agree to participate in the Preliminary Engineering, which includes all costs of planning, design
and preparation of plans and specifications, in an amount of ten percent (l 0%) ofthe cost of construction. The
County and City further agree to participate in the Construction Engineering, which includes the complete
staking, inspection and supervision of the construction, in an amount of eight percent (8%) of the final contract
amount. The County and City further agree to participate in the administration of the City contract work, which
includes coordination with the contractor, processing of payment, and preparation of contract documents
(change orders/supplemental agreements), in an amount of three percent (3%) of the final City contract amount.
Participation of engineering costs by the City shall be the same percentage as the total construction participation.
The County and the City shall participate in the cost of the storm sewer construction as shown in Exhibit
"B" and per the Scott County Highway Department's "Policies for Cost Participation with Municipalities."

5. The City shall, based on the contract price, deposit with the Scott County Treasurer one hundred percent
(100%) of the estimated City's share of the construction and engineering costs as partial payment within thirty
(30). days after award of contract and execution of this Agreement, whichever is later.
The final amount of the City's share of construction and engineering costs of the Project shall be
determined and any amount due paid to the County upon completion of the Project and submittal to the City of
the County's final, itemized, statement ofthe Project costs.
In the event the initial payment exceeds the City's share of these final costs, such overpayment shall be
returned to the City by the County.
6. The County Engineer shall prepare monthly progress reports as provided in the specifications. A copy of
these reports shall be furnished to the City upon request.
7. In the event that a dispute arises, the County and the City agree that all disputes between them arising
out of or relating to this agreement shall be submitted, upon agreement of both parties, to mediation, with the
cost being shared equally.
8. Since each party recognizes each other as a political subdivision of the State of Minnesota, each party
shall maintain general liability and automobile liability coverage protecting itself, its officers, agents,.employees
and duly authorized volunteers against any usual and customary public liability claims to the limits prescribed
under Minn. Stat. Sec. 466.04 and Workers' Compensation and shall be in accordance with the Minnesota
statutory requirements. Said policies shall be kept in effect during the entire term of this Agreement.
9 All records kept by the City and the County with respect to the Project shall be subject to examination by
the representatives of each party. All data collected, created, received, maintained or disseminated for any
purpose by the activities of the County or City pursuant to this Agreement shall be governed by Minnesota
Statutes Chapter 13, as amended, and the Minnesota Rules implementing such Act now in force or hereafter
adopted.
10. The County reserves the right not to issue any permits for a period of five (5) years after completion of
the Project for any service cuts in the roadway surfacing of the County Highway included in the Project for any
installation of underground utilities which would be considered as new work; service cuts shall be allowed for
the maintenance and repair of any existing underground utilities. The County continues to reserve the right to
approve or deny access along the 101 corridor. Any proposed new or change in access, must go through the
County access permit process.
11. The City further agrees to provide any and all permanent or temporary right-of-way on City owned
property needed by Scott County for the completion of the Project.

12. The City shall, at its own expense, remove and replace all City owned signs that are within the
construction limits ofthe Project.
13. Upon completion of the Project, the County, at its expense, shall place the necessary signs and. the City,
at its expense, shall provide the enforcement for the prohibition of on-street parking on that portion of CSAH
101 constructed under the Project. No modification ofthe above parking restrictions shall be made without first
obtaining a resolution from the County Board of Commissioners permitting said modification.
14. Upon completion of the Project, and the approval of a Maintenance Agreement, the City shall maintain
all storm sewer appurtenances, including all storm water quality (NURP) ponds.
15. Neither the County, its officers, agents or employees, either in their individual or official capacity, shall
be responsible or liable in any manner to the City for any claim, demand, action or cause of action of any kind or
character arising out of, allegedly arising out of or by reason of the performance, negligent performance or
nonperformance of the described maintenance, restoration, repair or replacement work by the City, or arising out
of the negligence of any contractor under any contract let by the City for the performance of said work; and the
City agrees to defend, save and keep said County, its officers, agents and employees harmless from all claims,
demands, actions or causes of action arising out of negligent performance by the City, its officers, agents or
employees.
16. It is further agreed that neither the City, its officers, agents or employees, either in their individual or
official capacity, shall be responsible or liable in any manner to the County for any claim, demand, action or
cause of action of any kind or character arising out of, allegedly arising out of or by reason of the performance,
negligent performance or nonperformance of the described maintenance, restoration, repair or replacement work
by the County, or arising out of the negligence of any contractor under any contract let by the County for the
performance of said work; and the County agrees to defend, save and keep said City, its officers, agents and
employees harmless from all claims, demands, actions or causes of action arising out of negligent performance
by the County, its officers, agents or employees.
17. It is further agreed that each party to this agreement shall not be responsible or liable to the other or to
any other person or entity for any claims, damages, actions, or causes of actions of any kind or character arising
out of, llllegedly arising out of or by reason of the performance, negligent performance or nonperformance of
any work or part hereof by the other as provided herein; and each party further agrees to defend at its sole cost
and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoever
character arising in connection with or by virtue of performance of its own work as provided herein.

18. H is further agreed that any and all employees of the City and all other persons engaged by the City in the
performance of any work or services required or provided herein to be performed by the City shall not be
considered employees, agents or independent contractors of the County, and that any and all claims that mayor
might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the State of
Minnesota on behalf of said City employees while so engaged and any and all claims made by any third parties
as a consequence of any act or omission on the part of said City employees while so engaged shall be the sole
responsibility ofthe City and shall not be the obligation or responsibility ofthe County.
Any and all employees of the County and all other persons engaged by the County in the performance of
any work or services required or provided for herein to be performed by the County shall not be considered
employees, agents or independent contractors of the City, and that any and all claims that mayor might arise
under the Worker's Compensation Act or the Unemployment Compensation Act of the State of Minnesota on
behalf of said County employees while so engaged and any and all claims made by any third parties as a
consequence of any act or omission on the part of said County employees while so engaged shall be the sole
responsibility ofthe County and shall not be the obligation or responsibility ofthe City.
19. The provisions of Minn. Stat. Sec. 181.59 and of any applicable local ordinance relating to Civil Rights
and discrimination and the affirmative action policy statement of Scott County shall be considered a part of this
Agreement as though fully set forth herein. See Exhibit "A".
20. Pursuant to Minn. Stat. Sec. 16C.05, subd. 5 (2004), the books, records, documents, and accounting
procedures and prilctices of the County and City pursuant to this agreement shall be subject to examination by
the County, City and the State Auditor. Complete and accurate records of the work performed pursuant to this
agreement shall be kept by the County and City for a minimum of six (6) years following termination of this
agreement for such auditing purposes. The retention period shall be automatically extended during the course of
any administrative or judicial action involving the County or the City regarding matters to which the records are
relevant. The retention period shall be automatically extended until the administrative or judicial action is
finally completed or until the authorized agent of the County or City notifies each party in writing that the
records no longer need to be kept.
21. The laws of the State of Minnesota shall govern all questions and interpretations concerning the validity
and construction of this agreement and the legal relations between the parties and performance under it. The
appropriate venue and jurisdiction for any litigation hereunder will be those courts located with the County of
Scott, State of Minnesota. Litigation, however, in the federal courts involving the parties shall be in the
appropriate federal court within the State of Minnesota.

22. In the event any provision of this agreement shall be held invalid and unenforceable, the remaining
provisions shall be valid and binding upon the parties unless such invalidity or non-enforceability would cause
the Agreement to fail its purpose. One or more waivers by either party of any provision, term, condition or
covenant shall not be construed by the other party as a waiver of a subsequent breach of the same by the other
party.
23. The County's Authorized Agent for the purpose of the administration of this agreement is Maria A.
Heller, Public Works Technician, or her successor. Her current address and phone number are Scott County
Highway Department, 600 Country Trail East, Jordan, MN 55352, (952) 496-8369.
The City's Authorized Agent for the purpose of the administration of this agreement is Bruce Loney,
City Public Works Director, or his successor. His current address and phone number are 129 S Holmes Street,
Shakopee, MN 55379, (952) 233-9300. Any change in name, address, or telephone shall be noticed to the other
party.

REIMBURSEMENT AGREEMENT
THIS AGREEMENT, made and entered into this _ day of , 2006
by and between the City of Shakopee, a municipal corporation under the laws of the State of
Minnesota, ("City") and the Shakopee Public Utilities Commission ("SPUC").
RECITALS
A. Scott County ("County") is preparing plans and intends to improve County State Aid
Highway (CSAH) 101 from CSAH 17 to Mill Pond Bridge. In conjunction with the
County's project, the City and SPUC desire to replace the sanitary sewer and watermain
in the project area as part of City Project No. 2006-3. ("Project")
B. SPUC acknowledges that the watermain in the Project area needs to be replaced and that
replacing it as a part of the Project is the most cost effective method of doing so.
C. The City and SPUC desire to enter into this agreement to set forth the terms under which
SPUC will reimburse the City for the watermain portion ofthe Project.
NOW, THEREFORE, THE CITY AND SPUC AGREE AS FOLLOWS:
1. The City will enter into a cooperative agreement with the County with respect to the
Project.
2. SPUC will reimburse the City for 100% of the Project costs associated with the
reconstruction of the watermain. SPUC shall have no financial responsibility with respect to any
other portion of the Project. The current estimated cost associated with the watermain portion ofthe
Project is $206,392.50 including 25% indirect costs.
3. SPUC shall pay 90% of the estimated costs for the watermain within 30 days after
the award of the contract. The balance shall be paid within 30 days after substantial completion of
the watermain portion of the Project.
