SJ-IAKOPEE TO: Mayor and City Council FROM: Bruce Loney, Public Works Director DATE: 10/20/2015 SUBJECT: Approve a Turnback Agreement with Scott County for the County Highway Project No. 16-31 (D, E) Action Sought Authorize the appropriate city officials to execute the Scott County Turnback Agreement associated with the County Highway No.16-31 Project. Background On October 6, 2015 the City Council approved a cooperative agreement with Scott County for the reconstruction of CH 16 from CSAH 83 to CSAH 21. Part of the agreement and plans is for the City to take over the frontage road being created. The Turnback Agreement attached contains provisions for the transfer of jurisdiction of the Frontage Road upon completion of the project. Also a provision for the City to start winter maintenance responsibilities for the 2016-2017 season. The attachments include a Quit Claim Deed for the transfer and exhibit A which describes the right-of-way to be released to the City. Also Right-of-Way Plat No. 92 is included to show the right-of-way in the corridor in which the County right-of-way is 150 feet for the four lane facility. The execution of this Turnback Agreement will allow for the execution of the Quit Claim Deed after completion of the project. Recommendation Staff recommends the execution of this Agreement. Budget Impact Minimal budget impact on winter maintenance activities for 2016 and more for future years. Relationship to Vision This supports Goals D & E: Maintain, improve and create strong partnerships with other public and private sector entities; and Deliver effective and efficient public services by a staff of well-trained, caring and professional employees. Attachments: TURNBACK AGREEMENT TURNBACK MAP-FRONTAGE ROAD TURNBACK AREA MAP CP 16-31, SAP 070-616-032,SAP 166-020-018 Turnback Agreement County of Scott City of Shakopee CITY OF SHAKOPEE SCOTT COUNTY TURNBACK AGREEMENT COUNTY HIGHWAY NO. 16 THIS AGREEMENT, made and entered into this day of , 2015 by and between the City of Shakopee, a body politic and corporate under the laws of the State of Minnesota, hereinafter referred to as the "City" and the County of Scott, a body politic and corporate under the laws of the State of Minnesota, hereinafter referred to as the "County," both hereinafter collectively referred to as the "Parties." WITNESSETH: WHEREAS,the County and the City seek to reconstruct segments of County Highway(CH) 16, from CH 83 to approximately 1,000 feet east of CH 21, as shown on the County Engineer's plans for County Project No. CP 16-31 (State Aid Project Numbers SAP 070-616-032, SAP 070-166-020-018), which improvement contemplates and includes operational, capacity and safety improvements for safety of the traveling public, (hereinafter referred to as the Project); and WHEREAS, construction of the Project is anticipated to begin in 2016. The County anticipates advertising the Project to solicit bids for construction February 2016, and awarding the Project construction March 2016; and WHEREAS, the Project is anticipated to be substantially complete by December 1, 2016, with Project closeout anticipated by December 1, 2017; and WHEREAS, the Project will reconstruct CH 16 from a two-lane rural roadway to four-lane divided urban roadway with turn lanes, paved shoulders, and trails on both sides of the county highway; and WHEREAS, the Project includes shifting the alignment of CH 16 south along the Dean's Lake neighborhood to convert a section of the existing CH 16/Eagle Creek Blvd into a frontage road (hereinafter referred to as the Frontage Road)that reconnects the local road system to the public highway affording access to local residences; and 1 CP 16-31,SAP 070-616-032,SAP 166-020-018 Tumback Agreement County of Scott City of Shakopee WHEREAS, the Frontage Road has been proposed to be turned back to the City effective upon completion of the Project by the Scott County Board of Commissioners in an action taken on October 6, 2015, pursuant to Minnesota Statute §163.11; and WHEREAS, the Frontage Road will be improved with a full depth reclamation and new road surface upon completion of the Project prior to its release to the jurisdiction of the City; and WHEREAS, the Parties desire to transfer jurisdiction of portions of County Highway No. 16 in an orderly fashion and have therefore set forth their respective obligations to accomplish this objective; and WHEREAS, the County, except as outlined below, upon completion of the Project will have completed certain repairs and improvements to County Highway No. 16 as defined in the Project construction plans that were necessary to meet or exceed City standards for a comparable road in the City. NOW, THEREFORE, IT IS HEREBY AND HEREIN MUTUALLY AGREED, in consideration of each Party's promises and considerations herein set forth, as follows: 1. Transfer of jurisdiction of those portions of County Highway No. 16 located within the City shall be in accordance with Minnesota Statute §163.11. Full execution and approval of this Agreement by both parties shall be deemed to satisfy the requirements of that statute. Transfer of jurisdiction is contingent upon full execution and approval of this Agreement, adoption of a revoking resolution by the County Board of Commissioners, and completion of the Project. 2. Upon transfer of that portion of County Highway No. 16 herein specified, the City shall have jurisdiction of said Frontage Road in perpetuity. 3. The County shall provide the City with all available diagrams, as-built surveys, right of way information, traffic engineering documentation, and with copies of all active highway and utility permits, where applicable. The County shall provide documentary evidence of transfer of ownership to the Scott County Recorder at its sole expense. 2 CP 16-31,SAP 070-616-032,SAP 166-020-018 Tumback Agreement County of Scott City of Shakopee 4. The County represents and warrants to the City that: a. the County holds the roadway free and clear of all liens, charges and encumbrances; and b. the County has received no notice of any action, litigation, investigation or proceeding of any kind pending against the County or the roadway, or any part thereof, nor to the best of the County's knowledge, is any such action, litigation, investigation or proceeding pending or threatened; and c. the County has not entered into any contract or agreement with any third party which affects the roadway, the term of which extends beyond the date of this Agreement. 5. Unless otherwise noted, the County agrees that the following work upon completion of the Project shall be performed at the County's sole expense including, but not limited to, the following: a. The Parties shall inspect the Frontage Road to ensure it was built according to the Project construction plans. b. Scott County shall execute the quit claim deeds conveying this segment to the City of Shakopee. 6. Notwithstanding any other provision of this Agreement, the County shall, at its sole expense, be responsible for all maintenance of this portion of County Highway No. 16 up to and until the completion of the Project. Once the new alignment of the County Highway No. 16 and the Frontage Road are open to traffic, the City will be responsible for snow and ice control activities on the Frontage Road. It is anticipated that this will occur prior to the 2016-2017 winter season. 7. The County shall indemnify the City against, and shall hold the City harmless from, any loss, cost, expense or damage, including reasonable attorneys' fees, directly arising out of or resulting from the County's breach of any of the representations and warranties herein contained, whether such loss, cost, expense or damage arises prior to or after the date of this Agreement, provided that the City did not have knowledge of said breach on or before the date of this Agreement. 8. This Agreement is between the City and the County as the only parties and no provision of this Agreement shall in any way inure to the benefit of any 3 CP 16-31,SAP 070-616-032,SAP 166-020-018 Tumback Agreement County of Scott City of Shakopee third person (including the public at large) so as to constitute any such person as a third party beneficiary of the Agreement or of any one or more of the terms hereof, or otherwise give rise to any cause of action in any person not a party hereto. 9. This Agreement represents the full and complete understanding of the Parties and both Parties represent that neither Party is relying on any prior agreements or understandings, whether oral or written.
