No. 6918 s; c,~ ~ CITY OF SHAKOPEE Memorandum CONSENT TO: Mayor & City Council Mark McNeill, City Administrator FROM: Bruce Loney, Public Works Director SUBJECT: Consent to Easement Encroachment Agreement (3880 4th Street) DATE: July 7, 2009 INTRODUCTION: The property owner at the above referenced address has requested permission from the City of Shakopee to place portions of a parking lot and required landscaping within a drainage and utility easement along the north side of the building, an easement which contains a public sanitary sewer main. Please see the attached plan sheet. This agenda item is to have City Council authorize the appropriate City officials to execute an encroachment agreement between the City and the property owner at 3880 4th Street. BACKGROUND: Recently the City Code was amended to include a section addressing encroachments in easement areas (Section 7.18) and an Easement Fencing and Landscaping Policy was adopted. These two items were implemented in an attempt to eliminate the encroachment of trees, shrubs, bushes, retaining walls, structures, hard surface areas and other obstructions into drainage and utility easements containing public utilities. These encroachments can lead to the obstruction of access for maintenance purposes and occasionally the alteration of drainage patterns. However, the City can allow such encroachments with written permission. This written permission is in the form of a consent to easement encroachment agreement. Please see the attached agreement. It should be noted that should the City ever need to replace the sanitary sewer main, the property owner will be responsible to replace the impacted encroachments at their expense. Additionally, the proposed landscaping will need to comply with the current Easement Fencing and Landscaping Policy. ALTERNATIVES: 1. Adopt Resolution No. 6918. 2. Deny Resolution No. 6918. 3. Table for additional information from staff. RECOMMENDATION: Staff recommends Alternative No.1. ACTION REQUESTED: Offer Resolution No.6918, A Resolution Approving City Staff to Enter into an Easement Encroachment Agreement with Cokem International, LLC (3880 4th Street) and move its adoption. BUpmp ENGR/2009-PROJECTS/2009-COUNClUMEM6918-EASEMENT-AGREEMENT RESOLUTION 6918 A Resolution Approving City staff to Execute an Encroachment Agreement with the Property Owner at 3880 4th Street WHEREAS, the City has received a request by the property owner at 3880 4th Street to encroach into the drainage and utility easement adjacent to the north property line, an easement containing a public sanitary sewer main; and WHEREAS, the City of Shakopee has determined that the proposed encroachments will not adversely affect access for maintenance or alter drainage patterns; and NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SHAKOPEE, MINNESOTA: 1. Based on the recommendation of City of Shakopee staff, the authorization is hereby approved to authorize the appropriate City officials to execute an encroachment agreement. 2. Approval of the authorization shall become effective upon its adoption. 3. A copy of this decision shall be mailed to all interested parties. Mayor of the City of Shakopee ATTEST: City Clerk ENCROACHMENT AGREEMENT This Encroachment Agreement ("Agreement") is made as of the _ day of July, 2009, by and between the City of Shakopee, a Minnesota municipal corporation ("City"), DCT MN Valley LLC, a Delaware limited liability company ("DCT") and COKeM International, Ltd., a Minnesota corporation ("COKeM"). RECITALS A. DCT is the owner of property located at: 3380 4th A venue East, City of Shakopee, County of Scott, State of Minnesota, legally described in attached Exhibit A ("Property"); and B. COKeM is leasing the Property from DCT and is constructing various improvements on the Property; and B. The Property is subject to a drainage and utility easement in favor of the City, which was dedicated to the City in the plat of Opus MVW, which is attached as Exhibit B ("Easement") and contains a sanitary sewer main; and C. COKeM would like to construct and install a parking lot and landscaping on the Property ("Improvements") that will encroach into the Easement area which is depicted in the Grading, Drainage, Erosion Control and Utility Plan which is attached as Exhibit C ("Encroachment Area"); and D. The City has agreed that COKeM may construct, repair and maintain the Improvements within the Encroachment Area on the condition that DCT and COKeM execute this Agreement. AGREEMENT NOW, THEREFORE, on the basis of the premises and the mutual covenants and agreements set forth in this Agreement, the parties agree as follows: 354020vl SJS SH155-23 1. COKeM or DCT may construct, repair and maintain the Improvements within the Encroachment Area. 2. That the permission granted by the City by this Agreement is limited exclusively to the proposed Improvements within the Encroachment Area. 3. This Agreement shall not prevent or impair the use of the Encroachment Area for the sanitary sewer main or drainage and utility purposes by the City or any other entity entitled by law to so use the Encroachment Area. 4. In the event the City needs to maintain, operate, repair, access or remove the sanitary sewer main or drainage and utility improvements located within the Encroachment Area and the Improvements interfere with such maintenance, operation, repair, access or removal, the City shall provide notice to DCT and COKeM pursuant to Paragraph 8 of this Agreement. The City's costs of removing the necessary portion of the Improvements in order for the City to exercise its easement rights shall be paid by either DCT or COKeM, as it may be decided between the two parties. DCT or COKeM shall be responsible for the costs of restoring or reinstalling any of the Improvements that were removed. Any damages to the Improvements resulting from the City's activities shall be borne and assumed by DCT and COKeM, provided, however, that the City shall be responsible for any damages caused by the negligence or willful misconduct of the City, its officials, employees, contractors and agents. 5. This Agreement shall run with the land and shall inure to the benefit of and be binding upon the parties to this Agreement and their respective successors and assigns. 6. DCT and COKeM shall indemnify, hold harmless and defend the City, its officials, employees, contractors and agents, from and against any and all claims, losses, proceedings, damages, causes of action, liability, costs or expenses (including reasonable attorneys' fees), arising from or in connection with or caused by any act, omission or negligence of DCT or COKeM, their contractors, licensees, invitees, agents, servants or employees in connection with the construction, repair or maintenance of the Improvements. The City shall indemnify, defend, protect and hold harmless DCT andCOKeM from and against any and all claims, losses, proceedings, damages, causes of action, liability, costs or expenses (including reasonable attorneys' fees), arising from or in connection with or caused by any act, omission or negligence of the City, its contractors, licensees, invitees, agents, servants or employees in connection with its activities concerning the sanitary sewer main and drainage and utility improvements located within the Encroachment Area. 7. DCT and COKeM agree not to suffer or allow any liens, claims and processes to be placed against the City's rights to or interest in the Encroachment Area as a result of the use of the Encroachment Area, including, without limitation, any liens for labor or materials provided for the construction, repair or maintenance of the Improvements. 8.
