Reimbursement Agreement with Shakopee Crossings Limited Partnership

INTRODUCTION:
Attached is an extension agreement with WSB & Associates, Inc. for design services on Hansen
A venue, from CSAH 18 to Crossings Boulevard. Also attached is a reimbursement agreement
with the developer to pay for those design services.
BACKGROUND:
Shakopee Crossings Limited Partnership has proposed to construct Hansen A venue, from CSAH
18 to Crossings Boulevard. For the best design and coordination with the County, it is being
proposed to utilize WSB & Associates, Inc. for the design and for the developer to reimburse the
City for those services.
Staffhas allowed a developer to use a City consultant, in the past, particularly on design of major
road connections such as 17th A venue. Hansen A venue will be a connector from CSAH 18 to
Crossings Boulevard.
After the design is done and when the developer proceeds to construction, a developer's
agreement will be entered into for that construction.
ALTERNATIVES:
1. Authorize the appropriate City officials to execute an extension agreement with WSB &
Associates, Inc. for the design of Hansen A venue, from CSAH 18 to Crossings
Boulevard.
2. Authorize the appropriate City officials to execute a reimbursement agreement with
Shakopee Crossings Limited Partnership for the design fees by WSB & Associates for
Hansen A venue design.
3. Table for additional information.
RECOMMENDATION:
Staff recommends Alternatives No.1 and No.2 as WSB & Associates, Inc. did the design of
CSAH 21 improvements and can provide better coordination with the County and City on these
road connections.
ACTION REOUESTED:
1. Authorize the appropriate City officials to execute an extension agreement with WSB &
Associates, Inc. for the design of Hansen A venue, from CSAH 18 to Crossings
Boulevard.
2. Authorize the appropriate City officials to execute a reimbursement agreement with
Shakopee Crossings Limited Partnership for the design fees by WSB & Associates for
Hansen A venue design.

Dear Mr. Loney:
According to our Agreement for Professional Services within the City of Shakopee and Section
I-C-2 (Major Projects), this extension agreement is written to provide you with an estimate of cost
for engineering services for the above-referenced project. Weare proposing to complete the work as
detailed in the attached Scope of Services, Exhibit A.
The attached work plan describes the approach and tasks proposed to be completed by WSB &
Associates, Inc. (WSB) for the extension of Hansen Avenue to CSAH 18. It should be noted that the
work plan includes engineering design services for roadway plans, erosion control plans, storm
sewer plans, sanitary and water main adjustments, along with project coordination.
It is WSB' s understanding that only field verification survey will be required and no Feasibility
Report or soil borings will be required. Subsoils information will be utilized from previous
adjoining projects in the area, and any additional soil borings will be considered additional services.
WSB will collect previous topographic information from the adjacent developers for the
development of base maps for design. It is further understood that the City of Shakopee will provide
the construction observation and materials testing during construction. WSB is available, if
requested by the City, to provide construction, surveying, construction management, and inspection.
Weare proposing to complete the design portion of this work, as described in the attached scope of
design services, on a cost-reimbursable basis in accordance with our current fee schedule.
Engineering services for the design services phase are estimated not to exceed $18,930. It is
proposed that all work under the design portion of the contract would be considered complete after
the award of the contract.

We are available to begin work as soon as authorized by the City, and we anticipate we will
complete the project according to the following schedule, assuming that we receive the notice to
proceed on April 21, 2009.

WORK PLAN
1. Project Management
This task includes planning and coordination of all work tasks, establishment and
monitoring of budgets, meetings, and correspondence with the City of Shakopee, Scott
County, S.P .U.C., and Mn/DOT State Aid on an as-needed basis. The project manager will
provide technical direction on all aspects of the project review, all work products, and
prepare progress reports. The project manager will serve a primary role in the many design
considerations. Don Sterna is proposed to manage the project for WSB & Associates, Inc.
(WSB).
2. Data Collection
Available data will be collected from the City of Shako pee, Scott County, Mn/DOT, private
utility companies, and adjacent developers as necessary, to prepare the construction
documents.
3. Soils Report
Soils information will be utilized from previous adjoining projects and the adjacent mining
to the south of the project. Any additional soil borings will be considered additional
services.
4. Design Survey
WSB has collected some topographic information from the adjacent CSAH 21 project which
will be supplemented with additional field survey to create the base map for the final design.
WSB has previously completed a field survey through the project corridor and anticipates
some additional detail design survey will be needed to confirm critical design information.
Vertical and horizontal control will be tied into the adjacent CSAH 21 extension project.
5. Construction Plans
The construction plan phase involves the bulk of our final design effort. The plans will be
developed meeting Mn/DOT State Aid standards and City standards. WSB will forward a
copy of the final plans to Scott County, Mn/DOT State Aid, and City for review. It is WSB's
understanding that Hansen A venue will be a two- (2) lane urban roadway with a right-turn
lane on CSAH 21. The new intersection with future CSAH 21 will be a right-in/right-out.
WSB will prepare a set of detailed construction plans for the grading, surface drainage, and
paving in accordance with State Aid Highway and City standards. We will coordinate our
work closely with Scott County and the City of Shako pee, along with S.P.U.C., during the
design process to ensure that the County's and City's expectations are satisfied. Design
meetings will be held as appropriate to discuss design elements and comments during the
design process. A final set of plans will be submitted to the County, City, S.P.U.C., and

State Aid for their review and approval. The final construction plans will include the
following:

6. Drainage Analysis
It is assumed that Hansen Avenue will continue to be an urban design with storm sewer. An
analysis of the drainage area will be conducted to determine if any adjustments to the
previously constructed storm water ponds and storm sewer are needed. This analysis would
include any additional catch basin spacing and pipe sizing for the storm sewer and CSAH 21
drainage ditches, as well as any pond modifications.
7. Intersection Traffic Analysis
WSB will review the previous traffic analysis and reports for the area and prepare updated
traffic projections for the intersection of Hansen Avenue and Southbridge Crossings. This
analysis will be used to determine the type and location of traffic control devices for this
intersection.
8. Permits
Permits will be acquired as a part of the construction plan preparation. WSB will prepare
and apply for the necessary construction permits. The cost of any required permit would be
paid by the City of Shakopee.
9. Project Bidding
Upon approval of the bidding documents by the City, WSB will sell and distribute the
necessary number of plan and specification sets to the contractors for bidding.

REIMBURSEMENT AGREEMENT
This Agreement is entered into as of April, 21, 2009 by and between the City of Shakopee
("City") and Shakopee Crossings Limited Partnership ("Shakopee Crossings").
RECITALS
A. Shakopee Crossings has submitted a request to complete the construction of Hansen
Avenue east of its existing location to a limited access point along CSAH 21.
("Proj ect")
B. The purpose of the Project is to facilitate access to property that is being developed by
Shakopee Crossings.
C. The City Council has concluded that it is in the best interests of the City to allow
Shakopee Crossings to construct the Project pursuant to Minnesota Statutes, Section
462.358, Subdivision 2a.
D. Shakopee Crossings has requested that the City proceed with the engineering and design
of the Project and Shakopee Crossings is willing to reimburse the City for the costs
incurred by the City in the design of the Project. Shakopee Crossings acknowledges that
but for its agreement to reimburse the City for these costs, the City would not be
proceeding with the design of the Project.
F. The estimated cost for the design work for the Project is $ 19,900.00.
In consideration of the mutual covenants conditions and provisions in this Agreement, the
City and Shakopee Crossings agree as follows:
1. The Recitals are true and correct and are incorporated by reference into this Agreement.
2. The City is authorized to retain WSB & Associates to design the Project.
3. Shakopee Crossings agrees to reimburse the City for 100% of the Project costs incurred by
the City in designing the Project. For the purposes of this Agreement, the term "Project
costs" includes all costs incurred by the City, including engineering and legal fees, and any
administrative expenses. Shakopee Crossings shall make payment to the City within ten
days after the City has provided a written invoice to Shakopee Crossings.
4. Simultaneously with executing this Agreement, Shakopee Crossings shall submit to the City
$ 19,900.00 in cash or a certified letter of credit approved by the City Attorney made
payable to the City upon which the City may draw if Shakopee Crossings defaults in any of
its obligations under this Agreement.
S. This Agreement is binding on the parties and their respective successors and assigns and
shall be governed by the laws of the State of Minnesota.

6. Shakopee Crossings may terminate this Agreement for any reason by providing written
notice of termination to the City, provided however that Shakopee Crossings will be
responsible for reimbursing the City for all Project costs incurred up to the date that the City
receives written notice of termination.
7. The invalidity or unenforceability of any provision in this Agreement shall not in any way
affect the validity or enforceability of any other provision, and this Agreement shall be
construed in all respects as if such invalid or unenforceable provisions had never been part
of the Agreement.
8. This Agreement constitutes the entire agreement between the parties concerning the
engineering and design of the Project, and unless otherwise provided in this Agreement, any
other agreements or understandings, whether oral or written, with respect to such matters are
superseded and revoked. This Agreement may not be modified or amended except by a
writing signed by each party.
