CR 21 Cooperative Agreement /3. 8,2;, CITY OF SHAKOPEE Memorandum TO: Mayor & City Council Mark McNeill, City Administrator FROM: Bruce Loney, Public Works Director SUBJECT: Discussion ofC,R. 21 Cooperative Agreement and the Memo of Understanding for C,R. 21 Access for Hansen Avenue DATE: March 17, 2009 INTRODUCTION: Attached to this memorandum is a Cooperative Agreement between Scott County and the City of Shakopee for the C,R. 21 project, from CSAH 42 to CSAH 18, Also attached is a Memorandum of Understanding (MOU) on the C.R. 21 Project and C,R. 21 access to Hansen Avenue. BACKGROUND: The County has been working on design for the C,R, 21 extension project, from CSAH 42 to the connection to CSAH 18, The design is complete and issues mentioned at the July 1, 2008 Council meeting have been addressed, These issues that were mentioned are as follows: . C.R, 21 access to Hansen A venue and Shakopee Crossings Commercial District . Tree Removal and Tree Replacement . Parcel 75/Fire Station Location . Park and Trail Issues . Project Cost . Transit Site Location . Preliminary Approval of Geometries, Lane Configuration and Access Locations The C,R. 21 access issue to Hansen Avenue has been addressed by the attached MOU and needs further Council discussion. The tree removal and tree replacement plan has been approved by Jamie Polley, Parks and Natural Resources Director, Parcel No 75 and our previous fire station location have been resolved by a MOU between the County and the City and an understanding between Mn!DOT and Scott County to transfer Parcel No, 75 to the City without conditions, In exchange, the City would provide the County with the parcel adjacent to C,R. 21 and east of Pike Lake Road, which was previously considered for a fire station site, but would be used for a ponding and wetland mitigation site by the County. In the agreement with Mn!DOT and the County, the City would also provide money owed to Mn/DOT for Mn/DOT ponds on T ,H, 169 under a previous agreement for TH 169 improvements to Scott County and Scott County will take over the Holmes Street bridge from Mn/DOT after it has been rehabilitated, The park and trail issues are associated with easements for Shutrop Park and the underground pedestrian crossing has been resolved in the design process, The projects costs are now estimated at $1.3 million dollars for construction and up to 21% for administration and engineering costs, for a total cost of approximately $1.57 million, The cost of this project is to be paid by Capital Improvement Funds, State Aid Funds and Park Reserve Funds, in which the City has $1,7 million dollars budgeted in the CIP, Transit improvements will be funded by Transit Funds, Federal Funds have been applied to the City's costs in this Cooperative Agreement and in addition, if additional Federal Funds are obtained through a Stimulus Program or other Federal funding programs, the City and County will share in those Federal Funds, On December 16,2008 the City Council adopted the attached Resolution No, 6854 approving the preliminary design with the conditions of reviewing the Cooperative Agreement and a MOU for Hansen A venue access, This resolution also acknowledges the execution of a MOU for property to be exchange for Parcel 75, Staffis attaching a copy of the executed MOU, Staff is recommending one item of change in the final design in regard to sanitary sewer and water extensions to Shutrop Park. Due to the high cost of extending sewer and water and the likelihood of a park building on the site for the foreseeable future, staff is recommending to install only the casing pipe under the County roads and install the sewer and water pipes later when needed, The MOU does allow a right-in/right-out with an understanding that this access can be modified or closed ifthere is a significant safety or operational problem, The County Engineer will confer with the City Engineer prior to any change, A brief presentation of the plans, Cooperative Agreement and MOU for Hansen Avenue access will be made at the Council meeting and County staff will be present to answer questions, City Council should discuss these items for approval or modify these items by providing staff direction. ALTERNATIVES: 1, Authorize the appropriate City officials to execute the Construction Cooperative Agreement for the C,R. 21 Extension Project between the City of Shakopee and Scott County, 2, Do not authorize the Construction Cooperative Agreement at this time, 3, Authorize the appropriate City officials to execute the Memo of Understanding for the C.R. 21 Access to Hansen Avenue, 4. Do not authorize the execution of the Memo of Understanding at this time, 5, If the Cooperative Agreement is not executed at this time, provide direction and comments to staff for modification to the agreement. 6, If the Memo of Understanding is not executed at this time, provide staff with direction and comments for modification to the Memo of Understanding, 7, Table for additional information, RECOMMENDATION: Staff would recommend Alternative No, 5 and No, 6 as in order for this project to move forward, a Cooperative Agreement and Memo of Understanding need to be approved and executed, ACTION REQUESTED: 1, If the Cooperative Agreement is not executed at this time, provide direction and comments to staff for modification to the agreement. 2, If the Memo of Understanding is not executed at this time, provide staff with direction and comments for modification to the Memo of Understanding, ~~ Public Works Director BUpmp ENGR/2009-PROlECTS/2009-COUNCUJAPPROV AL-C.R.21-AGREEMENT - - ( (4 RESOLUTION NO. 6854 A Resolution of the City of Shakopee Approving the Preliminary Design Layout of the C.R. 21 Extension. WHEREAS, the C,R. 21 extension project designed by Scott County is needed to meet future traffic volumes; and WHEREAS, the County has secured federal funding for more than $11,000,000.00 of the project costs, which funding will expire in 2010 and 2011 unless the project is constructed; and WHEREAS, the layout proposed by the County for the C.R. 21 extension project addresses City transportation and pedestrian facility needs, WHEREAS, the County will prepare a draft Memorandum of Understanding (MOD) for the right inlright out access of Hansen Avenue to C.R. 18 by April 1, 2009, WHEREAS, the County and the City have executed a MOU for the City to provide certain property for C.R. 21 in exchange for Parcel 75 from the County or MNDOT. WHEREAS, a future Cooperative Agreement between the County and City and fmal plans for the CR 21 extension project will be presented at a later date, NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCll., OF THE CITY OF SBAKOPEE, MINNESOTA that: 1. The City approves the preliminary layout of the CR 21 extension project subject to the following conditions; a. That the Cooperative Agreement, along with the fmal design of the project, will be presented to the City Council for future approval. b. MEMORANDUM OF UNDERSTANDING Bridge #4175, Parcel #75 (pID 279110040), CSAH 21 Ponding Location (PID 279140172) This memorandum of understanding is entered into by the City of Shakopee (City) and Scott County (County) on N. DV' I'E? ,2008, WHEREAS, the State Department of Transportation (Mn/DOT) has approached Scott County about their desire to turnback bridge #4175; and WHEREAS, this is one of22 bridges statewide considered historically significant and is to be preserved under an agreement with FHW A, SHPO and Mn/DOT; and WHEREAS, this bridge does not provide a state trunk highway function at this time and is no longer appropriate to be on the trunk highway system; and WHEREAS, Bridge #4175 needs significant maintenance and Mn/DOT is planning a $5,1 million dollar rehabilitation project in 2012; and WHEREAS, Scott County provides the bridge inspection for most non-Mn/DOT bridges within the County; and WHEREAS, Scott County is the appropriate owner of regional trail connections within Scott County; and WHEREAS, Scott County is the owner of the CSAH 101 Bridge and Bridge #4175 which provides the pedestrian and bicycle connections for this bridge; and WHEREAS, Parcel #75 is currently owned by Mn/DOT and was purchased as part of the TH 169 bypass construction; and WHEREAS, Parcel #75 has an approximate value of $960,000 with 51.86 acres; and WHEREAS, the City intends to put a conservation easement on the forested portion and designate the forested portion as a park; and WHEREAS, the City intends to construct a Fire Hall and related improvements with the approximate 9.4 acres of buildable land and an emergency access trail to the Villages of Southbridge; and WHEREAS, the City had obtained about 6 acres adjacent to CSAH 21 north of CSAH 16 that is an important site for ponding on CSAH 21; and WHEREAS, the City of Shakopee still owes Mn/DOT approximately $520,000 payment for their share of storm sewer from the TH 169 by-pass project; and , I WHEREAS, The City of Shakopee is aware ofthe deferred assessment for Parcel 75 of approximately $368,000: and WHEREAS, Bridge #4175' s annual maintenance costs are estimated at $5,200/year plus the need to spot paint members at 10 years and completely repaint at 40 years for an estimated cost of $2,024,000; and WHEREAS, Mn/DOT is willing to allow the City of Shakopee to pay Scott County the storm sewer payment to establish an account to maintain Bridge #4175; and WHEREAS, the preliminary financial analysis for a forty year projection anticipates a shortfall in maintenance funding established by the initial $520,000 deposit but coming close to covering those costs with some of the annual maintenance being covered by Scott County; and WHEREAS this partnership has the potential to be beneficial to Shakopee, Scott County and Mn/DOT in the following respects: Mn/DOT would no longer be the owner of a pedestrianlbike bridge that is not a part of the trunk highway system; Shakopee would own the land for the park purposes and the construction of a fire hall and related improvements Scott County has the parcel needed for CSAH 21 ponding and almost adequate funding to maintain the bridge for 40 years; and WHEREAS, the City and County desire to document their respective understandings regarding commitments of each agency to the future cooperative and turnback agreements that will need to be executed; and WHEREAS, the timing of a future Cooperative Agreement between the City and the County will be dependent upon Mn/DOT and the execution of the turnback agreement between Scott County and Mn/DOT and a future Cooperative Agreement between the City and the County for CR 21 Improvements, NOW, THEREFORE, IT IS HEREBY UNDERSTOOD THAT: A. The City of Shakopee: 1, Acknowledges its responsibility for the deferred assessments of approximately $368,000 on Parcel 75, 2, Acknowledges that it owes MnJDOT storm sewer payments of approximately $520,000 for the City's share of the storm sewer costs associated with the TH169 by-pass project. 3, Will agree to pay the approximately $520,000, currently owed to MnlDOT, to Scott County when a Construction Cooperative Agreement for CSAH 21, County Project No, CP 21-15 and CP 21-16 is entered into between the City and the County, 4, Will provide fee title to the County to the approximate 6-acre parcel adjacent to CSAH 21 for ponding purposes when a Construction Cooperative Agreement for , CSAH 21, County Project No, CP 21-15 and CP 21-16 is entered into between the City and the County, B. The County will: 1. RECITALS: A, The County and the City seek to provide construction as shown on the County Engineer's plans for County Project No, CP 21-15 (SP 70-621-024/SP 70-621-025) Phase 1 and CP 21-16 (SP 70-621- 027/SP70-621-028) Phase 2 of the County Highway 21 extension project. B. The project will be completed in two phases, with Phase 1 improvements including clearing and grubbing, grading, four box culvert/bridges, construction of storm water ponds, storm sewer, sanitary sewer and watermain a bus only access ramp to TH 169 and grading of the Eagle Creek Transit Station (hereinafter referred to as the Project Phase 1) occurring in 2009, Phase 2 improvements will include paving, storm sewer, curb and gutter, signal installation, trails, signs, striping, tree replacement and the completion of the Eagle Creek Transit Station(park and Ride) (hereinafter referred to as the Project Phase 2) occurring in 2011. C, The above described Project lies within the corporate limits of the Cities of Shakopee and Prior Lake. D, The Consultant (who is under contract with the County) has prepared an engineer's estimate of quantities and unit prices of material and labor for the above described Project and an estimate of the total cost for contract work for Phase 1 construction in the sum of Eleven Million Six Hundred Ninety Seven Dollars ($11,000,697) And for the phase 2 construction in the sum of Fourteen Million Nine Hundred Sixty Four, Six Hundred Thirty Five Dollars($14,964,635). A copy of said estimate (marked Exhibit "B") is attached hereto and made a part hereof. E, It is contemplated that all of the above improvement work shall be carried out by the parties under the provisions of Minn ,Stat. Sec, 162.17, subd, 1. 1 County Project No. CP 21-15 SP 70-621-024/SP 70-621-025 County Project CP 21-16 SP 70-621-027/SP 70-621-028 City of Shakopee County of Scott NOW, THEREFORE, IT IS HEREBY AGREED: 1. The County or its agents shall advertise for bids for the work and construction of the aforesaid Project No, CP 21-15 (SP 70-621-024/SP 70-621-025) and Project 21-16 (SP 70-621-27/SP70-621-28), receive and open bids pursuant to said advertisement and enter into a contract with the successful bidder at the unit prices specified in the bid of such bidder, according to law in such case provided for counties. The contract will be in form and includes the plans and specifications prepared by the County or its agents, which said plans and specifications are by this reference made a part hereof. 2. The County shall have overall authority to administer the contract and inspect the construction of the contract work for the Project. The County shall have ultimate authority in initiating and determining change orders, supplemental agreements and final quantities, The City Engineer shall cooperate with the County Engineer and his staff at their request to the extent necessary, but shall have no other responsibility for the supervision of the work except in regards to utility improvements, 3. The City shall reimburse the County for its share in the construction cost of the contract work for said Project and the total final contract construction cost shall be apportioned as set forth in the Division of Cost Summary in said Exhibit "B", It is further agreed that the Engineer's Estimate referred to in this Agreement is an estimate of the construction cost for the contract work on said Projects and that the unit prices set forth in the contracts with the successful bidder and the final quantities as measured by the County Engineer shall govern in computing the total final contract construction cost for apportioning the cost of said Project according to the provisions of this paragraph. See Exhibit "B", 4, In addition to payment of the City's proportionate share of the contract construction cost, the County and the City further agree to share costs designated as Preliminary Engineering, which includes all costs of planning, design and preparation of plans and specifications, in an actual amount of up to ten percent (10%) of the cost of construction. The County and City further agree to share costs designated as Construction Engineering, which includes the complete staking, inspection and supervision of the construction, in an actual amount of up to eight percent (8%) of the final contract amount. The County and City further agree to share the costs of the County's administration of the City contract work, which includes coordination with the contractor, processing of payment, and preparation of contract documents (change orders/supplemental agreements), in an actual amount of up to three percent (3%) of the final City contract amount. Participation ofthe aforementioned engineering costs by the City shall be the same percentage as the total construction participation, 2 County Project No. CP 21-15 SP 70-621-024/SP 70-621-025 County Project CP 21-16 SP 70-621-027/SP 70-621-028 City of Shakopee County of Scott The cost of the items in which the City shall participate shall be based on the unit prices in the contract and the final construction quantities as determined by the Project Engineer in charge, 5. The City shall, based on the contract price, deposit with the Scott County Treasurer fifty percent (50%) of the estimated City's share of the construction and engineering costs as partial payment within thirty (60) days after award of a construction contract or execution of this Agreement, whichever is later, and shall pay the remaining fifty percent (50%) on or before December 31, 2010 for phase 1 and December 31,2011 for phase 2" If actual bid amount exceeds the updated Engineers estimate by more than ten percent (10%) the County will not award the contract without approval from the City, The final amount of the City's share of construction and engineering costs of the Project shall be determined and any amount due paid to the County upon completion of the Project and submittal to the City of the County's final, itemized, statement of the Project costs. In the event the initial payments exceed the City's share of these final costs, such overpayment shall be returned to the City by the County. 6, The County Engineer shall prepare monthly progress reports as provided in the specifications. A copy of these reports shall be furnished to the City upon request, 7, In the event that a dispute arises, the County and the City agree that all disputes between them arising out of or relating to this Agreement shall be submitted, upon agreement of both parties, to mediation, with the cost being shared equally. 8, Since each party recognizes each other as a political subdivision of the State of Minnesota, each party shall maintain general liability and automobile liability coverage protecting itself, its officers, agents, employees and duly authorized volunteers against any usual and customary public liability claims to the limits prescribed under Minn. Stat. Parcel 33, otherwise known as the Fire Station Parcel is owned by the City of Shakopee and is needed for construction of Pond 6, This parcel will be conveyed in Fee to Scott County as per conditions listed in an MOD dated Nov 18,2008 which specifies that Scott County will transfer title to Parcel 75 to the City upon receipt oftitle from MN/DOT. City agrees to grant a right of entry for Parcel 33 to Scott County for construction of pond 6 at no cost to the county, All perpetual maintenance activities will be addressed in a separate agreement. 11. The City shall, at its own expense, remove and replace all City owned signs that are within the construction limits of the Project. 12, Neither the County, its officers, agents or employees, either in their individual or official capacity, shall be responsible or liable in any manner to the City for any claim, demand, action or cause of action of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent performance or nonperformance of the described maintenance, restoration, repair or replacement work by the City, or arising out of the negligence of any contractor under any contract let by the City for the performance of said work; and the City agrees to defend, save and keep said County, its officers, agents and employees harmless from all claims, demands, actions or causes of action arising out of negligent performance by the City, its officers, agents or employees. 13. See, 16C,05, subd. 5 (2004), the books, records, documents, and accounting procedures and practices of the County and City pursuant to this Agreement shall be subject to examination by the County, City and the State Auditor, Complete and accurate records of the work performed pursuant to this Agreement shall be kept by the County and City for a minimum of six (6) years following termination of this Agreement for such auditing purposes. The retention period shall be automatically extended during the course of any administrative or judicial action involving the County or the City regarding matters to which the records are relevant. The retention period shall be automatically extended until the administrative or judicial action is finally completed or until the authorized agent of the County or City notifies each party in writing that the records no longer need to be kept. 18. The laws of the State of Minnesota shall govern all questions and interpretations concerning the validity and construction of this Agreement and the legal relations between the parties and performance under it. WHEREAS, the County had identified the County Highway 21 Corridor as a Principal Arterial in the Scott County Transportation Plan 2000 - 2020; and WHEREAS, SCALE has made a county wide effort to educate importance of a system to support and sustain economic developm WHEREAS, SCALE has focused on the need for bala transportation interface along corridors identified the need ~ access corridors in the county to sustain the future growt WHEREAS, in the 2030 Transportation Pia TH169 south as a future principal arterial roadw to serve as a guidance for the transition of that corri WHEREAS, the City acknowledges in supporting that vision in its development a Highway 17 corridor; and WHEREAS, the importance of the supporting road network in supporti g rincipal arterial roadway; and City does not have complete jurisdiction road network for the County Highway 17 vision; der this memorandum of understanding have derst ings regarding certain aspects of the proposed access to CSAH 17; and WHERE ransportation Plan update (Scott County 2030 Comprehensive Plan- Transportatio approved by the County in November 2008, the County has revised the future fun I class designation of County Highway 21 to remain a Minor Arterial roadway; and WHEREAS, the City and County wish to avoid the same conflicts that have occurred during the consideration of development on the former future principal arterial corridor on County Highway 21; and Whereas, the City and County recognize the integral role access spacing plays and supporting roads play in a corridor's function; and WHEREAS, this revised future functional class system has required the County and City to jointly review the access spacing allowed on both County Highway 17 and County Highway 21; and WHEREAS, the parties have jointly participated in a study reviewing the traffic and operational data relative to the impact of the construction of the Hanson Avenue access, connecting County Highway 18 (the future County Highway 21) and Stagecoach Road; and WHEREAS, Scott County reserves the right to address any future safety problems associated with the right-in/right-out access to CSAH 18 in the form of iting that access or its total closure; and WHEREAS, the City acknowledges the County's autho the County Highway in the future. County Highway 17 1. The City and County agree that the long term function of County Highway 17 south of TH169 is a principal arterial where the primary focus on the road is to support mobility. 2. The County and City accept the preliminary design concept for the segment of County Highway 17 between St. Francis Ave to County Highway 42, recognize there are a number of issues that need to be resolved and are committed to working together to resolve issues as the design process proceeds forward. 3. The County and City are committed to working together to develop an expansion project in 2013 involving all or a portion of this segment (Segment C) from St Frances to County Highway 42. 4. The County will consider applying funds on the Segment C project from the 2009 regional solicitation from the Transportation Advisory Board 5. The County will proceed with appropriate project development and environmental review for the segment C project 6. The City and County should work together to further study County Highway 17 at the intersections with CH42, CH78 and Valley View Road to determine the appropriate full intersection control. 7, The City and County should continue to explore opportunities fo side of CH 17 in the vicinity of the Valley View intersection 8. Michael Leek, Community Development Director SUBJECT: Approval of Construction Cooperative Agreement for Bus-Only Ramp and Eagle Creek Station Park and Ride MEETNG DATE: March 17, 2009 INTRODUCTION: Attached to this memorandum for Council consideration is a draft Construction Cooperative Agreement between Scott County and the City of Shakopee for the Eagle Creek Station park and ride and bus-only ramp project Council is asked to provide any directions for change, and direct staff to bring the agreement back for adoption at its next available meeting, DISCUSSION: Under the existing MOU for the Southbridge and Eagle Creek park and rides, it was expected that the cities of Prior Lake and Shakopee would respectively pay 40% and 60% of site acquisition and construction costs that are not federally funded. Under the draft Agreement, Shakopee would reimburse the County for its share (sixty percent [60%]) of the non-federal construction costs and contract administration costs over and above the $2,312,520 that is federally funded. Recently, Shakopee Public Utilities Commission staff opined that a 12 inch water line would be required, rather than the 8 inch line that is identified in the plans for this project. That significantly increases the costs for water. Staff disagrees with this determination, and because the park and ride site would in the future need water service only for a couple of bathroom facilities (and those likely several years in the future), staff strongly suggests that the water line not be installed as a part of this project. This will help preserve transit funds to the greatest extent possible to support bus operations and expansion. RECOMMENDATION: Staff recommends that the Council discuss the Construction Cooperative Agreement for the Eagle Creek Station and bus-only ramp, provide direction for any changes to the agreement, and direction to staff to bring the agreement back to the Council for action at its next available meeting. Seven Hundred Sixty Three Thousand, Nine Hundred Nine Dollars ($763,909), Phase 2 construction is estimated at One Million, Five Hundred Forty Eight Thousand, Six Hundred Eleven Dollars,($1,548,611) (hereinafter "Engineer's Estimate"), A copy of said estimate (marked Exhibit "B") is attached hereto and made a part hereof E. It is contemplated that all of the above improvement work shall be carried out by the parties under the provisions ofMinn .Stat, Sec, 162,17, subd. 1. 1 County Project No. CP 21-15 City of Shakopee County of Scott NOW, THEREFORE, IT IS HEREBY AGREED: 1. The recitals set forth above are incorporated as if fully set forth herein. 2. The County or its agents shall advertise for bids for the work and construction of the aforesaid Project No, CP 21-15/SP 70-621-024, receive and open bids pursuant to, said advertisement and enter into a contract with the successful bidder at the unit prices specified in the bid of such bidder, according to law in such case provided for counties. The contract is in form and includes the plans and specifications prepared by the County or its agents, which said plans and specifications are by this reference made a part hereof. 3, The County shall have overall authority to administer the contract and inspect the construction of the contract work for the Project. The County shall have ultimate authority in initiating and determining change orders, supplemental agreements and final quantities, The City Engineer shall cooperate with the County Engineer and his staff at their request to the extent necessary, but shall have no other responsibility for the supervision of the work. 4. The City shall reimburse the County for its share sixty percent (60%) of the non-federal construction costs and contract administration costs (staking, vouchers, inspections, construction oversight) of the contract work for said Project over and above the $2,312,520 that is federally funded and the total final contract construction cost shall be apportioned as set forth in the Division of Cost Summary in Exhibit "B". It is further agreed that the Engineer's Estimate referred to in this agreement are estimates of the construction cost for the contract work on the project and that the unit prices set forth in the contract with the successful bidder and the final quantities as measured by the County Engineer shall govern in computing the total final contract construction cost for apportioning the cost of the Project according to the provisions of this paragraph. In order to provide support of these transit improvements, the County waives its normal cost share designated as Preliminary Engineering, which includes all costs of planning, design and preparation of plans and specifications, in an actual amount of up to ten percent (10%) of the cost of construction. The County waives its normal cost share designated as Construction Engineering, which includes the complete staking, inspection and supervision of the construction, in an actual amount of up to eight percent (8%) of the final contract amount. The County further waives the costs of administration of the City contract work, which includes coordination with the contractor, processing of payment, and preparation of contract documents (change orders/supplemental agreements), in an actual amount of up to three percent (3%) of the final City contract amount. The cost of the items in which the County shall participate shall be based on the unit prices in the contract and the final construction quantities as determined by the Project Engineer in charge, 2 County Project No. CP 21-15 City of Shakopee County of Scott 5, The City authorizes Scott County to enter into a long term lease with the Shakopee Mdewakaton Sioux Community (SMSC) for use of the 12.4 Acre Eagle Creek Station property for transit purposes, The County agrees to pay the City's 60% of the lease costs which are anticipated to be $37,200 for the first 25 years of the lease at which time the lease will automatically renew for an additional 25 years at a cost of $74,400. If the property is placed into Trust with the United States for the benefit of the SMSC the rates could be adjusted on a five year basis 6. In addition to payment of the City's proportionate share forty percent (60%) of the contract construction cost to be allocated pursuant to Paragraph 4 above, the County and the City further agree that the County shall invoice the City for fees, (including by not limited to, tree replacement, sewer water and electrical service charges and permit fees) that are incurred during the construction process, Transit local share is based on the July 2006 MOU between Shakopee, Shakopee and Scott County regarding cost sharing for construction, engineering and right of way acquisition for the Southbridge Crossings and Eagle Creek Transit Stations. The 40% Prior Lake and 60 % Shakopee cost split stated in the MOU was used to compute the local share of construction costs for the Bus Only Ramp as well as the transit station, 7. The City shall, based on the contract price, deposit with the Scott County Treasurer one hundred percent (50%) of the City's share of the Phase 1 and Phase 2 construction costs of the Project within thirty (30) days after award of contract and execution of this Agreement, whichever is later And the remaining 50% of the City's share of the Phase 1 and 2 construction cost on Dec 31, 2010, The final amount of the City's share of construction costs of the Project shall be calculated and any amount due paid to the County upon completion of the Project and submittal to the City of the County's final, itemized, statement of the Project costs. In the event the initial payment exceeds the City's share of these final costs, such overpayment shall be returned to the City by the County, 8. The County Engineer shall prepare monthly progress reports as provided in the specifications. Copies of these reports shall be furnished to the City upon request. 9. In the event that a dispute arises, the County and the City agree that all disputes between them arising out of or relating to this Agreement shall be submitted, upon agreement of both parties, to mediation, with the cost being shared equally, 10, Since each party recognizes each other as a political subdivision of the State of Minnesota, each party shall maintain general liability and automobile liability coverage protecting itself, its officers, agents, employees and duly authorized volunteers against any usual and customary public liability claims to the limits 3 County Project No, CP 21-15 City of Shakopee County of Scott prescribed under Minn. Stat. Sec. 466,04 and Workers' Compensation and shall be in accordance with the Minnesota statutory requirements. Said policies shall be kept in effect during the entire term of this Agreement, 11. All records kept by the City and the County with respect to the Project shall be subject to examination by the representatives of each party. All data collected, created, received, maintained or disseminated for any purpose by the activities of the County or City pursuant to this Agreement shall be governed by Minnesota Statutes Chapter 13, as amended, and the Minnesota Rules implementing such Act now in force or hereafter adopted. 12. Neither the County, its officers, agents or employees, either in their individual or official capacity, shall be responsible or liable in any manner to the City for any claim, demand, action or cause of action of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent performance or nonperformance of the described maintenance, restoration, repair or replacement work by the City, or arising out of the negligence of any contractor under any contract let by the City for the performance of said work; and the City agrees to defend, save and keep said County, its officers, agents and employees harmless from all claims, demands, actions or causes of action arising out of negligent performance by the City, its officers, agents or employees, 13. It is further agreed that neither the City, its officers, agents or employees, either in their individual or official capacity, shall be responsible or liable in any manner to the County for any claim, demand, action or cause of action of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent performance or nonperformance of the described maintenance, restoration, repair or replacement work by the County, or arising out of the negligence of any contractor under any contract let by the County for the performance of said work; and the County agrees to defend, save and keep said City, its officers, agents and employees harmless from all claims, demands, actions or causes of action arising out of negligent performance by the County, its officers, agents or employees, 14. It is further agreed that each party to this Agreement shall not be responsible or liable to the other or to any other person or entity for any claims, damages, actions, or causes of actions of any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent performance or nonperformance of any work or part hereof by the other as provided herein; and each party further agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoever character arising in connection with or by virtue of performance of its own work as provided herein. 4 County Project No. CP 21-15 City of Shakopee County of Scott 15, It is further agreed that any and all employees of the City and all other persons engaged by the City in the performance of any work or services required or provided herein to be performed by the City shall not be considered employees, agents or independent contractors of the County, and that any and all claims that mayor might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the State of Minnesota on behalf of said City employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said City employees while so engaged shall be the sole responsibility of the City and shall not be the obligation or responsibility of the County, Any and all employees of the County and all other persons engaged by the County in the performance of any work or services required or provided for herein to be performed by the County shall not be considered employees, agents or independent contractors of the City, and that any and all claims that mayor might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the State of Minnesota on behalf of said County employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said County employees while so engaged shall be the sole responsibility of the County and shall not be the obligation or responsibility of the City, 16. The provisions of Minn, Stat. Sec. 181,59 and of any applicable local ordinance relating to Civil Rights and discrimination and the affirmative action policy statement of Scott County shall be considered a part of this Agreement as though fully set forth herein. See Exhibit "A". 17. Pursuant to Minn, Stat. Sec. 16C,05, subd. 5 (2004), the books, records, documents, and accounting procedures and practices of the County and City pursuant to this Agreement shall be subject to examination by the County, City and the State Auditor, Complete and accurate records of the work performed pursuant to this Agreement shall be kept by the County and City for a minimum of six (6) years following termination of this Agreement for such auditing purposes. The retention period shall be automatically extended during the course of any administrative or judicial action involving the County or the City regarding matters to which the records are relevant, The retention period shall be automatically extended until the administrative or judicial action is finally completed or until the authorized agent of the County or City notifies each party in writing that the records no longer need to be kept. 18, The laws of the State of Minnesota shall govern all questions and interpretations concerning the validity and construction of this Agreement and the legal relations between the parties and performance under it, The appropriate venue and jurisdiction for any litigation hereunder will be those courts located with the County of Scott, State of Minnesota, Litigation, however, in the federal courts involving the parties shall be in the appropriate federal court within the State of Minnesota. 5 County Project No. CP 21-15 City of Shakopee County of Scott 19, In the event any provision of this Agreement shall be held invalid and unenforceable, the remaining provisions shall be valid and binding upon the parties unless such invalidity or non-enforceability would cause the Agreement to fail its purpose, One or more waivers by either party of any provision, term, condition or covenant shall not be construed by the other party as a waiver of a subsequent breach of the same by the other party. 20, The County's Authorized Agent for the purpose of the administration of this Agreement is Maria A.
