SSH.A.K.OPE E TO: Mayor and City Council FROM: Jeff Weyandt, Assistant City Engineer DATE: 06/16/2015 SUBJECT: Approve Plans and Authorize Ad for Bids for the CSAH 83 Culvert Improvements Project No. 2015-3, Res. No. 7586 (E) Action Sought The Council is asked to offer Resolution No 7586, a Resolution Approving Plans and Specifications and Ordering Advertisement for Bids for the CSAH 83 Culvert Improvements Project No. 2015-3, and move its adoption. The Council is also asked to authorize the appropriate city officials to execute Maintenance and Right of Entry Agreements with three property owners west of CR 83. Background The CSAH 83 Culvert Improvement Project is included in the 2015 CIP. Staff has completed the plans for the improvements and would request that the City Council approve the plans and authorize advertisement for bids, for the work to be done later this summer. Additionally, Maintenance and Right of Entry Agreements with private property owners will be necessary to construct the improvements and for future drainage maintenance of the channel and culverts. Attached is a drawing showing the improvements to CR 83 and to the driveways and the channel to be maintained by the City. Recommendation Staff recommends approval of the resolution and execution of the Maintenance and Right of Entry Agreements. Budget Impact This project will be funded by the Trunk Storm Sewer Fund. The estimated project cost included in the CIP is $1,300,000; however it is anticipated that actual cost will be much lower than the CIP estimate. Upon completion, there will be more maintenance costs in the channel and driveway culverts. However, this is a vital drainage channel of a major area. Relationship to Vision This supports Goal E: Deliver effective and efficient public services by a staff of well-trained, caring and professional employees. Requested Action The Council is asked to offer Resolution No 7586, a Resolution Approving Plans and Specifications and Ordering Advertisement for Bids for the CSAH 83 Culvert Improvements Project No. 2015-3, and move its adoption. The Council is also asked to authorize the appropriate city officials to execute Maintenance and Right of Entry Agreements with three property owners west of CR 83. Attachments: Res. No. 7586 Sample Agreement Plans 2014 Flood-Blue Lake Channel RESOLUTION NO. 7586 A Resolution Approving Plans And Specifications And Ordering Advertisement For Bids For The CSAH 83 Culvert Improvements Project No. 2015-3 WHEREAS, Bruce Loney, Public Works Director has prepared plans and specifications for improvements for the CSAH 83 Culvert Improvements Project,by storm sewer construction and any appurtenant work,and has presented such plans and specifications to the Council for approval. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SHAKOPEE,MINNESOTA: 1. Such plans and specifications, a copy of which is on file and of record in the Office of the City Engineer, are hereby approved. 2. The City Clerk shall prepare and cause to be inserted in the official paper and on questcdn.com an advertisement for bids upon the making of such improvement under such approved plans and specifications. Mayor of the City of Shakopee ATTEST: City Clerk ENGR/2015-PROJECT/2015-CSAHS3Culvertlmprovement/WORD/RES7586APPROVE-PLANS-ORDER-BIAS SAMPLE MAINTENANCE AND RIGHT OF ENTRY AGREEMENT THIS AGREEMENT is made as of this day of , 2015 by and between City of Shakopee("City")and ("Owner"). RECITALS A. Owner is the fee simple owner of the real estate described on Exhibit A to this Agreement("Property"). B. City desires to make improvements to the portion of the Blue Lake Channel located west of CSAH 83, including installing culverts under private driveways, and maintaining the channel after the improvements are made. ("Project"). A portion of the channel is located on the Property. C. City has requested that Owner grant permission to the City, its agents, employees and contractors ("City Parties") the right to enter the Property to install culverts and to perform the related work in the channel, including future work that will be needed to maintain the channel. Owner is willing to grant such permission to the City with the understanding that by executing this Agreement, Owner will not be granting: (1) any permanent interest in the Property to the City Parties;or(2)exclusive use or possession of the Property to the City Parties. AGREEMENT NOW, THEREFORE, in consideration of the premises and their mutual promises, the parties agree as follows: 1. Owner grants to the City Parties the right to enter upon the Property for the purpose of installing the culverts and related work in the channel and doing future work on the Property that is needed to maintain the channel. 2 In consideration for such right of entry,City, on behalf of the City Parties, agrees to: (a) Except for emergency repairs, notify Owner of the date and time that work by any of the City Parties on the Property will commence under this Agreement,which notice shall be at least three business days prior to doing any work on the Property in order to permit Owner or her representatives to be present during the time any work is being done by City Parties. (b) Do the work in the shortest period of time reasonably necessary to complete such activities authorized under this Agreement as the City Parties, in their sole discretion, shall determine. 1 (c) Use the Property only for the purposes described in this Agreement and to not park or store any equipment on the Property, except during the limited periods of time when the work on the Property that is contemplated by this Agreement is in progress. (d) Do no unnecessary damage to the Property and to restore the Property to substantially the same condition as the condition in which it was found by the City Parties at the time of their entry upon the Property pursuant to this Agreement. 3. All work and activities conducted by the City Parties on the Property shall be at the sole risk, cost and expense of the City Parties. The City waives and relinquish, for itself and for all persons and parties claiming through or under it (including but not limited to its employees, contractors and agents), any and all claims, liens, liabilities, causes of action, demands and costs and expenses relating to the subject matter of this Agreement, now or arising later, in favor of either the City and any such person or party with respect to injury to persons or property occasioned by the condition of the Property relating to the work performed by the City Parties on the Property pursuant to this Agreement. 4. The City holds Owner harmless from and indemnifies Owner from any and all claims, damages, judgments or obligations, including attorneys' fees and the cost of any litigation, arising out of damage to the Property or the filing of any mechanic's liens, or arising out of injury to anyone incurred or alleged to have been incurred in connection with or as a result of any work done by the City Parties pursuant to this Agreement. 5. City Parties that enter the Property pursuant to this Agreement shall carry insurance during the time any work is done on the Property in accordance with the following minimum requirements: 1. Workers' Compensation Insurance with limits as provided by statute,with all necessary statutory elections to provide coverage for and/or claims made by any person doing work on the Property pursuant to this Right of Entry; 2. Employer's liability insurance (often included as coverage) (b) in the Workers' Compensation policy)with limits of$1,000,000; 3. Comprehensive Auto (and truck) Liability Insurance with minimum combined single limits of$1 million per occurrence; 4. Comprehensive General Liability Insurance (including coverage for contractual liability, products and completed operations liability, liabilities arising out of explosion, or underground related incidents) with minimum combined single limits of $1 million per occurrence. In addition, the Comprehensive General Liability policy shall include Owner and City as additional insureds with respect to work done on the Property, and this policy must include a Cost Liability clause. 6. This Agreement shall be interpreted in accordance with the laws of the state of Minnesota. 2 7. All notices, demands or other communications under this Agreement shall be effective only if made in writing and shall be sufficiently given and deemed given when delivered personally or mailed by certified mail,return receipt requested,postage prepaid,properly addressed as follows: 1. If to Owner: Or to such other persons as the parties may from time to time designate in writing and forward to the other persons entitled to receive notice as provided in this section. 8. The restrictions,covenants, and conditions in this Agreement shall run with the Property and be binding on all parties having any right, title or interest in the Property or any part thereof, and their heirs, successors and assigns,and shall inure to the benefit of each owner thereof. 9. This Agreement may be amended by the parties only by written instrument executed with the same procedures and formality as were followed in the execution of this Agreement. 10. This Agreement is contingent upon the City installing a culvert under County Road 83 as part of City Project 2015-3. If the culvert is not installed as part of that project, this Agreement will be void and not binding on either the City or the Owner.
