Downtown Farmers' Market

Introduction & Background
The City Council is asked to approve the establishment of a farmer's market in downtown
at the 2nd Ave parking lot contingent upon completion of all final plans, agreements and
permits as required.
The Vision Shakopee Downtown Partnership (VSDP) is working on establishing a
farmers market for the upcoming growing season. The purpose of the market is to
contribute to local economic development and downtown revitalization through:
1. Generate a larger market for the downtown area; consumers who come to a
community to shop at a farmers' market also tend to patronize other local
businesses.
2. Exposure for downtown and First A venue businesses;
3. Offering a tourism attraction, drawing tourists who bring new dollars from outside
the community.
4. Offering the fledgling entrepreneur with limited resources an environment in
which to sell their products; and
5. Creating vibrant public space
At its February 10th meeting, the Economic Development Advisory Committee
unanimously made recommendation to the City Council to approve the downtown
farmers market as presented byVSDP.

Discussion
The market is proposed to take place on the City owned parking lot on 2nd Avenue
(bounded by 2nd Ave, Holmes St and Lewis St) just south of City Hall. Economic
development staff is working closely with VSDP staff and Board in working out the
specifics such as zoning / special permitting issues, liability insurance coverage, etc.
which will be part of a formal agreement.
VSDP has produced a proposal, enclosed as Exhibit A, that outlines such information as
what will be sold at the market, who will organize and run the market, who will sell at the
market, operating dates / times of the market, a vendor's agreement, etc. VSDP staff
Lauri Glenn and Farmers Market Committee members will be at the February 1 ih
meeting to provide background on the market and answer questions City Council may
have.
Staff has prepared an agreement between the City and VSDP specifying the terms of use
of the parking lot and other market details; a draft of an agreement is enclosed as
Exhibit B.
Regarding the question of a farmers market use in the B-3 zoning district, the City'
zoning code has no information specific to that; it does not clearly state whether farmers
markets are permitted or not permitted. According to Community Development Director
Michael Leek, when there is no definitive direction as to whether some use is permitted
or not permitted, it is presumed that the use is not permitted. Mr. Leek is of the opinion
that there are two options for the City Council to consider: 1.) The zoning district
regulations could be amended to make the farmers market a permitted use, or; 2.) The use
could be interpreted to be like other uses that are conditionally permitted, in which case a
CUP would then be required.
Budget Impact
It is not expected that there will be an impact on the City or EDA budget for this.
Action Requested
Offer and pass a motion approving the establishment of a farmers market at the 2nd
A venue parking lot in downtown, contingent upon completion of all final plans,
agreements, and permits as required.

Statement of Purpose
Vision Shakopee! is in favor of undertaking the Farmers Market project for the
purpose of bringing in a farmers market to the residents so they do not have to go outside
of Shakopee to buy fresh produce, vegetables, and plants. It is also the purpose of Vision
Shakopee! to bring people into the downtown area and make them more aware of what
downtown Shakopee has to offer in the way of parks, businesses, and events.

Logistic Details
The proposed location for the Shakopee Farmer's Market is the City parking lot
located between Holmes and Lewis Streets and 2nd and 3rd Avenues. Parking for the
Farmer's Market would be available on Lewis Street, Holmes Street, 2nd Avenue, 3rd
Avenue, the Library parking lot and the City parking lot across from Bill's Toggery.
This would be an open-air market, with the number of vendors anticipated to be
between ten and twenty for the first two years. We would like to see twenty to thirty
vendors in subsequent years, with the possibility for exponential growth in the future.
Individual vendors' booths would be approximately 12 feet x 12 feet, at a cost of$50
per booth for the duration of the season. Vendor setup time would begin at 6:30 am, with
the ability to sell upon setup completion. All sales would end by noon, and the parking lot
would be emptied and cleaned by I pm. All vendors would be responsible for clean up of
their booth.
At present, proposed products would include fresh produce, vegetables, herbs, and
plants. However in the future we would like to see crafts and food vendors.

Timetable
The Farmer's Market would be run by Vision Shakopee's Farmer's Market
committee, and would be operable Saturdays, June 19th through August 28th, from 7:00
am to 12:00 noon. (We would like to work with the Derby Days organization to operate
in some capacity during the celebration.)
Applications would be accepted throughout the Farmer's Market season, as space is
available. However, no refunds would be allowed after May 1 st.

AGREEMENT
This Agreement is made this _ day of , 2004, by and between the
City of Shakopee ("City") and the Shakopee Farmers MarketNision Shakopee Downtown
Partnership ("Market").
Recitals
A. The Market seeks permission for the use of a City-owned parking lot in Shakopee,
Minnesota for the purpose of conducting a Farmer's Market.
B. The City is willing to grant permission for use of the parking lot for a Farmer's Market,
subject to the terms and conditions ofthis Agreement.
Ae:reement Terms
City and Market agree as follows:
1. Grant of use of Property. The City grants permission to Market to use the 2nd Avenue
parking lot located in downtown Shakopee, Minnesota, bounded by 2nd A venue, Holmes
Street and Lewis Street ("parking lot") for the sole purpose of conducting a Farmer's
Market.
2. Term. Market may use the parking lot beginning June 19,2004 through August 28,2004.
Market may use the parking lot every Saturday during this time period from 6:30 a.m. until
1 :00 p.m. Vendors may not set up prior to 6:30 a.m. The parking lot must be completely
cleaned and vacated by 1 :00 p.m.
3. Condition of Lot. Market is responsible for removal of all trash, litter and waste from the
parking lot after each scheduled event. If Market fails to adequately clean the parking lot
and the City incurs costs for trash removal, Market must reimburse City for those costs.
4. Payment. Market will pay to the City $ 1.00 for use of the parking lot during the term of
this Agreement.
5. Cancellation of Event. If the City becomes aware of another event that will conflict with
Market's use ofthe parking lot, the City will give Market a minimum of two weeks' notice
if a site change or cancellation is necessary. The City will make a reasonable effort to
provide an acceptable alternative location for the scheduled event.
6. Termination of Agreement. This Agreement will terminate after the scheduled event on
August 28, 2004. The City may terminate this Agreement at any time prior to that date if
Market fails to comply with the terms of this Agreement.
7. No Assignment. Market may not assign its rights under this Agreement without written
permission from the City.
8. Parking and Traffic Control. Market will keep the entrance/exit of the
parking lot open during each scheduled event. The City will provide (number) of
barricades for use by Market. Market agrees to distribute information on parking in all of its
written correspondence with customers and advertising to ensure that public parking lots,
rather than private parking lots, in the downtown area are used during the scheduled events.
If parking violations occur, the City may require Market to hire parking attendants or the
City may hire such attendants at Market's expense.
9. Indemnification. Market agrees to defend, indemnify and hold harmless the City, its
officers, employees and agents from any liability, damages, claims, costs, judgments or
expenses, including reasonable attorneys' fees arising, either directly or indirectly out of
Market's use of the parking lot.
10. Insurance. At least 10 days prior to the first scheduled event, Market will provide a
certificate of insurance showing proof of general liability in the minimum amount of
$1,000,000 per occurrence. The insurance certificate must name the City of Shako pee as an
additional insured on the policy.
11. Governing Law. This Agreement is governed by the laws of the State of Minnesota.
