SUBJECT: Approval of a Stipulation Agreement with
Amalgamated Land Company for 17th Avenue Right-of-Way

INTRODUCTION:
Attached is a Stipulation of Settlement for Parcel No.4 on City of Shakopee Road Right-
of-Way Plat No.3 which is owned by Amalgamated Land Company for a full and final
settlement for right-of-way acquisition for the 1 ih Avenue project. The action requested
for City Council is to approve the settlement agreement for the City Attorney to complete
the agreement.
BACKGROUND:
Previously, the City Council approved Resolution No. 6381, a resolution authorizing
eminent domain procedures to acquire additional right-of-way and easements for the 17
Avenue roadway project, from Southern Meadows to CSAH 83. This resolution was
adopted on March 6,2006 and condemnation proceedings were initiated. There. are five
parcels that are affected by the 17th Avenue project and staff has reached an agreement
with the owner of Parcel No.4. As shown in the attached Stipulation Agreement, the
right-of-way amount has been agreed upon of $207,786.75 as compared to a previous
appraised value of $171,200.00 for this parcel. Per Corrine Thomson of Kennedy &
Graven, there have been several meetings with the property owner's attorney and the
Stipulation Agreement amount has been agreed upon by the attorneys and staff concurs
with this.
The action for City Council is to approve a motion agreeing to the Stipulation Agreement
in order for this document to be completed and ending further eminent domain
proceedings for Parcel No.4.
ALTERNATIVES:
1. Approve a motion approving the Stipulation of Settlement as to Parcel No.4 for
City of Shakopee Road Right-of-Way Plat No.3, which authorizes the payment of
award and ends action of the condemnation proceedings.
2. Do not approve the stipulation of settlement.
3. Table for additional information.
RECOMMENDATION:
Staff would recommend Alternative No.1, which also has a recommendation from the
City Attorney's office.
ACTION REQUESTED:
Approve a motion approving the Stipulation of Settlement as to Parcel No.4 for City of
Shakopee Road Right-of-Way Plat No.3, which authorizes the payment of award and
ends action of the condemnation proceedings.

THIS STIPULATION is made by and among the Petitioner the City of Shakopee <"City")
and Respondeots .Am.algamated Land Co., a Minnesota corporation and Cimanon Management
Group LLC, a Colorado limited liability company ('"Respondents").
WHEREAS, Respondents collectively iU"ethe fee owners of the real property located at
3690 Eagle Creek Blvd., Shakopee, MN 55379, which is identified as Parcel 4 in this action and is
legally described in the attached Exhibit A (the "Property"); and

WHEREAS. the City has commenced an action in. condemnation to acquire fee simple
absolute title to a portion of the Property for a project known as the 17Th Avenue Improvement
Project (City Project 2006~01) (the "project"); and
WHEREAS. the parties have reached a full and final settlement and com.promise concerning
the matters in dispute.
NOW, THEREFORE, the parties stipulate as follows:
1. Stipulated Commissioners' Award. The Respondents agree that the com
appointed commissioners may enter an award in the amount of $207.786.75 in favor of
Respondents; Central Bank; John F. Bonner and an award of $0.00 in favor of City of Shakopee
and County of Scott.
2. Payment of Award. Respondent acknowledges that it has previously received the
amount of $171,200.00, in partial payment. of the final settlement. Within 10 days after the
execution of this Stipulation, the City will pay the remaining balance of $35,586.75 jointly to the
Respondents, Central Bank and John F. Bonner. The City will omit an identified payee from. the
check upon presentation of a writing made by the payee, disclaiming any interest in the
settlement proceeds.
3. Full and Final Compromise. The Respondents acknowledge that the payment. of
the award as provided in paragraph 2 is in full and final compro:mise of the damages caused to
Parcel 4 as a result of the taking herein, including but not limited to just compensation, attorneys'
fees, and interest. The Respondents further acknowledge that they previously have received
$1,500.00 from the City, in reimbursement ofapprlUsal fees.
4. Waiver of Appeal and Claims. Both parties waive the right to appeal from the
final award of commissioners entered pursuant. to this stipulation. Respondents Amalgamated

and Cimarron each waives and releases all other claims that it might have made in this action,
including without limitation, claims for additional just compensation, interest, attorney's fees or
reimbursement of appraisal fees.
S. Final Certificate and Dischar~e of Lis Pendens. After expiration of the time to
appeal from the award of commissioners, the City agrees to promptly file and record its final
certificate and a discharge of the notice oflis pendens against the Propeny.
