BACKGROUND AND DISCUSSION In 2002, the City entered into agreements with Midwest Coca-Cola Bottling Company and Midwest Vending for beverage and snack vending at the Community Center, Aquatic Park, City Hall and various park facilities. The agreement with Coca-Cola and Midwest Vending ran for three years. City Council extended both agreements for an additional one year in January of 2007. The contract extension dates for both contracts have concluded. Staff is now seeking the approval of the attached Vending Services RFP. The RFP has been reviewed by the City Attorney. As we evaluate the proposals staff will consider the new vending services in facilities like the 17~' Avenue Sports Complex. In addition, staff will consider beverage service needs for special events such as the upcoming. 2008 State Amateur Baseball Championships. With these facilities and events, we should be in line for a higher commission and/or higher annual payments. RELATIONSHIP TO VISION B. High Quality of Life REQUESTED ACTION If City Council concurs, move to authorize the advertising of Request for Proposals for the City of Shakopee vending services. ~ ~ J mie Polley, Dir. r s, Rec & NR SHAKOPEE CITY OF SHAKOPEE PARKS AND RECREATION DEPARTMENT VENDING SERVICES REQUEST FOR PROPOSALS (RFP} INTRODUCTION The City of Shakopee is seeking proposals for year-round vending services at the Shakopee Community Center, Shakopee Ice Arena, and Shakopee City Hall; seasonal vending services at neighborhood parks as requested; and resale beverage service at the Shakopee Ice Arena and Shakopee Aquatic Park concession stands. PROPOSAL INFORMATION Project Overview The successful contractor shall provide vending machines and the products to stock the machines for Shakopee Parks and Recreation Department. The services shall include, but not be limited to, the maintenance, supplying and loading of product, collection of revenues, and disbursement of commissions to the various sites identified in this RFP. Shakopee Parks and Recreation Department has contracted for vending services in the Shakopee Community Center/Shakopee Ice Arena complex since opening in 1996. In addition, we have also contracted for vending services at the Shakopee Aquatic Park, and provided retail beverage service at the Ice Arena and Aquatic Park concession stands. This proposal also contains requirements for vending machines at neighborhood parks and City Hall. Scope of Agreement Contractor shall provide all labor, equipment, materials and services necessary or incidental to locate and keep stocked vending machines at the locations as indicated below. Picnic shelters, Ball fields, Outdoor seasonal ice rinks 2 City shall make the final determination as to the number and type of vending machines allowed at each location. Facilities may be added to or deleted from this list, as deemed necessary by the City. Terms of Agreement The term of this contract shall be for a period of three years, commencing on March 1, 2008 through February 28, 2011, with two additional one-year extensions if agreeable to both parties, unless it is otherwise terminated by the parties pursuant to its termination provisions. Equipment Requirements 1. Contractor is to provide vending machine equipment/refrigeration equipment of the most recent model and not manufactured prior to 2000. 2. Contractor is to provide the most energy efficient equipment manufactured and shall install or equip machines with motion sensing controls designed to reduce electricity usage during off- peak times. Documentation of the equipment's energy efficiency must be provided to the City. 3. Contractor is to provide refrigeration equipment for concession stand usage as requested by the City. 4. Contractor is to provide and service at least one (1) change machine for the Shakopee Community Center. 5. Vending equipment must be equipped with meters (counting devices) to register gross income in a manner suitable for scheduled auditing as a basis of payment and settlement. 6. Vending equipment must have the capability of receiving $1 and $5 bills, and $1 coins. Change machine must have the capability of receiving $1, $5, and $20 bills. 7. Vending equipment shall have the capability of returning change in amounts of $.05, $.10, $.25 and $1.00, and have adequate change inventory for required returns. 8. All vending machine equipment must accept nickels, dimes and quarters and dollars and shall also be equipped with amicroprocessor-controlled dollar bill acceptor as an equipment accessory, for all vending locations. 9. A suitable refund policy agreed to by Shakopee Parks and Recreation for malfunctioning vending machines shall be developed for each site. Services to Be Provided 1. Equipment Installation The contractor shall provide for and will pay all costs associated with the installation of machines for each facility, plus the cost involved in adding additional machines or removing machines as they become necessary. The addition or deletion of a machine shall be at the discretion of the City and shall be effective within 15 days of such request. Should the installation of equipment require any modification of location, wiring, or other alterations to any existing building, the modifications will be made at the contractor's expense and the contractor must submit such proposed work in writing to the City and secure permission in writing before proceeding with any installation. All locations are subject to approval of the City. 2. Maintenance Contractor shall be responsible for proper maintenance and operation of all machines, and shall provide repair service within twelve (12) hours of notification of any malfunction (including weekdays, weekends and holidays). The contractor shall be solely responsible for all damages, losses, thefts, and other difficulties as may accrue to vending machines, the stock, and/or money therein; regardless of the cause of such damage, loss, theft, or other difficulty. Contractor agrees to keep machines and the area surrounding them in a clean and in a sanitary condition. 3. Accounting The contractor shall maintain complete and accurate records of vending machine transactions for each machine in accordance with accepted industry accounting practices, for the duration of the contract. The contractor shall provide the Parks and Recreation Department with a summarized and/or detailed report as requested (annually and possibly quarterly). The contractor shall be responsible for all bookkeeping and shall submit a monthly statement/reportgrnss sales and commission paid to ensure proper settlement and payment to each site involved. Commissions are to be paid monthly. At a minimum, this report will include a breakdown by machine and location, products sales and commissions generated. The contractor shall be responsible for the picking up of all moneys and the restocking of all machines. 4. Personnel and Staffing All employees of the contractor shall be considered to be at all times the sole employee of the contractor, under the contractor's sole direction, and not employees or agents of the City of Shakopee. All of the contractor's employees and other parties that may be involved in the work shat{ be considered to be independent contractors by the City of Shakopee for the purpose of income tax withholding, workers' compensation insurance and benefits, payment of unemployment compensation, payment of FICA taxes, liability for torts and eligibility for employee benefits. The City may require that the contractor remove any employee that the City deems careless, incompetent, insubordinate or otherwise objectionable, or whose presence on the City's property is not in the best interest of the City. The City shall have the right to review the staffing patterns and job schedules, and requires the contractor to take the appropriate action to insure adequate service. Employee uniforms shall be provided by the contractor to be best suited for the job junction intended. Uniforms must be easy to identify and appropriately marked with contractor's logo and employee's name. 5. Products The City will work cooperatively with the contractor to evaluate and select product for sale, and will look to the contractor for advice and guidance in this selection based on the contractor's product knowledge. However, the City retains the right for final product selection. Prior to the start of the contract, and at any time during the life of the contract, the City, at its option, may require samples of vending products for evaluation and approval prior to sale at the City sites. Product sales may include: soft drinks, coffee, hot chocolate, and juice, milk, sandwiches, chips, snacks and candy. 6. Produce Pricing Contractor and City shall mutually agree upon the vending prices for candy and snacks. These prices may be reviewed annually throughout the three-year contract period at the request of the contractor or Gity, and minor price/product adjustments may be negotiated based on product and price changes in the overall snack industry. In order to be considered valid, the proposal shall be in writing, submitted on time and in sealed envelope, and be signed by an officer of the company who can be accountable for all representations. 2. The submission shall include an original proposal and one (1) copy. 3. The proposal must contain the following information, presented in the order shown: a) Company background b) Description of proposer's past experience providing similar services c) Names and addresses of contact person(s) d) Ability to meet project requirements and services e) Complete vendor service bid sheet f) List of proposed product for sale and proposed prices g) Proposed process for response to customer complaints and refunds. h) Description of services provided, including locations and type of service. i) At least three (3) references 4. Notice to Proposer: a) This is a request for proposal and not a competitive bid per Minnesota Statutes Section 471.345. b) The City is not responsible for costs incurred by anyone responding to this Request for Proposals. c) Upon submission, all proposals become the property of the City, which retains the right to use any concept or idea presented in any proposal submitted, whether or not that proposal is accepted. d) The City expressly reserves the right to amend or withdraw this Request for Proposals at any time and to reject any or all proposals. e) The City is not bound to accept the lowest cost proposal. f) Proposers are held legally responsible for their proposals and proposal budgets. Proposers are not to collude with other proposers and competitors, or take any other action that will restrict competition. Evidence of such activity will result in rejection of the proposal. g) The City reserves the right to negotiate contract terms contemporaneously and /or subsequently with any number of proposers as the City deems to be in its best interest of the City. h) The City reserves the right to request any additional information at any stage of the Request for Proposals process. Compliance shall be at proposer's expense. 5. Companies shall make all investigations necessary to thoroughly inform themselves regarding the supplies andlor service to be furnished in accordance with the proposals. No plea of ignorance by the proposer of conditions that exist or that may hereafter exist as a result of failure or omission on the part of the proposer to make the necessary examinations and investigations will be accepted as a basis for varying the requirements of the City of the compensation to the proposer. Pre-Proposal Conference A Pre-Proposal Conference will be held at 10:00 a.m., Thursday, February 7 at the Shakopee Community Center, 1255 Fuller Street South in Shakopee. Attendance at this Conference is not mandatory. Submission Procedures 1. Proposals are due by 1:30 PM, Wednesday, February 13. 2. Submit to: Jamie Polley, Parks, Recreation & Natural Resources Director Shakopee Parks and Recreation 1255 Fuller Street South Shakopee, Minnesota 55379 (Faxed proposals will not be accepted.) 3. The response must include an original and one (1) copy of the proposal. The first page of the original must have the original signature of the officer who will be accountable for all representations. Both copies shall have the attached City bid sheet as a cover sheet for the proposal. 4. Unsigned proposals will be considered invalid. 5. Both copies should be sealed in a single envelope or box. The name, address, and proposal name (Vending Services) should be clearly marked on the outside. 6. A proposal may be withdrawn on written request of the proposer prior to the proposal due date. Negligence of the proposer in preparing this proposal confers no right to withdraw the proposal after the proposal due date. Prior to opening, changes may be made, provided the change is initialed by the proposer or the proposer's agent. If the intent of the proposer is not clearly identifiable, the interpretation most advantageous to the City will prevail. Once submitted a proposal becomes public property and will not be returned. Proposals may not be withdrawn for a period of 180 days after the time set for the proposal opening. All proposals submitted shall be valid for a period of 90 calendar days from the date of the proposal opening. 7. Proposer understands and acknowledges that pursuant to Minnesota Statutes, public records may be inspected and examined by anyone desiring to do so, at a reasonable time, under reasonable conditions and under supervision by the custodian of the public records. Proposals are private or nonpublic until they are opened by the City. Once the proposals are opened, the name of the proposer becomes public. All other data in a proposal are private or nonpublic data until the completion of the evaluation process (meaning that the City has completed negotiating the contract with the selected proposer). After the City has completed the evaluation process, all remaining data submitted by all proposers are public with the exception of trade secret data as defined and classified in Minnesota Statutes Section 13.37. If all proposals are rejected by the City prior to the completion of the evaluation process, the proposals remain private or nonpublic until a resolicitation of the request for proposals results in the completion of the evaluation process or a determination is made by the City to abandon the process. If the rejection of the proposals by the City occurs after the completion of the evaluation process, the proposals remain public. If a resolicitation of a request for proposals does not occur within one year of the proposal opening date, the proposals become public. Proposer shall have access to data coiiected or maintained by the City as deemed by the City as necessary to perform the proposer's obligation under the contract. Such data will be provided to the proposer as governed by the Minnesota Governmental Data Practices Act, Minnesota Statutes Chapter 13. Proposer agrees to maintain all data obtained from the City consistent with the requirements of the Data Practices Act. Proposer will not release or disclose the contents of data classified as not public to any person except at the written direction of the City. Proposer agrees to defend and indemnify the City from any claim, liability, damage or loss asserted against the City as a result of the praposer's failure to comply with the requirements of the Data Practices Act. Upon termination of this contract, proposer agrees to return data to the City, as requested by the City. All books, records, document and accounting procedures and practices of the proposer relevant to the contract, shall, pursuant to Minnesota Statutes, be subject to examination at all times by the City, the Legislative Auditor or the State Auditor. EVALUATION AND SELECTION 1. The City reserves the right to reject and/or award any and all proposals or parts thereof and to waive any formalities and technicalities according to the best interests of the City. 2. The City reserves the right to waive any minor irregularities in the proposal request process. 3. The City reserves the right to interview any or all proposers at its discretion. 4. The City will review proposals based on the following criteria: a) The experience, resources, and qualifications of the firm and individuals to be assigned to the project. b) The Proposer's understanding of the scope of services requested. c) Ability to meet project requirement and services. d) Percentage of revenue to be paid to the City (commission), as well as additional items provided as outlined in the "bid sheet". e) Product variety. f) Proposed process for response to customer complaints and refunds. Please Note: The City desires to award a single contract that provides complete vending (snack and beverage) at all locations identified in this proposal. Accordingly, additional consideration will be given to proposals that can provide a complete vending service. However, this will not preclude the City from the option of selecting separate proposals for snack and beverage, if the City deems it in the best interest of the City. In addition, the City may desire to allow multiple venders of similar products at specified locations i.e. Tahpah Park Schleper Baseball Stadium. The Shakopee City Council will make the final decision regarding award of the contract. EXECUTION OF CONTRACT Notification in writing by the City to the successful company of award of contract shall be deemed a final contract award. The proposal submittal form, as submitted and signed by the company, shall constitute a final agreement and the proposal specifications contained herein shall become part of the agreement. Any additional work to be performed, as mutually agreed upon by the City and the company, shall become a part of that agreement. Unless it is specifically stated otherwise on the proposal, the proposal will be awarded to, or placed with, and payment made to the person or company that signs the proposal. REQUIREMENTS OF PROPOSAL When necessary, the successful company shall, within ten (10) days after notification of the award: (a) enter into a contract in writing with the City covering all matters and things as set forth in the specifications and proposal; (b) carry insurance acceptable to the City covering public liability, property damage, automobile liability, product liability, and worker's compensation. COMPLIANCE WITH ALL LAWS All work under the contract must be executed in accordance with all applicable federal, state and local laws, ordinances, rules and regulations. CONTRACT ALTERATIONS No amendment of a contract shall be valid unless made in writing and signed by the City Administrator or his/her authorized agent. NOTICES All notices required by the contract shall be given in writing. NON-ASSIGNABILITY The contractor shall not assign the contract, or any part thereof, to any other person, firm or corporation without the previous written consent of the City. Such assignment shall not relieve the contractor from his/her obligations, or change the terms of the contract. INDEMNITY The awarded contractor agrees to indemnify, defend and hold the City harmless from any and all claims, suits, actions, damages, cause of action, or attorneys' fees, arising from any personal injury, loss of life, or damage to person or property sustained by reason of or as a result of the products or services supplied. The awarded contractor agrees to indemnify, defend and hold the City harmless from any and all claims, suits, actions, damages, causes of action or attorneys' fees arising from any personal injury, loss of life, or damage to person or property sustained by reason of or as a result of the negligence of the contractor, its employees, agents or assigns. EQUAL EMPLOYMENT OPPORTUNITY During the performance of the contract and/or supplying of materials, equipment and supplies, proposer must be in full compliance with all provisions of the State of Minnesota relating to employment, including equal employment opportunity requirements. REQUIRED INSURANCE In submission of a proposer, the company is certifying that he/she has all insurance coverage required by law or would normally be expected for the type of business. WORKER'S COMPENSATION & OCCUPATIONAL DISEASES: State of Minnesota compliance NOTE: The specifications may require higher limits or additional types of insurance coverage than shown above and the contractor may be required to furnish a certificate or proof of insurance coverage. Contractor shall provide a certificate of insurance in the amounts above. The required insurance must name the City of Shakopee, its agents, officials, employees, and volunteers as additional insureds, and the certificate of insurance shall state that the City shall receive 10 days written notice prior to cancellation or termination. ACCEPTANCE After the acceptance and award of the proposal, and upon receipt of a written purchase order executed by the proper officials of the City, this instruction to proposers, including the specifications, will constitute part of the legal contract between the City of Shakopee and the successful company. DEFAULT The City may terminate the contract at any time if the contractor is found by the City to be in default of any of its terms. If the City terminates the contract, the City may procure the services similar to those so terminated and the contractor shall be liable to the City for any excess costs for similar supplies and services, unless the contractor provides acceptable evidence that failure to perform the contract was due to a cause beyond the control and without the fault or negligence of the contractor. SPECIAL CONDITIONS Wherever special conditions are written into the Specifications or Special Provisions sections which are in conflict with conditions stated in these instructions for submitting a proposal, the conditions stated in the Specifications or Special Provisions sections shall take precedence. PERMITS AND LICENSES The successful company shall obtain, at their own expense, all permits and licenses which may be required to complete the contract. PROPOSALRIGGING/ROTATING Minnesota State law states it is unlawful to participate in bid rigging and/or rotating. State law further states that it is unlawful to award a contract to any individual or entity that is delinquent in the payment of any tax administered by the Department of Revenue unless the individual or entity is contesting the amount and/or liability through proper procedures. Therefore, the undersigned hereby certifies that the proposer is not barred from bidding on the contract as a result of Minnesota State law, prohibiting proposal rigging and/or rotation, and that the proposer is not delinquent in the payment of any tax, unless it is contested in accordance with the procedures established by the appropriate revenue act. It is agreed that nothing in this contract is intended or should be construed in any manner as creating or establishing the relationship of co-partners between the contractor and the City ar as constituting the contractor as the agent, representative or employee of the City for any purpose or in any manner whatsoever. b. Assignment. Neither party shall assign the executed contract, or any interest in the contract, without the written consent of the other party. c. Severability. -The provisions of the executed contract are severable. If any portion of the contract is, for any reason, held by a court of competent jurisdiction to be contrary to law, such decision shall not affect the remaining provisions of the contract. d. Waiver. Any waiver by either party of a breach of any provision of the executed contract shall not affect, in any respect, the validity of the remainder of the executed contract. e. Entire Agreement. The executed contract supersedes all oral agreements and negotiations between the contractor and the City relating to the subject matter hereof, as well as any previous agreements presently in effect between the parties relating to the subject matter in the contract. Any alterations, amendments, deletions, or waivers of the provisions of the executed contract shall be valid only when expressed in writing and duly signed by the parties, unless otherwise provided herein. f. Venue. The contractor agrees that this contract shall be construed and governed by the laws of the State of Minnesota.
