Action Sought
To approve a motion authorizing the appropriate City officials to execute a Cooperative
Agreement with Scott County for a Mini- Roundabout at the intersection of CR 79 & Vierling
Drive.
Background
Scott County applied for Federal funds to study and potentially construct a mini - roundabout at
CR 79 & Vierling Drive. This intersection was selected by the State of Minnesota as a good
candidate for this funding and for a mini - roundabout due to the inefficiency of the 4 way stop and
backup of traffic during the morning and evening peak hours.
Initially this intersection was reviewed by a Federal Highway Engineer (FHA) and concluded
significant improvement could be obtained with a roundabout.
Scott County then hired WSB & Associates, Inc. to further study the intersection and provide
preliminary design along with a nationally known designer of mini - roundabouts. The results of
the study and design were presented at an open house on January 15, 2014 Council meeting.
Over 850 notices were sent out to the surrounding neighborhood and 18 persons attended the open
house with comments from 7 persons. Comments received were in favor and against with the
main concern being pedestrians safety within the roundabout.
The design features addressing pedestrian safety are as follows:
1. Narrower street pavement for pedestrians to cross.
2. Refuge islands will be installed.
3. Reduced conflict point between vehicles and pedestrians.
4. Extra street lights to illuminate the intersection.
This project, if approved, needs to be done in the summer after school is out and the intersection
needs to be closed for 3 weeks. This intersection needs to be reopened by July 1, 2014 before the
Vierling Drive & CR 17 project starts.
Recommendation
Staff has reviewed the study and design and is supportive of the project in providing traffic flow
while addressing the pedestrian concerns. Recommendation is to enter into the Cooperative
Agreement to move the project forward.
Budget Impact
The Cooperative Agreement with Scott County contains the cost participation of the City for the
project. Essentially the project is getting up to $200,000 of Federal and the County and the City
are splitting costs above the $200,000 maximum of Federal funds. City's share is estimated to be
at $39,318.67 and to be paid out of the Capital Improvement Fund.
Relationship to Vision
This supports Goals D & E: Maintain, improve and create strong partnerships with other public
and private sector entities; and deliver effective and efficient public services by a staff of
well- trained, caring and professional employees.
Requested Action

General Comments on the Mini Roundabout:
1 strongly disagree with the proposed roundabout. Replacing stop signs with what essentially are yield signs would not be
enhancing pedestrian traffic as walkers/bikers are at the mercy of people spotting them and stopping when they have no need
to stop. Also having a constant stream of traffic through here would not be conducive to crossing. I live within a few blocks
and drive and bike and work through here often. I do NOT agree with putting in a roundabout at this location particularly
with high amounts of children crossing. 1/15/14
Great solution to better accommodate traffic volumes and keep traffic flowing. Will be ideal for off -peak situations where
vehicles will no longer have to come to a complete stop. I'm excited for a good solution to an intersection in need of
improvement.. 1/15/14
*Please give some good thought to the configuration as it relates to the bike path to the south of the intersection.
*Also, speed study ASAP — 45 miles per hour way too fast through that area. 1115/14
Very pleased with the roundabout idea. It will help speed traffic delays and ensure safety.
It's nice to have a median for pedestrians to pause and only focus on one direction at a time.. 1/15/14

Go for it! My only concerns are speed limits, particularly on Spencer, and 1 would hope school parking situation during
sports events and access on to Spencer would be dealt with. Thanks for asking for our input. 1/15/14
We still have concerns about pedestrian safety. Uneducated drivers going through the roundabout will be more concerned at
getting in quickly than watching for people trying to cross.
1 would believe this intersection in Shakopee has the most pedestrian traffic and continue to feel that a stoplight would be the
safest option despite no federal funding.
Make this intersection safe and a priority for pedestrians not cars. 1115/14

General Comments on the Mini Roundabout:
Most major concern —it's just a Band -Aid. Has the new high school (2 "d) taken into effect? Look at Vierling and County
17 mistake. 1 do believe something does need to be done. When properly used, I believe the roundabout will work.
One thing that also needs to be addressed is possibly reducing the speed limit from 45 to maybe 30 or 35 through this area.

I think Scott County has gone a little roundabout crazy! My concerns are many:
1. This won't make it easier to get through the intersection at peak traffic times. At the same time, there are also more
pedestrians. When pedestrians are crossing, and cars stop, it will back up the whole circle.
2. Bringing 2 lanes on Vierling to one will back cars up and not allow cars from Minnesota or Hickory to access
Vierling — without lengthy wait.
3. Pulling Trailers, utility, construction, landscape, or horse trailers are too hard to get around even full size
roundabouts.
4. Dial -a -Ride, handicap, short buses will "bump" over center median and there will be issues for snow removal.
I reject the idea to spend money on an unwarranted project just because money is available. VERY concerned about cars
using Min St as a detour to not use roundabout. There is a problem because while circling left, a right blinker will not stay
on. Pedestrians and bikers don't know where the cars are going.

CONSTRUCTION COOPERATIVE AGREEMENT
THIS AGREEMENT, made and entered into this day of , 2014, by and
between the City of Shakopee, a body politic and corporate under the laws of the State of Minnesota,
hereinafter referred to as the "City" and the County of Scott, a body politic and corporate under the laws of
the State of Minnesota, hereinafter referred to as the " County "
RECITALS:
A. The County is planning the construction of intersection improvements at County Road 79 and
Vierling Drive in the City of Shakopee, through State Project No. 070 - 596 -005 and County
Project No. 79 -10. This Project will improve operational and safety of the intersection by
removing the all -way stop control and constructing a mini - roundabout with median installation,
curb extensions, street lights, signing and striping, hereinafter referred to as the "Project ".
B. The above described Project lies within the corporate limits of the City of Shakopee.
C. The County has applied for and received federal NHTSA Section 164 funds. Up to $200,000 in
federal funds are available for the construction of the Project. The County is responsible for any
construction costs above $200,000. The Project is estimated to be $204,185. See Exhibit B for
Project Estimate.
D. The City has expressed its willingness to participate in the design engineering services,
construction inspection and contract administration services, and non - federal construction costs
for the Project.
E. The City has indicated that it may also sealcoat Vierling Drive during or after this Project. The
sealcoating of Vierling Drive is not part of this agreement or subject to the County's
participation.
F. It is contemplated that said improvement work shall be carried out by the parties under the
provisions of Minn. Stat. Sec. 162.17, subd. 1.
NOW, THEREFORE, IT IS HEREBY AGREED:
1. The County shall perform all the required design engineering services for the Project and prepare all
the necessary plans, specifications, and proposals to obtain project authorization in a timely manner.
2. The County and City will share equally all costs associated with contracted design engineering services
and any construction costs that exceed the federal funding, if necessary.
3. The City will also reimburse the County a share of the construction inspection and contract
administration services for the Project. The City's share of the construction inspection and contract
administration services will be equal to five and 1/2 percent (5.5 %) of the total construction costs.

4. The City shall provide and /or perpetuate an adequate electrical power supply to the street lights
installed as part of this Project and upon completion of said new street lights installations shall provide
and /or continue to provide necessary electrical power for its operations at the sole cost and expense of
the City.
5. The City shall be responsible for the maintenance and replacement of the aforementioned street lights
including the luminaire and all its components at the sole cost and expense of the City.
6. Initial pavement striping and markings shall be included as part of the Project. The County shall be
responsible for all subsequent pavement striping and markings on its county roads as required after the
initial work and shall be responsible for one hundred percent (100 %) of the subsequent related costs.
The City shall be responsible for all subsequent striping and markings on its city roads, including
pedestrian markings across its roadways, as required after the initial work and shall be responsible for
one hundred percent (100 %) of the subsequent related costs.
7. The County or its agents shall advertise for bids for the work and construction of the aforesaid Project
No. CP 79 -10, receive and open bids pursuant to said advertisement and enter into a contract with the
successful bidder at the unit prices specified in the bid of such bidder, according to law in such case
provided for counties.
8. The County shall have overall authority to administer the contract and inspect the construction of the
contract work for the Project. The County shall have ultimate authority in initiating and determining
change orders, supplemental agreements and final quantities. The City Engineer shall cooperate with
the County Engineer and his staff at their request, to the extent necessary, but shall have no other
responsibility for the supervision of the work, except in regards to inspection of any City owned utilities
and any roadway construction on City owned streets.
9. Neither the County nor the City will bill for, nor expect to be reimbursed for, in -house staff time and
expenses incurred on the project delivery or construction of the Project.
10. The County shall obtain the City's concurrence prior to awarding the construction contract.
11. It is further agreed that the estimate of costs referred to in this Agreement are estimates of the
construction costs for the contract work on the Project and that the unit prices set forth in the contract
with the successful bidder, and the final quantities as measured by the County Engineer, shall govern in
computing the total final contract construction costs for apportioning the cost of the Project according to
the provisions of this paragraph.

12. Within thirty (30) days of the County's award of construction contract for the Project, the City shall
deposit with the Scott County Treasurer one hundred percent (100 %) of the City's share of contracted
design engineering service costs, construction administration service costs, and the estimated City's
share of the construction contract value. In the event this payment exceeds the City's final share of
these costs, as determined by the actual final contract costs, such overpayment shall be returned to the
County by the City upon closeout of the project.
13. In the event that a dispute arises, the County and the City agree that all disputes between them arising
out of or relating to this Agreement shall be submitted, upon agreement of both parties, to mediation,
with the cost being shared equally.
14. Since each party recognizes each other as a political subdivision of the State of Minnesota, each party
shall maintain general liability and automobile liability coverage protecting itself, its officers, agents,
employees and duly authorized volunteers against any usual and customary public liability claims to the
limits prescribed under Minn. Stat. Sec. 466.04 and Workers' Compensation and shall be in accordance
with the Minnesota statutory requirements. Said policies shall be kept in effect during the entire term of
this Agreement.
15. All records kept by the City and the County with respect to the Project shall be subject to examination
by the representatives of each party. All data collected, created, received, maintained or disseminated
for any purpose by the activities of the County or City pursuant to this Agreement shall be governed by
Minnesota Statutes Chapter 13, as amended, and the Minnesota Rules implementing such Act now in
force or hereafter adopted.
16. Neither the County, its officers, agents or employees, either in their individual or official capacity, shall
be responsible or liable in any manner to the City for any claim, demand, action or cause of action of
any kind or character arising out of, allegedly arising out of or by reason of the performance, negligent
performance or nonperformance of the described maintenance, restoration, repair or replacement work
by the City, or arising out of the negligence of any contractor under any contract let by the City for the
performance of said work; and the City agrees to defend, save and keep said County, its officers,
agents and employees harmless from all claims, demands, actions or causes of action arising out of
negligent performance by the City, its officers, agents or employees.

17. It is further agreed that neither the City, its officers, agents or employees, either in their individual or
official capacity, shall be responsible or liable in any manner to the County for any claim, demand,
action or cause of action of any kind or character arising out of, allegedly arising out of or by reason of
the performance, negligent performance or nonperformance of the described maintenance, restoration,
repair or replacement work by the County, or arising out of the negligence of any contractor under any
contract let by the County for the performance of said work; and the County agrees to defend, save and
keep said City, its officers, agents and employees harmless from all claims, demands, actions or
causes of action arising out of negligent performance by the County, its officers, agents or employees.
18. It is further agreed that each party to this Agreement shall not be responsible or liable to the other or to
any other person or entity for any claims, damages, actions, or causes of actions of any kind or
character arising out of, allegedly arising out of or by reason of the performance, negligent performance
or nonperformance of any work or part hereof by the other as provided herein; and each party further
agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of
asserting any claim of whatsoever character arising in connection with or by virtue of performance of its
own work as provided herein.
19. It is further agreed that any and all employees of the City and all other persons engaged by the City in
the performance of any work or services required or provided herein to be performed by the City shall
not be considered employees, agents or independent contractors of the County, and that any and all
claims that may or might arise under the Worker's Compensation Act or the Unemployment
Compensation Act of the State of Minnesota on behalf of said City employees while so engaged and
any and all claims made by any third parties as a consequence of any act or omission on the part of
said City employees while so engaged shall be the sole responsibility of the City and shall not be the
obligation or responsibility of the County.
20. Any and all employees of the County and all other persons engaged by the County in the performance
of any work or services required or provided for herein to be performed by the County shall not be
considered employees, agents or independent contractors of the City, and that any and all claims that
may or might arise under the Worker's Compensation Act or the Unemployment Compensation Act of
the State of Minnesota on behalf of said County employees while so engaged and any and all claims
made by any third parties as a consequence of any act or omission on the part of said County
employees while so engaged shall be the sole responsibility of the County and shall not be the
obligation or responsibility of the City.

21. The provisions of Minn. Stat. Sec. 181.59 and of any applicable local ordinance relating to Civil Rights
and discrimination and the affirmative action policy statement of Scott County shall be considered a
part of this Agreement as though fully set forth herein. See Exhibit "A ".
22. Pursuant to Minn. Stat. Sec. 16C.05, subd. 5, the books, records, documents, and accounting
procedures and practices of the County and City pursuant to this Agreement shall be subject to
examination by the County, City and the State Auditor. Complete and accurate records of the work
performed pursuant to this Agreement shall be kept by the County and City for a minimum of six (6)
years following termination of this Agreement for such auditing purposes. The retention period shall be
automatically extended during the course of any administrative or judicial action involving the County or
the City regarding matters to which the records are relevant. The retention period shall be automatically
extended until the administrative or judicial action is finally completed or until the authorized agent of
the County or City notifies each party in writing that the records no longer need to be kept.
23. The laws of the State of Minnesota shall govern all questions and interpretations concerning the validity
and construction of this Agreement and the legal relations between the parties and performance under
it. The appropriate venue and jurisdiction for any litigation hereunder will be those courts located with
the County of Scott, State of Minnesota. Litigation, however, in the federal courts involving the parties
shall be in the appropriate federal court within the State of Minnesota.
24. In the event any provision of this Agreement shall be held invalid and unenforceable, the remaining
provisions shall be valid and binding upon the parties unless such invalidity or non - enforceability would
cause the Agreement to fail its purpose. One or more waivers by either party of any provision, term,
condition or covenant shall not be construed by the other party as a waiver of a subsequent breach of
the same by the other party.
25. The County's Authorized Agent for the purpose of the administration of this Agreement is Maria A.
Heller, Supervisor Admin Services, or her successor. Her current address and phone number are Scott
County Highway Department, 600 Country Trail East, Jordan, MN 55352, (952) 496 -8369.
26. The City's Authorized Agent for the purpose of the administration of this Agreement is Bruce Loney,
Public Works Director, or his successor. His current address and phone number is 129 South Holmes
Street, Shakopee, MN 55379, (952) 233 -9361. Any change in name, address, or telephone shall be
noticed to the other party.

POLICY STATEMENT
