Action Sought
The Council is asked to offer Resolution No. 7358, a resolution establishing a rate of pay for
Commissioners of the Shakopee Public Utilities Commission, and move its adoption.
Background
The City has received the attached request from John Crooks, Utilities Manager with Shakopee
Public Utilities, for a increase in the monthly compensation paid to SPU Commissioners. Section
2.54 of the City Code establishes the Shakopee Public Utilities Commission and Subd. 1
specifically states that compensation for Commissioners shall be set by the City Council.
The attached request seeks an increase in Commissioner's monthly wage from $300 to $400. The
last increase was in February of 2007. The currently proposed increase would take effect January
1, 2014.
Budget Impact
Once set by the City, Commissioner's compensation is funded directly by SPU's budget -- not the
City's budget.
Relationship to Vision

Requested Action
If the Council concurs, it is asked to offer Resoltuion No. 7358, a resolution estabishing a rate of
pay for Commissioners of the Shakopee Public Utilities Commission, and move its adoption.

§2.50 '
Subd. 2. Qualifications. All members shall be residents of the City, except such as the Council deems
more representative. No appointed Board or Commission member shall be an employee of the City, but an
ex officio member may be so employed. The City Administrator shall be an ex officio member of all Boards
and Commissions; provided,that if the City Administrator is unable to attend a meeting or act in the capacity
of such membership, the City Administrator may be represented by the City Administrator's Assistant or
some person duly authorized by the City Administrator. Council members may be members of a Board or
Commission, appointed for a term established by the Council at the time of the appointment, but not to
extend beyond the end of the then current term being served by such member of the Council. Any Board or
Commission member may be removed by the Council for misfeasance, malfeasance or non-feasance in
office and the position filled as any other vacancy.
Subd. 3. Compensation. All appointed Board and Commission members, with the exception of Planning
Commission members,shall serve without remuneration, but may be reimbursed for out-of-pocket expenses
incurred in the performance of their duties when such expenses have been authorized by the Council before
they were incurred.
Subd. 4. Procedures. The Chair and Secretary shall be chosen from and by the Board or Commission
membership annually to serve for one (1) year, provided that no Chair shall be elected who has not
completed at least one year as a member of the Board or Commission. Each Board and Commission shall
hold its regular meetings at a time established and approved by the Council. _
Subd.5. Application. Except as otherwise provided in this Chapter, this Section shall apply to all Boards
and Commissions,except the Shakopee Public Utilities Commission.
Subd. 6. Robert's Rules of Order. All Boards and Commissions, except the Shakopee Public Utilities
Commission, shall adopt Roberts Rules of Order, as revised, and shall adopt such other and further rules
for their own proceedings as they shall,from time to time, deem expedient (Ord. 1,April 1, 1978; Ord. 337,

SEC.2.52. PLANNING COMMISSION.
A Planning Commission composed of seven(7)members is hereby established. The Planning Commission
members shall serve staggered four (4) year terms. The Planning Commission shall have such authority
and perform such duties as prescribed by Minnesota Statutes and the City Code. Each member of the
Planning Commission shall receive such compensation per Planning Commission meeting or hearing, as
shall be fixed by the Council. (Ord. 1,April 1, 1978;Ord.406, March 2, 1995)
SEC.2.53. BOARD OF ADJUSTMENT AND APPEALS.
The Board of Adjustment and Appeals shall be the Planning Commission. (Ord. 31, October 25, 1979)
SEC.2.54. SHAKOPEE PUBLIC UTILITIES COMMISSION.
The Shakopee Public Utilities Commission, heretofore established, continues, the Commission shall have
the full, absolute, and exclusive control of, and power over, all City water plants and systems, and all light
and power plants and systems. The Commission shall also have control of, and power over, such public
buildings that by agreement between the Council and the Commission, are placed under the jurisdiction of
the Commission. This control and power shall extend to all parts, buildings, attachments and
appurtenances thereto; and to all apparatus, machinery, and material of every kind used in operating these
plants and systems. The Commission is empowered to operate and control any other utilities subsequently
acquired.

§2.56
Subd. 1. Membership. In accordance with Chapter 226 of Minnesota taws, 2002, the Commission shall
consist of five (5) members appointed by the Council, and their compensation shall be set by the Council.
No more than one (1) member shall be a member of the Council. Each member shall serve for a term of
three (3) years, except that the first appointee to the fourth seat shall have an initial term expiring April 1,
2004 and the first appointee to the fifth seat shall have an initial term expiring on April 1, 2005, and until a
successor is appointed and qualified. Commission members must reside within the corporate limits of the
City at the time of their appointment to the Commission and if they move outside of the corporate limits
during their term of office they shall tender their resignation to the Council who may accept or reject it. If the
Council rejects the resignation, said Commissioner may complete the Commissioner's term of office.

Subd. 2. Procedures. The Commission shall adopt rules for its own proceedings which shall provide for,
among other things, at least one (1) regular meeting by the Commission each month. It shall annually
choose a President from among its own members. It shall appoint a Secretary who need not be a member
of the Commission,for an indefinite term. The Secretary shall receive a salary fixed by the Commission.
Subd. 3. Powers. The Commission shall have power to extend and to modify or rebuild any public utility
and to do anything it deems necessary to its proper and efficient operation; and it may enter into necessary
contracts for these purposes.
Subd. 4. Employees. The Commission shall have power to employ all necessary help for the
management and operation of the public utility, prescribe duties of officers and employees and fix their-
compensation_
Subd.5. Purchases. The Commission shall have power to buy all fuel and supplies, and it may purchase
wholesale electric energy,steam heat,gas or water, as the case may be,for municipal distribution.
Subd.6. Rates, Rules,and Regulations. The Commission shall have power, after informing the Council,
to fix rates and to adopt reasonable rules and regulations for utility service supplied by the municipally
owned public utilities within its jurisdiction. A joint meeting shall be held between the Commission and
Council when requested by either body.
Subd. 7. Agreement with City. The Commission shall have power to enter into agreements with the
Council for payments by the City of utility service,compensation for the use by either the Commission or the
City, of buildings, equipment, and personnel under the control of the other, payments to the City in lieu of
taxes, transfers of surplus utility funds to the general fund, and also agreements on other subjects of
relationships between the Commission and the Council. The Commission shall also have any and all power
and authority provided by law. All existing agreements between the Commission and Council are
preserved.
Subd. 8. Disposition. No utility, or portion thereof, shall be transferred from under the jurisdiction of the
Commission and no utility, or portion thereof, shall be sold, rented, leased, or otherwise disposed of except

SEC.2.56. HOUSING ADVISORY AND APPEALS BOARD.
Subd.1. Establishment and Composition. A Housing Advisory and Appeals Board,composed of five(5)
members who are not employees of the City, and who shall serve staggered three(3)year terms, is hereby
established. The Building Official shall be an ex-officio member and shall act as Secretary of the Board.
Subd. 2. Powers and Duties. The Board shall have all of the powers and duties set forth in the Uniform

SUBJECT: SPUC COMMISSIONER COMPENSATION INCREASE

INTRODUCTION—
On behalf of the Shakopee Public Utilities Commission, please accept this as a formal
request to allow Shakopee Public Utilities to increase the compensation of the
Commissioners.
BACKGROUND—
Salary increases for the Commission must be approved by the City Council, with the actual
compensation being paid by the Utilities. Therefore there would be no impact on the City's
2014 budget. The compensation was last increased in February 1, 2007 by City Council
Resolution#6569. Resolution#6569 set the compensation at$300.00 per month for each
Commissioner, an additional $100.00 per month for the Commission President and $75.00
for the elected MMPA voting Representative.
In the 7 years since the last increase, there have been significant changes in the
responsibilities for the Commission members, Commission President and MMPA i
Representative. The Shakopee Public Utilities is now a $45,000,000.00 business and is the
second largest municipal electric utility in Minnesota, based on peak load.
RECOMMENDATION—
On behalf of the Commission, I am requesting the following changes in compensation take
effect January 1, 2014.
Commissioners—increase to $400.00 per month
The additional compensation for the Commission president and MMPA Representative
would stay the same at$100.00 and $75.00 per month, respectively.
In recognition of the increasing responsibilities of the Commissioners, we would appreciate
your favorable consideration with this compensation request.

A RESOLUTION ESTABLISHING A RATE OF PAY
FOR COMMISSIONERS OF THE
SHAKOPEE PUBLIC UTILITIES COMMISSION
WHEREAS,the Shakopee Public Utilities Commissioners have received compensation
established from time to time by the City Council of the City of Shakopee; and

WHEREAS, since February 1,2007, Commissioners have received$300 per month,with
an additional$100 going to the President of the Commission; and
WHEREAS,a request has been made by the Commission to increase that base amount to
reflect the additional responsibilities and time demands placed upon members of the Commission
and its President; and
WHEREAS,one member of the Commission is appointed to be involved with the
Minnesota Municipal Power Association(MMPA), and as such is expected to devote
considerable additional time in representing the interests of Shakopee Public Utilities
Commission; and
WHEREAS,the Shakopee City Council,as defined in Section 2.54 (Subd. 1),shall set
the rate of compensation for the Commission.
NOW,THEREFORE,BE IT RESOLVED by the City Council of the City of Shakopee, i
Minnesota,that the compensation for serving on the Shakopee Public Utilities Commission shall
be increased to $400 per month for Commissioners,with an additional$100 per month for the
President, and an additional$75 per month for the Commissioner who is designated as the
MMPA representative.
BE IT FURTHER RESOLVED that the effective date of this change in compensation
shall be January 1,2014 and that Resolution No. 6569 shall be repealed effective January 1,
2014.
