Sale of Property to Scott County for CSAH 21 ^ lS.fJj.. :i CITY OF SHAKQPEE MEMORANDUM To: Mayor and City Council Mark McNeill, City Administrator From: Mark Themig, Parks, Recreation, and Facilities Director Meeting Date: September 20, 2005 Subject: Sale of Property to Scott County for CSAH 21 INTRODUCTION City Council is asked to consider accepting Scott County's offer dated September 19, 2005 to purchase the right of way for future CSAH 21 from the City for a purchase price of $747,400.00, and authorize the appropriate city officials to take all necessary actions to implement the transaction. BACKGROUND As part of the Shutrop Park acquisition, provisions were made in the planning for Scott County to purchase right-of-way needed for future CSAH 21. This included structuring the City's purchase so the County could utilize Federal Highway Administration funding for the. purchase. During the negotiations for the acquisition, we had several meetings with the County about the roadway alignment, required right-of-way, and impact to the proposed park area. Due to delays in the CSAH 21 Environmental Impact Statement, there were some presumptions about the roadway design that needed to be made to determine the alignment. The County ultimately ended up providing the City with a preliminary alignment and right-of-way area for future CSAH 21 in late winter 2005. This alignment and easterly right-of-way boundary was used to establish the property subdivision and simultaneous sale of land to Tollefson Development for residential development. Closing of the purchase of the Shutrop parcel and simultaneous sale to Tollefson occurred on March 24, 2005. On Monday, September 19, I received a telephone call from Mitch Rasmussen, Scott County Highway Engineer, informing me that the County needed to close on the purchase of the right-of-way by September 30 or it would lose the federal funding it had secured for the purchase. Prior to September 19, I had informal discussions with Scott County staff at various city development review committee meetings about the status of the right-of-way acquisition, and we had one formal meeting to review CSAH 21 and it's relationship to the Ridge View Farms (Tollefson) plat. PURCHASE OFFER DISCUSSION In general, the purchase offer is consistent with the terms discussed earlier this year. The total right-of-way being purchased is 10.01 acres. The following are items that Council should be aware of: ., . Purchase Price Scott County has provided an offer letter to the City for the right-of-way purchase. The offer is for $747,400 for 10.08 acres. The per acre price is $74,000. The city paid approximately $61,900 per acre for the entire Shutrop parcel, of which 37.76 acres was simultaneously sold to Tollefson Development for $2.5 million ($66,207/acre), plus the cost to build Pike lake Road through the City's retained parcel, estimated at $300,000. The proposed purchase price was determined by reconciling two different appraisals: 1. Appraisal performed by the Shutrops which the City used in its acquisition process: $7,725,000, $75,000/acre 2. Appraisal performed by the County: $7,080,000, $70,287/acre Reconciliation of both appraisals resulted in splitting the valuation evenly between the two appraisals, less the value of property within Dean lakes: $7,440,000, $74,000/acre Temporary Construction Easements The County is proposing that the city provide the temporary construction easements for CSAH 21 at no cost to the County. This is in recognition of the higher per-acre purchase price. In the purchase offer, this is described as a "donation" to the County. The City Attorney has opined that the word donate is not appropriate as it may confer permanency in ownership. In addition, there are temporary construction easements proposed for the area where the future fire station would be constructed. We did not receive electronic drawings of the proposed roadway and easements to analyze the potential impact in time for tonight's meeting. (They arrived at approximately 5:00 p.m. today.) Until this analysis can be completed, we do not want to commit to any easement boundaries. Finally, the drawing shows temporary construction easements on the Ridge View Farm plat. These easements need to be negotiated between the County and the developer and the agreement should not be interpreted in such a way that the City is required to provide the easements as part of this sale. If you approve the purchase offer letter, there are conditions of approval that recommend a change in wording of the purchase offer to address easement issues. Request for Abstract of Title The County has requested review of the Abstract of Title. The City Attorney's office is researching the availability of the abstract. (We received title commitments in lieu of an abstract.) If the abstract is not available, we do not want to promise this in the offer letter. If you approve the purchase offer letter, there are conditions of approval that recommend a change in wording of the purchase offer. Purchase Agreement/Easement Documents/Closing If you approve moving ahead, the County will provide the City with a purchase agreement and easement documents for review and execution by appropriate city officials. Closing could occur as early as the week of September 26. < "', '. , REQUESTED ACTION If you agree with the general terms described in the purchase offer, City Council is asked to move to: 1. Accept Scott County's offer dated September 19, 2005 to purchase the right of way for future CSAH 21 from the City for a purchase price of $747,400.00, contingent on: a. Review of the temporary construction easements and approval of those easements by appropriate city officials to ensure they do not conflict with proposed city use of the retained parcel. b. Recognition from the County that securing temporary construction easements located on the Ridge View Farm parcel is not the responsibility of the city. c. Striking the word "donate" from the purchase offer for the temporary construction easements and replace with wording approved by the City Attorney. d. Recognition from the County that review of an abstract may not be possible. 2. Minnesota Dear Mr. McNeill: Scott County submits an offer of Seven Hundred Forty Seven Thousand Four Hundred and NollOO ($747,400.00) Dollars, which is its cost participation in the City's and County's collaborative efforts to prevent imminent development on a real property with respective planned public uses. The County's cost participation in the acquisition of this real property is for right of way in fee for a future extension of County State Aid Highway No. 21 (CSAH 21). The property is described as Government Lot 2 in Section 14, Township 115, Range 22 and the Southeast Quarter of the Northwest Quarter of Section 15, Township 115, Range 22, Scott County, Minnesota and that part of the Southwest Quarter of Section 14, Township 115, Range 22, Scott County, Minnesota, lying north of County Road 16. The property has an address of 6865 Eagle Creek Blvd., Shakopee, Minnesota. The City and the County are collaborating for the City to acquire the property by an amicable acquisition as a protective buy to prevent its imminent development. The collaboration includes funding jointly this protective buy, which the CitY and County have identified for its respective public uses. The City plans a future fire station and a park on part of the property and the County requires right of way for the planned extension ofCSAH 21. Enclosed is a summary, which presents the basis for this offer. The offer is based upon an approved market valuation by appraisal review of two (2) appraisal reports for a protective buy of this real property. We have enclosed an appraisal report dated February 25,2005 from BRKW Appraisals, Inc. and a copy of an Appraisal Review Report dated April 25, 2005 by Patchin Messner & Dodd. Also, enclosed are draft legal descriptions and a draft Scott County Right of Way Plat, which shows that part of the property for which we submit this offer to acquire in fee for right of way for an extension of CSAH 21. The County's present cost participation policy does not require municipalities to participate in the cost of right-of-way acquisition, such as for this protective buy to prevent imminent development, but municipalities have donated the right of way across its properties at the time of the construction project recognizing it partnership and the benefit of using the County's right of way for constructing its trunk municipal services and other public amenities. We understand that the City is willing to donate the.areas needed for temporary easements for construction purposes on its property for the future construction project. We have enclosed a draft letter for the City of Shakopee to declare its plan to donate the temporary easements and to waive any rights to receive just compensation. The City is the lead agency, who is responsible for the amicable acquisition of the entire property. For the County's acquisition of future CSAH 21 right-of-way by a parcel split, we request access to the original Abstract of Title for a title examination of marketable title, which we anticipate was updated for the City's acquisition. We will be responsible for the original Abstract of Title, while it is in our possession. After title examination, we will return the original Abstract of Title to your office. Also, prior to the City's acquisition of the entire property, we advised the. City of the appropriate acquisition procedures, which may apply to this acquisition. We request a review of the City's acquisition of the entire property for compliance with the acquisition procedures. If the City desires, it has an option to secure its own appraisal. Minnesota law provides that a property owner may elect to obtain an independent appraisal for the proposed acquisition on its property. We, as the acquiring governmental agency, are required to reimburse the actual reasonable fees for such an appraisal, up to a maximum of $1,500. In order for a property owner(s) to be entitled to such reimbursement, the property owner(s) shall comply with the following requirements: The property owner's appraisal shall be prepared by a qualified appraiser who is licensed under Minnesota licensing laws and the appraiser shall comply with laws applicable to an appraisal assignment. The property owner shall submit the required information to the governmental agency to support a request for reimbursement of appraisal fees that includes: I) a copy of the appraisal bill, 2) a paid receipt, and 3) written evidence from the appraisal report that an appraisal has been completed and delivered. This information is required to be submitted within sixty (60) days of the date that the agency's enclosed appraisal is received by the property owner( s) (This means that you must provide the above three items within sixty (60) days of the date of the receipt of the appraisal report, which is an enclosure to this letter. We are required to reimburse the appropriate appraisal amount within thirty (30) days of the receipt of the above information. If the City elects to obtain its own appraisal, we suggest that it should request two (2) copies of the appraisal report. We request that the City furnish us with a copy of its appraisal report, which we will consider its appraisal along with other relevant information. The City is not required to furnish us with a copy of its appraisal report. If the City decides to accept the County's offer, the County will acquire the property rights in fee and the City will be paid upon satisfactory evidence of conveying marketable title. The payment will be issued to all parties who have an interest in the property. Enclosed is a pamphlet entitled "A Guide of Acquisition Procedures for Property Owners," which is furnished to inform the property owner(s) generally as to procedures and rights in this acquisition. We will follow-up to review this offer after the City has a reasonable period of time in which to consider the offer.
