We will begin the joint meeting at 5 :00 PM with an update by Lou VanHout.
The items on the agenda do not have background information provided at this time.
Several of them (fire flow needs for riverfront area and looping for Huber Park; are
water charges, and the electrical undergrounding policy) will be discussed in more
with the SPUC Commissioners at their Monday evening meeting, the night before t
joint meeting with the Council. As ofthis time, there is nothing in writing that has
prepared for SPUc.
I am, however, providing you with the City Attorney's letter regarding electrical
undergrounding policy; there is a difference of opinion between the City's attorney
SPUC's attorney as to whether the City can order undergrounding. I understand th
can order it to be undergrounded, but the question remains as to who is to pay for t

I am attaching a memorandum from Jim Strommen to me addressing the City' authority
with respect to requiring the electrical facilities in Huber Park to be relocated undergroun as part of
the Huber Park Improvement Project. I asked Jim to prepare this memorandum to res nd to the
issues raised in attorney Andrew Shea's letter dated June 14,2005 to the Shakopee Pub i Utilities
Commission. Jim has concluded that the City has the authority to require the undergro ing of the
electrical facilities in Huber Park. I concur with that conclusion.
In reaching that conclusion, I want to point out that SPUC has numerous power and much
authority with respect to the operation of the water and electric utilities in the City. se powers
are enumerated in the attached memo, and the City cannot interfere with tho powers.
Nevertheless, the City has not delegated to SPUC the City's right to regulate and co
grounds, including City-owned park property. That right is an inherent police power
City, and it gives the City the authority in this case to require the facilities to relocated
underground.
I would be happy to answer any further questions that the City Councilor SP C has with
respect to this matter.

Public Ground
INTRODUCTION
This memorandum is prepared in response to a June attorney
Andrew Shea to the Shakopee Public Utilities Commission commenting on my M 24, 2005
summary regarding the law governing utility undergrounding and relocation in non I
public ground, such as parkland. In his letter, Mr. Shea concludes that by requi
electrical distribution facilities in Huber Park to be relocated underground as part the Huber
Park Improvement Project, the City might be improperly exercising "both ope tional and
financial control over [SPUC]" in violation of Minnesota Statutes, Section 412.36 Mr. Shea
concludes that the City's ordinance requiring the undergrounding of electric lines in 0 n right-of-
way situations might be in conflict with the authority granted to SPUC in Minne ta Statutes,
Sections 412.321 et seq.
Before addressing my reasoning more fully on the issues raised in Mr. S a's letter, I
think that it is important to highlight issues that are well-settled in Minnesota law:

authority to require investor-owned. utilities (~ce.l. Energy),. electric coo ratives
(MInnesota Valley Electnc Cooperative) and munzclpal utIlItIes (SPUC) t relocate
and underground those facilities at their expense if the City Council req i es it in
connection with a public improvement project or any other legitimate poli e power
action.
2. With respect to electric distribution lines located in non ri ht-of-wa Ci -owned
property (such as Huber Park), the City has the authority to require inve~ r-owned
utilities (Xcel Energy) and electric cooperatives (Minnesota Valle I Electric
Cooperative) to relocate and underground those facilities at their expense' the City
Council requires it in connection with a public improvement project or ny other
legitimate police power action.
The only issue raised in Mr. Shea's letter is whether, with respect to non ri
City-owned property. the City can require a municipal utility (SPUC) to re cate and
underground electric distribution facilities at its expense if the City Council re
connection with a public improvement project. For the reasons set forth below, I di gree with
Mr. Shea's conclusion on that issue.
DISCUSSION
A" Facts
SPUC owns and operates overhead electric distribution facilities in Huber P . There is
no permit, easement, agreement, or City Council resolution setting forth an terms and
conditions relating to the location of those facilities.
SPUC was created pursuant to Minn. Stat. ~ 412.321, et seq., and v . us special
legislative laws. Beyond those laws, the City has not made any extraordinary legation to
SPUC regarding property rights or police power. Even if such extraordinary
authority had been made, it would probably be regarded as an improper delegation fthe City's
police powers. See Western States Utilities. Co. v. City ofWaseca. 65 N.W. 2d 25 ,264 (Minn.
1954).

B" Question Raised
The City has police power and franchise authority over investor-owned utilitie such as
Xcel and cooperative utilities such as Minnesota Valley Electric Cooperative, not onlJ over the
right-of-way ("ROW"), but also over non-ROW property. The law clearly supports required
relocation at utility cost unless specific franchise terms altered that. See Minn. Stat. ~ 237.163,
subd. 2 (grant of ROW use to telecommunication ROW users subject to municil al ROW
management); ~ 300.03 (utility must gain franchise consent to serve within a city a occupy
ROW or "other public ground of a city."); 9 300.04 (corporation obtaining a franch e from a
city is subject to conditions and restrictions imposed upon it by the city); ~ 216B. 6 (public
utilities occupying ROW or "other public property within a municipality" are sub' ct to the
regulatory acts including placing distribution lines and facilities underground). Se also City
Code Section 7.17 et seq.
There can be no dispute that the City's police power authority empowers i to require
either Xce1 or Minnesota Valley Electric Cooperative to move facilities in ROW 0 on-ROW
property at their own expense. This right of the City is a fundamental, non-dele
power right to require the relocation of overhead distribution facilities -in such pro
would include a city-owned park. The Minnesota Supreme Court in Villa e of B ine v. Ind.
School Dist. No. 12, 121 NW2d 183, 190-91 (Minn. 1963) stated:
Franchises are given to utilities in order to provide essential public services. hese must
be subject to reasonable provisions for the protection of the consumer and t public ...
The furnishing of light, heat, power, and gas also is properly within the ope of the
police power and therefore subject to control and regulation by a unicipality.
(emphasis added).
The Minnesota Supreme Court reiterated the above principle in a second real in the
Village of BlaineNillage of Circle Pines municipal gas utility dispute:
No one disputes that the police power, to whatever extent it has been vest d by

the Legislature in municipalities such as cities and villages, has application to t
furnishing of water, heat, light, power, gas, and other essential public servic
Utilities furnishing such services must be subject to reasonable regulations
order to properly protect the consumer and the public.
Village of Blaine v. Ind. School Dist. No. 12, 138 NW2d 32,3 (Minn. 1963).
In both Village of Blaine decisions, the Minnesota Supreme Court affirme that the
regulatory authority by a city, even over another city's municipal utility, is clear und Section
412.321, subd. 3, which requires the consent by the city for any municipal utility i occupy
public land within the city. See Village ofB1aine, 121 N.W.2d at 188-190 and Villa of Blaine
II, 138 N.W.2d at 45.
The Minnesota Court of Appeals in NSP v. City of Oakdale, 588 NW2d 534 inn. Ct.
App. 1999) recently re-articulated the principles established in the Villa e of Blain decisions
and confirms that the police power allows a municipality to impose a relocation rruirement
without reimbursement for the costs of the action. In that decision, the Court f Appeals
reaffirmed that a city has the right to require an electric distribution line to e placed
underground in a ROW context through both franchise and police powers granted
216B.36, which includes such city rights over ROWand non-ROW use by a utili l Relying
upon a city's public safety and general welfare interests in regulating overhead elect "c lines and
the "significant hazard to the public" created by them, the Court of Appeals again co cluded that
the city's police power authority exists in the utility facility context. Id at 5 Such a
fundamental power rests solely with the city and cannot be delegated to or bifurc d between
other entities.
The question raised in this matter, then, is whether the City has delegated it authority to
its municipal utility to regulate City-owned property simply because electric distribution
facilities owned by its municipal utility are located on that property. In other words has the City

delegated its police power to exercise control over its property to the municipal uti lit that the
City created?
c. Le2islative Intent and Municipal Utilities
A statutory city's right to "own and operate" a public utility was establish by the
Legislature in 1949 in Sections 412.321 through 412.391. The city may operate the u " ity itself
or delegate its powers by establishing a public utilities commission. See Minn. Stat. 412.421,
subd. 1. If a city chooses to establish a commission, the statutes enable the co ission to
exercise many powers. For example, the commission has the power "to extend and to odify or
rebuild any public utility and to do anything it deems necessary for its proper an efficient
operation." Minn. Stat. S 412.361, subd. 1. The commission also has the power to: ) employ
personnel and fix their compensation; (2) buy fuel and supplies; (3) fix rates and ad t service
rules; and (4) to enter into agreements with the council for payments by th city for
compensation for the use of buildings, equipment, and personnel under the control 0 the other.
Minn. Stat. S 412.361, subd. 2, 3, 4 and 5.
In 1974 the Legislature established the Public Utilities Commission for the urpose of
regulating rates and service of investor-owned electric and gas utilities. Secti 216B.Ol
provides in the Legislative Findings that:
It is hereby declared to be in the public interest that public utilities be regulat as
hereinafter provided ... Because municipal utilities are presently effecti ely
regulated by the residents of the municipalities which own and operate them, . .it
is deemed unnecessary to subject such utilities to regulation under this ch ter
except as specifically provided herein.
Section 216B.02, subd. 2b. defines a municipality as "any city however rganized. "
Section 216B does not separately define a "municipal utility." Section 216B.025 pro 'des that "a
municipality may elect to become subject to regulation by the [Public Utilities mmission]
pursuant to Sections 216B.10 and 216B.l1." As noted in Mr. Shea's letter, Sect n 216B.36

does not include a "municipal utility" in the definition of a "public utility." The obvio s reason
for this is that the Legislature concluded that a municipality already had sufficient pow over its
own public utility, so the Legislature did not need to grant franchising, permi
undergrounding authority to a municipal utility.! Indeed, as recently as 1999, the Legi
not distinguish between municipalities and their utilities in providing that all right-of- ay users
are afforded the same rights to use the ROW as telecommunication right-of-J y users,
"including local government units." Minn. Stat. S 237.163, subd. 6(c); see also, Mi . Stat. S
237.162 subd. 4 referencing "municipality" when defining other utilities.
The fundamental question underlying this issue is whether the Legislature eemed it
appropriate for any reason to divest a municipality of its police power authority to r gulate the
location of utilities within non-ROW property of a city by virtue of the establis ent of a
municipal utilities commission. The applicable statutes give no indication of such
intent. As stated above and affirmed in the Village of Blaine opinions, only citie
with the responsibility and power to carry out the decisions regarding the general in rest of the
health, safety, and welfare of the city's inhabitants. A municipal utility is not veste with such
authority, even if it is being operated by a separate commission. Nothing in th proVIsIOns
governing the creation of a utilities commission even hints at the broader obligation 0 carry out
police power duties such as street and park maintenance and safety provisions. T municipal
utility is established for the purpose of serving the public with water, light, heat, 0 power that
would otherwise be provided by an investor-owned or cooperative utility. It is the C" y that must
decide the location, or even the presence of, electric facilities in a park. See, . ., City of

Oakdale, 588 NW 2d at 542, Village of Blaine, 138 NW2d at 39-41. If cities are gran' d police
power authority over the placement of facilities to investor-owned utilities, the Legis ture has
expressed no reason why a municipal utility should be subject to any less contro1.2
In his letter, Mr. Shea cites the language in Section 412.361, subds. 1 and 4, egarding
operational and financial control over the operation of the utilities, including the a ption of
reasonable rules and regulations. He contends that the City, by exercising facilities lacement
and relocation control over the municipal utility, is interfering with the operational an financial
control vested in the commission. That argument has been soundly rejected in the c' text of a
municipality's police power authority over investor-owned and cooperative util ies. For
example, the grant of authority to use the ROW in the 1999 utilities legislation of M, . Stat. 9
237.162 et seq. states that ROW users are allowed the right to "construct, maintain, d operate
conduit, cable, and switches" subject to the regulation of municipalities to do, a ong other
things, "establish and define location and relocation requirements for equipment an facilities."
Section 237.163, subd. 2(a) and Section 237.162, subd. 8(4). City of Oakdale, 58 NW2d at
542-543 (rejecting NSP's argument that the City's undergrounding ordinan was an
uncompensated taking ). The PUC regulates the rates and services of investor-owed utilities
and those cooperatives that choose to be regulated under Chapter 216B. As demonst ted above,
Cities are given the right to regulate the location of facilities located on public grou
city. Minn. Stat 9 216B.36. Those regulatory decisions profoundly affect the busin s decisions
that all utilities make, but they are not an illegal infringement on their right to operat
There are additional reasons why the City has authority over SPUC's

facilities in parks and other non-ROW. Statutory cities have the express right 0 enact
ordinances regulating "the use of streets and other public grounds, to prevent encumb rnces or
obstructions." Minn. Stat. ~ 412.221, subd. 6. This statutory grant of power does not ditinguish
between utilities and non-utilities or municipal utilities and investor-owned/cooperative rilities.
D. Utility Relocation Cost
If, as I have concluded, the right exists under the police power to require utility location
on public ground, the relocation is at the utility's expense, absent an agreement to th contrary.
The law is well-settled under the City of Oakdale holding that a police power right
utility relocation is an act for the general good and does not carry with it a requirem t that the
city reimburse the utility for the relocating expenses. In the City of Oakdale case, the lourt held
that Xcel must underground at its own expense, thereby striking down a NSP tariff ch
the City. In doing so, the Court stated:
Similarly, tariff section 5.3A is unenforceable to the extent that it would req re
compensation for the city's valid exercise of its authority to regulate ut 'ty
undergrounding under the statute. This comports with the long-held view that he
city may regulate a utility without compensation in valid exercise of its p ce
power (citations omitted). The Minnesota Supreme Court has also recogn ed
that legitimate exercise of police power may prohibit the injurious use of prop rty
without compensation. (citation omitted).

The City of Oakdale decision does not, however, give the City the right to d ermine the
manner in which those costs are to be recovered from the utility customers. SPU is free to
determine how its cost of relocation will be recovered.
CONCLUSION
Express statutory provisions, fundamental city police power authority and th ogic of the
relationship between the City, its own utility, or any utility, compel the conclusion at the City
can require its municipal utility to underground the electric facilities in Huber Par Although

Mr. Shea correctly points out that several statutory sections and some cases deal only w h ROW,
and not non-ROW public ground, numerous other statutes and court decisions establis
right of the City over its own utility in non-ROW situations. That right that is at leas
as the rights of the City to require relocation of facilities owned by investor - wned or
cooperative utilities. In my opinion, the City's police power rights in this situatio are well-
supported in the law.

Lighting impacts the economic effectiveness of a company. It can account for
as much as 37% of commercial electric use and up to 13 % of industrial use.
By changing out old inefficient lighting systems, you will reduce energy use,
lower operating costs, and enhance light output. In addition, energy efficient
lighting can enhance employee productivity, upgrade the value of your facility,
and reduce maintenance costs.
Energy efficient lighting also helps to reduce cooling loads given that electronic
ballasts function 12-30 degrees cooler than electromagnetic ballasts. Electronic
ballasts reduce noise levels since they are 75% quieter than magnetic ballasts
and result in environmental benefits that reduce pollution.
A functional and efficient lighting solution requires careful consideration in
respect to color quality and harmonics. To accomplish this, it is often necessary
to obtain the involvement of the services of lighting professionals to implement
a successful lighting project.

Motors account for approximately 50% of all u.s. energy use and 2/3 of all
industrial energy use. Energy efficient motors are designed to reduce internal
losses, which in turn reduce energy use. Enhanced engineering design and
improved materials used in the manufacturing of motors have resulted in energy
efficient motors that generate less heat, use fewer lubricants and last longer.
. When motors run continuously at or near full load, the annual energy cost
for a motor can be 10-25 times its purchase price.
. Typically motors that operate 80 or more hours per week, yield large energy
savings with even small increases in efficiency
. Small single-phase AC motors have efficiencies below 50%, and sometimes
as low as 20%. When inefficient motors are converted to premium motors, a
dramatic step-change in efficiency is created and, therefore, can offer large
savings even though they are relatively small
. Motors must meet or exceed the nominal energy efficiency levels
presented below.
. New motor as part of motor replacement 1 HP - 200 HP. Rebate $5 HP.
. New motor as part of an upgrade on existing working motor. 1 HP-200 HP.
Rebate $16.50 HP
. Motors over 200 HP are considered under custom rebate.
. A motor included in a product that is eligible for other rebates (ENERGY
STAR@ appliance) is not eligible for a rebate through the motor rebate
program. ECPM motors would qualify for rebates if they are 1.5 UP or
smaller and installed in an application where a single phase AC motor is
normally used. This would include evaporator fan motors for commercial
refrigeration and freezer display cases and walk-ins, and ~
fan motors for fan powered variable air volume terminal
boxes in UV AC systems.

Premium Efficiency Motor Qualifications
The NEMA Premium™ label will appear on qualifying motors. This new
development will enable purchasers to more easily identify high efficient motors.
The NEMA efficiency levels average 1-2% higher than the federal minimum
standards established by the Energy Policy Act of 1992.
The NEMA Premium™ efficiency electric motor program scope is single-speed,
polyphase, 1-500 horsepower, 2, 4, and 6 pole, squirrel cage induction motors,
NEMA Design A or B, continuous rated.
The NEMA Premium™ efficiency levels are contained in NEMA Standards
Publication MG 1- 2003, in Tables 12-12 and 12-13, respectively.

Variable Frequency Drives (VFD)
Many motors serve loads that vary over time. Variable frequency drives allow
the motor output to be matched to the actual process requirements, and can save
significant energy.
. VFDs can improve the efficiency of AC motors in applications with
variable loads.
. When VFDs are used for fans, pumps and other fluid systems, savings of up
to 50% are possible.
. Typical eligible applications that are expected to meet these criteria are
HV AC fans, pumps and cooling towers; process equipment and
industrial fans.
. The VFD must be new, and must have a true power factor of .90 or better, the
motor controlled must operate at least 4000 hours per year
. The VFD speed must be controlled automatically by a building automation
system, process control system or local controller
. The system controlled must experience regular and significant changes in load
and, therefore, in motor speed under normal operation.
. Rebates are based on the smallest horsepower of the variable frequency drive or
by the motor being driven.
. Qualified VFD must be tied to an automated control system

Commercial and industrial customers are not identical. Every industry utilizes
energy differently and each requires industry specific equipment. Shakopee
Public Utilities offers custom rebates to businesses that install high efficiency
electric technologies that do not qualify for rebates under existing prescriptive
rebate programs. This includes replacing old, inefficient equipment with new,
higher efficiency equipment or process improvement efficiency.
Depending on available funds, customers may apply for financial assistance in
performing an engineering analysis of their project. The engineering assistance
is to help determine project viability, energy savings and business case
development. Shakopee Public Utilities will pay for a portion of the cost.
To quality you must meet the following criteria:
. You must be a current electric business/commercial/industrial customer of
Shakopee Public Utilities.
. New equipment must exceed current standard equipment and efficiencies.
. The incentive is limited to no more than 50% of the cost or incremental cost of
the measure and is limited based on funds available to Shakopee Public Utilities.
. Shakopee Public Utilities reserves the right to request the customer employ
the services of a professional engineer, based on custom improvement request.
. Rebate offer may be withdrawn at any time without notice.
. Pre-project approval is required.
. Rebate is offered on a first-come first-served basis.
. Shakopee Public Utilities reserves the right to perform pre- and post-
installation on-site visits.
. Qualifying energy efficient equipment must be installed and ~
operational within 6 months of application approval.

TERMS AND CONDITIONS
1. Participants must be electric commercial or industrial customers of Shakopee Public Utilities, Shakopee Public Utilities must
supply the electricity to the equipment for which the incentive is being paid. Equipment must be installed on the premises and must
not be purchased for resale.
2. Any receipt and/or installation of energy efficient equipment must occur after January 1,2004 to qualify for incentives. Pre-
approval from Shakopee Public Utilities is required.
3. This program is subject to periodic review by Shakopee Public Utilities, Please check with your Shakopee Public Utilities
representative regarding funds availability and program expiration date.
4. Shakopee Public Utilities reserves the right to inspect and verify the installation before any incentive payment is made,
5. Stated incentive levels will not exceed 50% of equipment costs, including labor.
6. New construction rebates are restricted to qualifying equipment only, Pre-approval is required,
7. Customers are responsible for ensuring that equipment installed for this program meets all applicable codes and standards.
8. Shakopee Public Utilities does not guarantee that installation of high-efficiency equipment will result in reduced usage or
demand, or in cost savings. Shakopee Public Utilities makes no warranties, expressed or implied, with respect to any equipment
